Ashapura Minechem's FY2025-26 record carries a critical weight: a CBI court has convicted the company and its Chairman for fraud, while an ED search froze bank accounts and an Income Tax search seized records, all characterized as having no material impact. Beyond that, the year's profits lean on exceptional gains and tax settlements, and the group's revenue is increasingly tied to a single Guinea bauxite operation.
Key findings
- CBI fraud conviction, ED freezing order, and IT search all deemed immaterial

What to watch
- 45th AGM vote. Shareholders vote on 29th September 2026 on Chetan Shah's cessation as Director and his appointment as Chief - Strategy & Planning and KMP at up to Rs. 2,00,00,000 per annum.

- CBI conviction appeal. Karnataka High Court appeal with sentence suspended pending disposal as of the FY2025-26 Annual Report.
- Guinea iron ore disclosure. Q2 FY27 results will show whether iron ore revenue and EBITDA from Guinea are separately disclosed.
Bottom line: This is a record where the most serious regulatory findings, a CBI fraud conviction and an ED freezing order, are disclosed but characterized as having no material impact, and where reported profits have repeatedly been shaped by exceptional items and tax settlements rather than operations. The risk character is one of legal and structural complexity: litigation at multiple levels, related-party transactions with thin external validation, and a revenue base concentrated in a single Guinea operation. Watch the 29th September AGM vote and the pending court outcomes named above.
