Ashika Global Securities Ltd Growth Catalysts - SOIC x StockScans Report

as of Jul 2026

  1. Composite amalgamation completed - The NCLT-sanctioned merger of AGSPL and ACDPL into ACCL became effective on 15 May 2026, folding in broking, investment management, family office, and custodial entities as subsidiaries. This transforms ACCL from a standalone NBFC into a diversified financial-services group with a consolidated net worth that rose from ₹440 Cr to ₹1,169 Cr in FY26.
  2. Merchant-banking subsidiary fully acquired - ACCL completed the cash acquisition of the remaining 80.15% of Ashika Capital Ltd on 30 June 2026, making it a wholly owned subsidiary. ACL is a SEBI-registered Category I Merchant Banker with ₹21.86 Cr turnover in FY26 and over USD 500 Mn in advised fundraising mandates, adding a fee-based earnings stream immediately.
  3. Mutual-fund in-principle approval received - SEBI granted in-principle approval to sponsor a mutual fund on 30 December 2025, and the board has resolved to transfer the sponsorship to wholly owned subsidiary Ashika Stock Services Ltd, subject to SEBI consent. A mutual-fund license opens a scalable, capital-light asset-management franchise that can build on the existing 1,00,000+ demat accounts and ₹22,000 Cr+ AUA.
  4. Category II AIF - private credit license secured - A Private Credit License was obtained in April 2026 for structured credit and special-situations strategies. The license lets the group capture the growing demand for flexible mid-market credit at a time when banks and NBFCs face tightening regulation, with contractual cash flows that can lift return on equity.
  5. Category II AIF - private equity fund registered - Ashika Private Equity Trust received SEBI registration as a Category II AIF on 23 October 2025, and ACCL holds 51% of its investment manager with a path to 83.67% voting rights on conversion of OCRPS. The fund targets manufacturing and consumption themes and can start earning management fees as it raises and deploys capital.
  6. NSE listing broadens the investor base - ACCL shares began trading on the NSE (Capital Market Segment) on 20 April 2026 under the symbol ASHIKA. The listing improves liquidity and makes the stock accessible to a wider pool of institutional and retail investors, supporting the board’s enabling resolution to raise up to ₹900 Cr via QIP.
  7. Warrant conversions complete - no overhang - The last 2,00,000 warrants were converted at ₹609 each on 29 June 2026, bringing in the balance ₹9.13 Cr, while 16,00,000 unexercised warrants were forfeited. With no warrants outstanding, the fully diluted equity count is now fixed, removing a potential dilution overhang for incoming shareholders.
  8. Wealth-management and insurance subsidiaries incorporated - Ashika Global Wealth Services Pvt Ltd and Ashika Global Insurance Advisors Pvt Ltd were incorporated in December 2025 as wholly owned subsidiaries, with ₹5 Cr paid-up capital each. These new entities extend the group into recurring-fee wealth advisory and insurance distribution, subject to regulatory approvals, using the same 1,25,000+ client base.
