Asian Granito India Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Asian Granito India’s record is clean on its face: seven years of unqualified audit opinions and a standalone balance sheet the company calls debt-free. Three things deserve attention: a ₹106.33 crore goodwill balance created in FY2026 from a related-party scheme with no impairment testing disclosed, a web of subsidiary borrowings secured by parent assets and director guarantees, and a persistent stack of disputed tax demands with no provisions recognised.

Key findings

  1. A ₹106.33 crore goodwill balance was created in FY2026 with no impairment testing disclosed Major - Goodwill of ₹106.33 crore was recognised in FY2025-26 on the transfer and vesting of manufacturing undertakings of six related entities under an NCLT-sanctioned Composite Scheme of Arrangement dated 12 June 2025, with all assets and liabilities transferred at fair value and the excess over book value recognised as goodwill. No impairment testing is disclosed in the dossier. Goodwill carrying amount as at March 31, 2021 was ₹331.67 lakhs, unchanged from the previous year, with no impairment mentioned.
  2. The standalone debt-free position masks subsidiary borrowings secured by parent assets and director guarantees Major - Crystal Vitrified Limited’s Aditya Birla Finance term loan of ₹19.94 crore outstanding as at 31.03.2026 is secured by commercial property owned by Asian Granito India Limited and AGL Infrastructure Private Limited. Working capital loans of ₹124.72 crore as at FY2025-26 are secured by hypothecation over current assets and personal guarantees of directors. Consolidated long-term debt rose from ₹188.7 crore in FY2021-22 to ₹272 crore as at 31 March 2025.
  3. A ₹272 crore web of demand loans and fresh CCD investments routes capital into group entities with stopped interest accruals Major - The company granted loans repayable on demand amounting to ₹272.09 crore at year-end FY2025-26. It invested ₹188.37 crore in 0% compulsorily convertible debentures of Future Ceramic Private Limited and ₹60.26 crore in AGL Sanitaryware Private Limited during FY2025-26. Pursuant to NCLT-mandated Composite Schemes, the company ceased interest accruals on intra-group advances to entities that became wholly owned subsidiaries.
  4. Seven years of unqualified opinions with no Key Audit Matters since FY2022-23, while audit exceptions persist Major - The auditor stated there are no key audit matters to communicate in FY2025-26, FY2024-25, FY2023-24, and FY2022-23. An Emphasis of Matter regarding the Income Tax search on 26 May 2022 has appeared in every audit report from FY2022-23 through FY2025-26, with impact stated as “presently not ascertainable”. The consolidated audit report for FY2025-26 disclosed that the auditor did not audit 5 subsidiaries reflecting total assets of ₹431.38 crore and total revenues of ₹449.98 crore.
  5. CGST penalties in 2025, while annual report limits no-penalty statement to capital markets Major - On 4 February 2025, the company received two CGST penalty orders totalling Rs. 5,95,13,726 from the Joint Commissioner, CGST, Gandhinagar. The Income Tax Department conducted a search on 26 May 2022, and the matter remained unresolved as of 31 March 2026 with appeals pending. The Corporate Governance report in the FY2025-26 Annual Report states no penalties or strictures were imposed by SEBI, Stock Exchanges or any other statutory authority on any matter related to the Capital Markets during the last three years.
  6. A persistent multi-crore stack of disputed tax demands with no provisions recognised Major - The standalone financial statements for FY2022-23 disclose total contingent liabilities of ₹24,336.69 lakhs, comprising pending Income Tax, Sales Tax, and Excise Duty demands, consumer/legal cases, bank guarantees, and a corporate guarantee. The consolidated financial statements for FY2025-26 state the Group expects judgment in its favour, has not recognised a provision, and future cash outflow will be determined only on receipt of judgment. On 6 January 2025, the company issued a corporate guarantee of ₹25,00,00,000 to Union Bank of India to secure the working capital limit of Future Ceramic Private Limited.
  7. The group structure is in constant churn, with entities incorporated and divested within months Major - Group company count rose from 5 subsidiaries and 1 associate as of 31 March 2020 to 23 group companies as of 31 March 2026. AGL Proteins Private Limited was incorporated on 5 July 2025 with the company holding 51%, then divested 25% to reach a 26% stake and ceased to be a subsidiary effective 31 December 2025. NCLT order dated 12 June 2025 sanctioned transfer of the Marble & Quartz undertaking to Amazoone Ceramics Limited by slump sale with consideration of ₹102 crore payable within 7 years.
  8. Reported profits are shaped by NCLT-scheme accounting, non-standard depreciation lives, and tax-rate elections Major - Asian Granito India Ltd issued 8,48,66,333 equity shares on 2 July 2025 pursuant to Scheme-I and 6,45,63,636 equity shares on 5 March 2026 pursuant to Scheme-II, both accounted under Ind AS 103 using the practical expedient. The company has estimated useful lives of 30 years for certain Plant & Machinery and 45 years for Factory Building, deviating from Schedule II of the Companies Act, 2013. Other income of ₹12 crore exceeded profit before tax of ₹11 crore in the latest period, representing 107.8% of PBT.

What to watch

Bottom line: This is a disclosed and audited record with seven years of unqualified opinions, but the audit comfort sits on top of a structure that keeps changing shape. The risk is concentrated in three places: court-sanctioned related-party schemes that create goodwill and inter-company receivables without impairment testing, subsidiary borrowings secured by parent assets while the parent calls itself debt-free, and tax disputes the company expects to win but has not provided for. Watch the goodwill impairment disclosure, the tax search outcome, and whether the ₹102 crore slump-sale consideration actually gets paid.
