Aspire & Innovative Advertising’s record shows consistently clean audit opinions and no promoter share pledges, but the numbers underneath tell a different story: cumulative operating cash flow is negative ₹34 crore against ₹22 crore of profit over seven years, revenue halved in FY25, and IPO proceeds have missed their utilisation deadline for two years running.
Key findings
- Operating cash flow is deeply negative and decoupled from profit
Major- Over the seven years FY2020-FY2026, cumulative cash flow from operations was negative ₹34 crore against a cumulative profit after tax (before other income) of ₹22 crore. Cash and cash equivalents fell from ₹16.61 crore as at 31 March 2025 to ₹1.00 crore as at 31 March 2026, and the company raised ₹21.97 crore via IPO of which ₹2.29 crore remained unutilised as of 31 March 2026. - Revenue halved while receivables ageing lengthened and doubtful-debt provisions surged
Major- Revenue from operations fell 56.5% from ₹383.99 crore in FY24 to ₹166.95 crore in FY25. Trade receivables considered good rose from ₹12.79 crore at March 2023 to ₹60.24 crore at March 2024, then stood at ₹38.10 crore at March 2026, with 3.2 crore aged 1-2 years. The provision for doubtful debts jumped from ₹4.44 lakh to ₹90.90 lakh in FY2025-26. - IPO-proceeds utilisation is delayed for two consecutive years and quarterly bank returns are not submitted
Major- The company raised ₹21.97 crore via IPO; ₹2.29 crore remained unutilised beyond the Prospectus deadline of 31 March 2026, following a prior-year delay of ₹8.94 crore against a Prospectus deadline of 31 March 2025. The auditor reported that the company had working-capital limits sanctioned in excess of ₹5 crore but management stated no quarterly returns were required to be submitted to the bank, and none were submitted, in FY2026, FY2025 and FY2024. - A husband-and-wife promoter pair holds executive and financial control, while independent directors have turned over rapidly
Major- Mrs. Rinku Agarwalla serves simultaneously as Whole Time Director and Chief Financial Officer, a dual executive and financial control role, while her spouse Mr. Nitesh Agarwalla is Chairman and Managing Director. Two Independent Directors resigned effective 20 August 2025, less than two years into their five-year terms. The company sought and obtained shareholder approval to increase the overall limit of maximum remuneration payable to all directors from 11% to 35% of net profits.
What to watch
- IPO-proceeds utilisation. ₹2.29 crore of IPO proceeds remained unutilised as of 31 March 2026, with no rectification reported as of the 30 May 2026 audit report.
- Ageing receivables. Collection of 3.2 crore in trade receivables aged 1-2 years as at 31 March 2026.
- GST demands. Resolution of GST demands for FY2019-20 (1.62 crore and ₹10.31 lakh) and FY2020-21 (₹17.36 lakh) disclosed as contingent liabilities as at 31 March 2026.
- Disputed tax dues. Outcome of four pending disputed statutory dues matters totalling ₹0.27 lakh as at 31 March 2026.
Bottom line: This is a disclosed record with clean audit opinions and zero promoter pledges, but the cash-flow trajectory is the defining feature: profit has not converted to cash for seven years, revenue has halved, and the board combines executive and financial control in one promoter family while independent directors cycle through. Watch whether the unutilised IPO proceeds are deployed and whether the ₹3.2 crore of year-old receivables are collected.
