Astra Microwave Products' audit record is clean on its face: unqualified opinions from Price Waterhouse for seven straight years, with no Key Audit Matters and clean CARO findings on fraud, benami property, wilful defaulter status, and fund diversion. The strain sits in cash conversion, related-party exposure, and revenue quality: operating cash flow has covered only 0.60 times adjusted profit over nine years, guarantees to a joint venture have grown 2.5 times against a thin net worth, and receivables peaked at 274 days of sales.
Key findings
- Related-party exposure is concentrated in the Astra Rafael JV, with guarantees up 2.5x against a thin net worth
Major- Shareholder-approved guarantees to Astra Rafael Comsys (ARC) escalated from ₹80 crore to ₹150 crore in August 2024, and the FY2026-27 notice seeks ₹200 crore. The JV's net worth is only ₹82.20 crore against FY2025-26 turnover of ₹361.06 crore. Sales to ARC rose from ₹13.25 crore in FY22 to ₹64.83 crore in FY23, while receivables from it jumped from ₹1.09 crore to ₹36.95 crore. - Operating cash flow has repeatedly failed to cover reported profit
Major- Cumulative CFO of ₹353 crore equals just 0.60x adjusted PAT of ₹585 crore over nine years to FY2026. CFO was negative ₹90 crore in FY2025 and negative ₹182 crore in FY2024 against profits of ₹154 crore and ₹121 crore, before turning positive at ₹387 crore in FY2026. Dividends kept rising through the gap, and the ₹75 crore FY2027 capex plan is to be funded partly by term borrowings. - Revenue quality is strained by customer concentration and a receivables build-up that peaked at 274 days
Major- Trade receivables tripled from ₹247 crore in FY20 to ₹783 crore in FY25, with receivable days peaking at 274 before improving to 219 in FY26. Three customers each exceeded 10% of revenue in FY26, FY25 and FY24. Over ₹480 crore of sales landed in Q4 FY26, and the company adjusted for a significant financing component on customer advances in every year from FY20 through FY26. - Clean audit opinions, but recurring CARO exceptions on bank returns and audit trails
Major- The CARO clause on quarterly current-asset returns filed with banks was adverse for four straight years, FY2021-22 through FY2024-25, with returns not in agreement with the unaudited books of account. In FY2025-26 the returns were in agreement, but the March 31, 2026 return was not filed. Audit-trail reporting was qualified for two years, with the auditor "unable to comment" in FY2023-24 and FY2024-25, while in FY2022-23 the requirement was "not applicable". Fraud, benami, wilful-defaulter and fund-diversion clauses were clean in every year. - Promoter holding diluted to 6.54% through reclassifications, while executive pay rises
Minor- Promoter shareholding fell from 8.46% to 7.17% in January 2023 when exchanges approved reclassification of three promoter-group members to public, and now stands at 6.54% with zero pledge. The Managing Director received ₹3.40 crore in FY2025-26, and a ₹1.36 crore cash payout was recommended for his unexpired seven-month tenure. The Joint Managing Director is proposed for re-designation as MD from October 1, 2026, with a ₹6 lakh monthly basic salary. - Subsidiary restructuring: a dormant entity struck off, a space subsidiary positioned for demerger, and an associate being exited
Minor- Astra Foundation, dormant for three years, was converted and struck off in September 2025. The Board gave in-principle approval in February 2026 to demerge the space and weather businesses into Astra Space Technologies for a listing. The group sold 28,486 of 77,837 CCPS in associate Janyu Technologies, with the remainder held for sale. - Small disputed tax matters persist, while corporate guarantees for the JV and subsidiary total ₹63 crore
Minor- Corporate guarantees outstanding were ₹43 crore for Bhavyabhanu Electronics and ₹20 crore for Astra Rafael as at March 31, 2023. Contingent liabilities included excise duty of ₹2.48 crore, income tax of ₹91.66 lakh, and GST of ₹25.92 lakh. A penalty order for AY 2018-19 remained under appeal, and an e-waybill penalty of ₹6.48 lakh was deposited under protest.
What to watch
- AGM votes. The 35th AGM on 18 September 2026 votes on the MD re-designation, remuneration revision, and the ₹1.35 crore cash payout to the departing MD.
- ARC transaction approval. The FY2026-27 AGM resolution seeks approval for up to ₹200 crore of related-party transactions with ARC, per the notice dated 22 August 2026.
- Demerger scheme. The definitive scheme for Astra Space Technologies awaits Board approval and regulatory filings, following the in-principle nod of 27 February 2026.
- Bank return filing. The quarterly current-asset return for the quarter ended 31 March 2026 was not filed as of the audit report dated 26 May 2026.
- Warrant conversion. 20,13,885 convertible warrants issued 30 June 2025 at ₹864 each require receipt of the remaining 75% of the issue price.
Bottom line: This is a disclosed and audited record with clean opinions and clean fraud-related CARO clauses. The risk is character, not concealment: cash conversion has lagged profit for nine years, related-party exposure to a thinly-capitalised JV keeps growing, and economic obligations run through guarantees and pledges beyond reported debt. Watch the AGM votes, the ARC transaction approval, and whether the bank-return filing gap closes.
