Adani Total Gas converts profit into cash reliably, but that cash is almost entirely consumed by a ₹10,000-15,000 crore capex plan that leaves thin free cash flow and a token dividend. Two things deserve attention: the auditor has twice flagged short-term borrowings used for long-term purposes, and a prior-year qualified opinion on regulatory investigations gave way to an audit-trail exception in FY2025-26.
Key findings
- Operating cash flow exceeds profit, but heavy capex consumes nearly all of it
Major- Consolidated CFO covered PAT 1.49 times cumulatively from FY21 to FY26, yet free cash flow was just ₹161 crore in FY26 and ₹23 crore in FY25. The auditor reported under CARO that short-term funds of ₹395.23 crore in FY22 and ₹227.88 crore in FY23 were used for long-term purposes. CWIP stood at ₹2,001 crore as of FY26, 49% of gross PP&E, and the Board has disclosed planned investments of ₹10,000-15,000 crore over the next five to eight years. - A prior qualified opinion gave way to a recurring audit-trail exception
Major- The auditor issued a qualified opinion for FY2022-23, citing inability to assess consequences of pending Supreme Court proceedings and regulatory investigations. The qualification was resolved in FY2023-24 with an unqualified opinion carrying an Emphasis of Matter on the same matter. In FY2025-26, evidence of the audit trail feature being enabled and operated for direct changes to the underlying database was absent from 27 May 2025 to 12 December 2025, and audit trail logs were purged due to technical constraints with the retention period of the storage solution. - Contingent liabilities are dominated by a ₹3,472 crore corporate guarantee and multi-year disputes where no provision is made
Minor- A corporate guarantee of ₹3,472.15 crore was outstanding against performance bank guarantees for a joint venture as at March 31, 2026. Gas suppliers have claimed ₹103.63 crore for alleged misuse of allocated gas, and NOIDA Authority issued a demand notice revised to ₹150.00 crore for alleged license fees; management states no future cash outflow is expected. - A US case against a non-executive director and a SEBI notice on a predecessor auditor remain unresolved
Minor- Management became aware in FY2024-25 of a US DOJ indictment and SEC civil complaint against a non-executive director; the company itself is not named, and the director's counsel has sought dismissal of the civil complaint. A SEBI Show Cause Notice regarding the validity of the Peer Review Certificate of the former statutory auditor was disclosed as pending in the FY2024-25 annual report. - The group has expanded, yet AOC-1 forms in consecutive annual reports are left entirely blank
Minor- The group grew from one joint venture to two subsidiaries and two joint ventures, but the AOC-1 form in the FY2023-24 and FY2024-25 annual reports contains no entity names or financial data. The company states in every annual report from FY2020-21 through FY2025-26 that it has no material subsidiary. - Principal related-party dealings are recurring gas purchases from a promoter-controlled entity and CSR donations to the Adani Foundation
Minor- The company obtained shareholder approval for proposed purchases from Adani Total Private Limited not exceeding ₹1,000 crore, representing 31.19% of its FY2021-22 audited consolidated turnover. CSR contributions to Adani Foundation, a related party, rose from ₹5.21 crore in FY2018-19 to ₹13.55 crore in FY2023-24. - Goodwill of ₹25.49 crores from a 2015 demerger has been carried unchanged for over a decade
Minor- The goodwill arose from the demerger of the CGD business from Adani Energy Limited and is tested for impairment annually with no loss recorded. The last time the auditor identified impairment of goodwill as a Key Audit Matter, an area needing the most judgement, was FY2018-19. - Promoter shareholding is concentrated at 74.80% with zero pledge, and board independence meets regulatory thresholds
Clean- Promoter and promoter group held 74.80% of outstanding shares with zero shares pledged. The Board comprised 10 Directors as of March 31, 2026, with more than 50% Independent Directors. Public institutional shareholders cast material dissenting votes on certain director appointments, including 8.59% of their votes polled against the re-appointment of Mr. Gautam S. Adani at the June 2024 AGM. - Revenue is concentrated in three public-sector oil marketing companies, while receivables days have shortened
Clean- Three public sector oil marketing companies contributed a combined ₹2,395.36 crore in FY26, up from ₹1,470.60 crore in FY23. Receivables days shortened from 33.44 days in FY24 to 25.92 days in FY26, and the expected credit loss allowance on trade receivables was nil.
What to watch
- CCD backstop repayment. Repayment of the first tranche of the ₹689 crore CCD backstop for Indian Oil-Adani Gas Private Limited is scheduled to begin in FY2026-27.
- Capex programme. Utilisation of the planned ₹10,000-15,000 crore capex programme and its impact on free cash flow and ROCE, as disclosed in the FY2025-26 AGM notice.
- US SEC civil complaint. Resolution of the complaint against the non-executive director, pending before the EDNY court as of March 31, 2026.
- SEBI Show Cause Notice. Resolution of the notice regarding the validity of the Peer Review Certificate of the former statutory auditor, disclosed as pending in the FY2024-25 annual report.
- Audit-trail exception. Resolution of the exception for the period 27 May 2025 to 12 December 2025, as the Company states the logs were purged due to technical constraints.
Bottom line: This is a disclosed and audited record with genuine cash conversion and a clean receivables book. The risk sits in the funding model: heavy capex is being financed in part with short-term borrowings, a mismatch the auditor has flagged twice, while the audit trail feature was absent and its logs were purged for a single period within FY2025-26. Watch the capex rollout and the CCD repayment schedule.
