Aurum Proptech's record carries an unqualified audit opinion for FY2025-26, but that clean stamp sits on a year where a ₹112 crore property sale was booked before statutory clearances, a ₹207 crore goodwill pile has never been impaired, and public institutions voted 100% against related-party approvals. The group's cash flow has been persistently thin against losses, and its structure is a rapidly churned web of acquisitions and control-rights changes.

The FY2023-24 CARO reported term loan money of ₹4.42 crore was utilized for working capital, and that the Company "has taken funds from entities/persons on account of or to meet obligations of its subsidiaries". - The group shape is a rapidly churned web of acquisitions and control-rights engineering
Major- Integrow Asset Management was consolidated as a subsidiary despite Aurum holding only 49.13% equity, by virtue of majority board control; effective July 01, 2025 that right was kept in abeyance until March 31, 2027, and the entity was reclassified to associate. K2V2 Technologies was consolidated from October 01, 2021 despite only 44.44% ownership, after the Share Purchase Agreement was amended to give Aurum control under Ind AS 110. What to watch
- Locon acquisition completion. Expected on or before September 30, 2026, after which a ₹50 crore loan facility is proposed.
- Warrant allotment to promoter. Preferential allotment of 51,00,000 warrants to AREDL per EGM notice dated July 21, 2026, pending shareholder approval.
- Navi Mumbai sale balance. The remaining gain is to be recognized upon receipt of statutory clearances, with the sale expected to close by June 30, 2026.
- Goodwill impairment test. Next annual test as at March 31, 2027, to be reported in the FY2026-27 Annual Report.
- Tax loss carryforwards. Management will articulate positions on Housing's tax structures in Q3 FY2027.
Bottom line: This is a disclosed and audited record, but the clean opinions mask a business that does not yet generate cash from operations and a group structure that keeps shifting. The risk sits in related-party capital flows, an unimpaired goodwill pile, and revenue booked before clearances are final. Watch whether the Navi Mumbai gain fully crystallises, whether the ₹70 crore loan to AREDL is drawn, and whether the next goodwill test finally takes a charge.
