AXISCADES Technologies' record carries seven straight years of unqualified audit opinions, but the FY2026 report layers a dense web of related-party guarantees, a near-zero operating cash flow, and repeated covenant breaches on top of that clean surface. The group is also mid-way through a USD 206 million divestment that will reshape its 16-entity structure.
Key findings

In FY2023, it breached liabilities-to-net-worth, debt-repayment-to-net-operating-income, total-debt-to-EBITDA and adjusted total net worth. It breached debt repayment to net operating income in FY2024 and debt service coverage ratio in FY2025, with waivers obtained in both years. Shareholders approved borrowing limit increases from ₹250 crore to ₹500 crore in September 2022, and to ₹750 crore at the 36th AGM. The 12.75% NCDs are secured by first pari-passu charge over assets of the Company and subsidiaries, pledge of 100% shares of Mistral Solutions, and corporate guarantees from subsidiaries. - Seven years of clean opinions sit alongside recurring audit-trail exceptions and statutory-dues delays
Major- S.R. Batliboi & Associates LLP issued unqualified opinions for every year from FY2020 through FY2026. The FY2026 standalone audit report contains a Section 143(3)(b) exception: the audit trail feature is not enabled at the database level for one of the two accounting software used. CARO clause (vii)(a) for FY2026 states there have been "serious delays in deposit of provident fund," and the only undisputed dues outstanding for more than six months are provident fund of ₹59.25 lakh, paid May 14, 2026. - Goodwill and investment carrying values have required repeated impairment charges

The Mistral Solutions acquisition was completed only after arbitration, with a Final Award dated January 13, 2023 terminating arbitration recording all disputes settled, and AXISCADES owns 99.20% of Mistral with promoters given time till July 31, 2023 to transfer the balance 0.80%.
What to watch
- Deferred revenue recovery. Recovery of the remaining \~₹82 crore of the ₹142 crore deferred revenue over the next two quarters, as stated by the CSGO in the Q1 FY2027 transcript.
- Aged defence receivable. Outcome of the Ministry of Defense receivable for which ₹9.62 crore was provided in Q1 FY2027.
- Statutory demand appeals. Pending outcome of appeals against service-tax demand notices of ₹23.62 crore and GST demand notices, as disclosed in the FY2025-26 Annual Report.
Bottom line: This is an audited record with clean opinions every year, but the substance beneath those opinions is a group under strain: cash generation has stalled, related-party exposure is large and dense, and covenants have been breached in each of the four fiscal years from FY2022 through FY2025. The character of the risk is structural, a leveraged parent with cross-collateralised subsidiaries now selling off its core businesses. Watch the Akkodis proceeds and the shareholder vote on the guarantee.
