Beacon Trusteeship is India’s first and only listed corporate trustee - a fiduciary that sits between borrowers and lenders in the debt markets, making sure the rules are followed and investor money is protected. Founded in 2015 by a group of ex-bankers with over 150 years of collective experience, it began with debenture and security trustee services and has since expanded into a full suite of fiduciary offerings, all run on a debt-free, asset-light model where the real assets are licences, technology, and people. The recurring approach is to take on the independent oversight roles that regulation and market complexity make essential, then build proprietary technology platforms to deliver them at scale - turning a trust-based, relationship business into a process-driven one. # Business segments A single fiduciary platform with six service lines - all drawing on the same regulatory licences, technology backbone, and client relationships - anchored by the core debenture trustee mandate that made it the country’s second-largest player. ## 1. Debenture and bond trusteeship: the anchor mandate **When a company or government body issues bonds, Beacon acts as the independent watchdog for the thousands of investors who buy them - monitoring every covenant, payment, and security charge from issue to maturity.** - **The regulatory gatekeeper** - SEBI rules since late 2020 require debenture trustees to independently assess the assets backing every bond, monitor them throughout the life of the issue, and lead enforcement if things go wrong, which turned a largely ceremonial role into a hands-on, fee-earning compliance function. - **Ranked among the top** - it was the No. 2 debenture trustee for public debt issues and No. 4 for private placements in FY26, and ranked first in PSU bond market issues for the period to February 2025. - **Now licensed offshore too** - its GIFT City branch received full IFSCA registration as a debenture trustee in May 2026, letting it serve bonds issued out of India’s international financial centre. ## 2. Security trusteeship: the consortium’s custodian **In a big project loan where twenty banks lend together, Beacon holds and manages the collateral on behalf of all of them - so no single lender has to trust the others to enforce it.** - **One trustee for many lenders** - it acts as security agent, facility agent, and safe-keeping agent for lender consortia, holding title to assets and exercising rights over them if the borrower defaults. - **Project-finance backbone** - the service is built for syndicated lending to infrastructure and industrial projects, where multiple banks need a neutral party to manage the security package across the loan’s life. ## 3. AIF trusteeship: the fund’s independent overseer **For every Alternative Investment Fund - private pools of capital investing in startups, real estate, or distressed assets - Beacon provides the legally required trustee who ensures the fund manager follows the rulebook.** - **End-to-end setup and oversight** - it drafts the trust deed and fund documents, guides the manager through SEBI registration, and then monitors the fund for compliance with tax laws including FATCA. - **Cross-border reach** - it is the only trustee in India offering AIF services across domestic, GIFT IFSC, and Mauritius jurisdictions within a single group, which matters for fund managers raising money from foreign investors. ## 4. Securitisation trusteeship: keeping the cash flowing **When a bank bundles thousands of car or home loans and sells them to investors, Beacon runs the trust that holds those loans and makes sure the monthly payouts reach the right people.** - **Trustee and payout agent combined** - it establishes the securitisation trust, administers the flow of collections from borrowers through to investors, and handles any grievances along the way. - **Powered by its own platform** - the proprietary ProSec system, described as India’s first tech-enabled trustee platform for securitisation, automates much of the administration that would otherwise be manual. ## 5. Escrow and fiduciary services: the transaction referee **In an M&A deal, a real-estate project, or a family’s wealth plan, Beacon acts as the neutral third party that holds the money or assets until every condition is met.** - **Deal-by-deal independence** - it serves as escrow agent for mergers, property collections, and debt-service-reserve accounts, as well as safe-keeper for physical documents and IT assets stored across a nationwide network of facilities. - **Private trusts for wealthy families** - through its BeaconX subsidiary, it administers family trusts for high-net-worth individuals, alongside managing ESOP trusts and special-purpose vehicles. ## 6. RTA and depository services: the investor-record engine **Through its subsidiary, Beacon is building the plumbing that tracks who owns every share and bond - the registrar and transfer agent licence it already holds, plus depository participant status in the works.** - **Licence secured, DP next** - Beacon Investor Holdings received its SEBI Category I RTA registration in February 2025, which was the prerequisite for applying to become a depository participant with CDSL and NSDL. - **Completing the group** - once operational, these services make Beacon the only trustee in India to offer bond trusteeship, AIF trusteeship, securitisation, escrow, RTA, depository, and family-trust services under one roof. # Technology platforms **Every trustee service runs on software Beacon built itself - no outside vendors, no off-the-shelf systems - which is how a company of around 110 people administers assets of over ₹17 Lakh Crores.** - **In-house, role-based, and client-facing** - the proprietary stack includes an ERP system, the ProSec securitisation platform, a covenant-monitoring engine, a digital investor-onboarding system, and a fund-administration platform, all giving customers and staff role-based access. - **Automation that cuts headcount** - the platforms are designed to reduce human intervention in routine monitoring and reporting, which is essential when tracking thousands of covenants and payment schedules across mandates. - **Bringing the tech team in-house** - the planned merger of Codium Techlabs, a promoter-group IT services firm, into Beacon will internalise the software development capability that built these platforms. # Group structure and partners **The listed company is consolidating a cluster of promoter-linked businesses into itself while extending its fiduciary footprint offshore through subsidiaries in Mauritius, Singapore, and Dubai.** - **Three-way merger underway** - a composite scheme filed with the NCLT would fold in Beacon Payroll & Benefits (HR services), Codium Techlabs (IT and software), and Kratos Capital Advisors (AIF administration and capital advisory), raising promoter holding to about 58%. - **Domestic operating arms** - the group includes Beacon Investor Holdings (90%, holding the RTA and DP licences), BeaconX Corporate Trusteeship (family trusts), and United Trustee Association of India (67%, formed per SEBI directive).
