Bhageria Industries Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Bhageria Industries’ record is fundamentally clean: seven years of unqualified audit opinions, no fraud or wilful default flagged by auditors, and operating cash flow that consistently covers reported profit. Three things deserve attention: inter-corporate loans to subsidiaries have surged eightfold to ₹33.67 crore while the parent simultaneously guaranteed ₹102 crore of subsidiary bank debt, a SEBI adjudication order against promoter-group entities remains unresolved under a 2023 stay, and the subsidiary structure is in active flux with four new solar SPVs, one liquidation, and a post-year-end rare-earth incorporation.

Key findings

  1. Inter-corporate loans to subsidiaries surged eightfold while the parent guaranteed ₹102 crore of their bank debt Major - Standalone non-current loans receivable from related parties rose to ₹33.67 crore in FY26 from ₹4.14 crore in FY25. The company simultaneously provided corporate guarantees of ₹102 crore outstanding as at 31 March 2026 in favour of Axis Bank on behalf of subsidiary Rahuri Cleantech Private Limited. The FY25 CARO report noted that loans to four subsidiaries were repayable on demand or without specifying terms or period.
  2. Contingent liabilities are dominated by a ₹102 crore corporate guarantee and a multi-year GST dispute Minor - As of 31 March 2026, outstanding corporate guarantees stood at ₹102 crore for subsidiary Rahuri Cleantech Private Limited. On 9 September 2024, the company received a CGST order demanding IGST of ₹2.09 crore plus interest and penalty for October 2017 to March 2021, against which it had already paid self-assessed IGST of ₹1.05 crore and interest of ₹28 lakh on 25 June 2021. A further order on 30 March 2026 confirmed a demand of ₹1.05 crore in IGST for April 2019 to March 2020, plus interest and an equivalent penalty.
  3. A SEBI adjudication order penalised promoter-group entities and directors, but the order was stayed by SAT with no finality disclosed Minor - SEBI passed an adjudication order dated 31 March 2023 imposing penalties on promoter-group entities and directors, including Mr. Suresh Bhageria and Mr. Vikas Bhageria, for alleged violation of PFUTP Regulations. On 6 July 2023, the Securities Appellate Tribunal stayed the order and directed the appellants to deposit the penalty amount under protest, listing the matter for admission and final disposal on 15 September 2023. The Board’s Report for FY2025-26 states that no significant or material orders were passed by regulators during the year.
  4. Revenue recognition relies on significant management judgement for EPC contracts, and receivables quality signals have weakened Minor - The auditor identified revenue recognition of EPC contracts using the Percentage of Completion Method as a Key Audit Matter, an area needing the most judgement, due to significant estimates in total revenue and costs to complete. Receivable days increased from 66 days in FY26 to 115 days in FY25 and FY24, after standing at 93 days in FY23. Management stated that the top 10 customers account for 45-50% of revenue, without disclosing concentration risk or credit terms.
  5. Operating cash flow consistently covers reported profit, but cumulative cash conversion is modest and capital is increasingly tied up in CWIP that has doubled to ₹117 crore Minor - Cumulative CFO of ₹391 crore covers 67% of cumulative EBITDA of ₹588 crore over the seven-year window FY20-FY26. CWIP stood at ₹117 crore as of FY26, representing 31% of gross PP&E of ₹383 crore. ROCE was 9.30% in FY26 and 9.48% in FY25.
  6. The subsidiary structure is in flux, four new solar SPVs, a Bahrain liquidation, and a post-year-end rare-earth incorporation Minor - The group had six subsidiaries at 31 March 2025, up from two at 31 March 2024, after incorporating four wholly owned solar subsidiaries during FY2024-25. Wholly owned subsidiary Bhageria Industries Holding Company W.L.L. (Bahrain) was liquidated effective 20 November 2025. On 14 May 2026, the company incorporated Bhageria Rare Earth Minerals Private Limited.
  7. Promoter-family holds all executive roles; reappointments approved by promoter votes Minor - Mr. Suresh Bhageria (Executive Chairman), Mr. Vinod Bhageria (Managing Director), and Mr. Vikas Bhageria (Jt. Managing Director) are the only executive directors; Mr. Suresh Bhageria is father of Mr. Vikas Bhageria and brother of Mr. Vinod Bhageria. Promoter shareholding was 71.77% with zero pledge. At the FY2024-25 AGM, promoter votes of 2.26 crore were cast 100% in favour of the re-appointment of Mr. Suresh Bhageria, with zero against.
  8. Unqualified audit opinions across all seven years with clean CARO reports on fraud and wilful default Clean - The standalone and consolidated audit opinions were unqualified in every year from FY2020 through FY2026. The CARO report for every year from FY2020 through FY2026 stated no fraud by or on the Company was noticed or reported, and no whistleblower complaints were received. The CARO report for every year from FY2022 through FY2026 stated the Company was not declared a wilful defaulter. The only blemish was a recurring qualification on proper books of account in the FY24 and FY25 consolidated reports tied to Rule 11(g) audit-trail reporting, resolved in FY26.
  9. Statutory auditor rotated on schedule in FY2022 with no resignations, adverse actions, or unusual fee patterns Clean - The statutory auditor changed from M/s. M R B & Associates to M/s. Sarda & Pareek LLP at the 33rd AGM on 30 July 2022, after MRB & Associates completed their five-year term. The appointment was passed unanimously with 3.10 crore votes in favour and zero against. The CARO report for each year from FY2022-23 through FY2025-26 states that no resignation of statutory auditors occurred.

What to watch

Bottom line: This is a disclosed and audited record with seven clean audit opinions and no trace of fraud or wilful default. The risk sits in the concentration of group credit: the parent has funnelled ₹33.67 crore in loans and ₹102 crore in guarantees to subsidiaries whose repayment terms were, until recently, unspecified. Watch whether the Rahuri Cleantech loan repayments begin on schedule in October 2026, and whether the SEBI and GST matters reach finality.
