BLS E-Services Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

BLS E-Services' audit record is clean on its face: five consecutive years of unmodified opinions and consistent accounting policies. But the IPO proceeds that were meant to fund growth remain largely parked in term deposits two years on, related-party sales make up half the top line, and the group is being reshaped through acquisitions while one wholly-owned subsidiary has not replaced the contract that was its only revenue source since November 2023.

Key findings

  1. ₹155 crore of IPO proceeds sit idle two years after listing Major - Unutilised IPO proceeds stood at ₹155.22 crore as at March 31, 2026, against net proceeds of ₹277.77 crore. The monitoring agency, Crisil Ratings, reported a 25-50% deviation in utilisation for the quarter ended March 31, 2026. Shareholders approved changed objects and an extended timeline at an EGM held March 16, 2026.
  2. Related-party sales are half of total sales, with auditor-flagged loans Major - Sales to related parties were 50.22% of total sales in FY2025-26. The auditor's report states the company granted unsecured loans to a related party, with terms "prima facie not prejudicial to Company's interest". Shareholders approved material transactions with subsidiary Zero Mass Private Limited, whose directors overlap with BLS's own, valued up to ₹100 crore per transaction.
  3. Group structure reshaped by acquisitions, with a populated subsidiary table Major - BLS acquired 57% of Aadifidelis Solutions for ₹77.89 crore on November 26, 2024. Shareholders approved reallocating ₹138 crore of IPO proceeds to acquire Atyati Technologies, completed July 2, 2026. The FY2023-24 Form AOC-1 subsidiary table lists BLS Kendras, Starfin India, and Zero Mass with full financial data. Goodwill stood at ₹81.5 crore at Mar-24 and ₹167.0 crore at Mar-25 (restated).
  4. Revenue concentrated in a few customers; a subsidiary's only revenue source ended in 2023 Major - The group is economically dependent on one customer for a significant portion of consolidated revenue in FY2025-26. Wholly-owned subsidiary BLS Kendras' only major revenue source, a contract with Punjab e-Governance Society, ended November 27, 2023, and management was still seeking replacement contracts as of FY2025-26.
  5. Promoter family controls the board; executive pay has exceeded statutory limits Major - Chairman Shikhar Aggarwal's father, Diwakar Aggarwal, also sits on the board. Executive Director and CFO Rahul Sharma's FY2023-24 remuneration exceeded limits under the Companies Act, and he refunded ₹5,39,487. Promoters hold 71.87% with 0.00% pledge as of the latest period (21 Aug 2026 snapshot), and public dissent in votes has been minimal, at 0.0033% against on votes polled in the EGM held March 17, 2026.
  6. Clean audit opinions, but a persistent database-level audit trail exception Major - S.S. Kothari Mehta & Co. issued unmodified opinions for FY2025-26. However, the auditor reported the accounting software's audit trail feature was not operating at the database level. The FY2023-24 consolidated audit carried an Emphasis of Matter on BLS Kendras' going concern.
  7. "No borrowings" claim masks growing pledges and bank guarantees Major - The group states it "has no borrowings" as at March 31, 2026, yet discloses pledges against bank guarantees of ₹4.53 crore. Consolidated bank balances pledged against bank guarantees rose 135% to ₹2.45 crore from ₹1.04 crore in a year.
  8. Goodwill grew to ₹167 crore with no impairment recorded Major - Goodwill rose to ₹167 crore through the Aadifidelis acquisition and a measurement-period adjustment. No impairment was recorded as at March 31, 2026 or March 31, 2025. Aadifidelis contributed ₹221.59 crore revenue from acquisition date to March 31, 2025.
  9. Accounting policies consistent, with minor quantified impacts Clean - No change in accounting policies was reported during FY2023-24. New labour codes notified November 21, 2025 had an incremental impact of ₹8.42 lakhs standalone and ₹28.03 lakhs consolidated. Employee benefit remeasurement was a loss of ₹2.00 lakhs versus a gain of ₹10.20 lakhs the prior year.

What to watch

Bottom line: This is a disclosed and audited record with a clean opinion history. The risk is structural: half the revenue flows through related parties, the largest chunk of IPO money is still in the bank, and the group's growth is coming from acquisitions whose goodwill is untested by impairment. Watch the monitoring agency's next deviation report and whether BLS Kendras finds a new contract.
