BN Agrochem's record shows a company whose public filings and shareholder approvals tell sharply different stories. The standalone audit opinions have been qualified for four straight years, while the board's own reports claim the opposite. The movement of ₹283.75 crore into a newly created UK subsidiary alongside a scheme pulling three promoter-linked companies into the listed entity is a significant issue.
Key findings
- ₹283.75 crore moved to a new UK subsidiary while promoter-linked firms are being amalgamated
Critical- BN Agrochem had no subsidiaries from FY2019-20 through FY2022-23. It incorporated BN Holdings Europe Limited in London on February 17, 2024, and invested USD 34 million (₹283.75 crore) into it during FY2024-25, which is approximately 0.32 times FY26 revenue of ₹873 crore. The consolidated opinions for FY2024, FY2025 and FY2026 are unqualified. - Shareholder approvals for up to ₹500 crore per party in related-party loans against revenue of ₹7 crore

The FY2026 AGM notice dated September 1, 2026 seeks ratification of related-party transactions up to ₹100 crore each for 3 years, disclosing that Epitome Industries India Limited had nil turnover and a loss of 1.28 crore in FY2025-26. - Operating cash flow failed to cover profit, while ₹290 crore sits with an EPC contractor for an incomplete project
Major- In FY202,400-2,500 crore Agrochem reported PAT of ₹19.76 crore but operating cash flow of negative ₹31.27 crore. As at March 31, 2025, capital advances stood at 290.12 crore, a 10% advance to a third-party EPC contractor for a proposed Edible Oil Refinery and Oleo Chemical Complex, with land acquisition still ongoing. In the latest period, other income of ₹9 crore represented 568.9% of PBT of ₹2 crore. - Statutory auditor resigned mid-tenure in August 2023; replacement approved for five years

JSMG signed the FY2025-26 and FY2024-25 standalone reports with qualified opinions and no basis. - Board repeatedly reconstituted around promoter Anubhav Agarwal since his 2022 takeover
Major- Mr. Anubhav Agarwal acquired control on November 11, 2022, with 56.80% holding. He was re-designated from Managing Director to Non-Executive Director effective May 21, 2025, the same date Mr. Chintan Ajaykumar Shah was appointed Whole-time Director and Mr. Ashutosh Sharma resigned. What to watch
- Amalgamation scheme vote. The NCLT Mumbai Bench ordered on June 19, 2026 that an equity shareholder meeting be convened to consider the scheme amalgamating three promoter-linked companies into BN Agrochem.
- SEBI compliance on the scheme. SEBI advised on February 6, 2026 that the company obtain NOC from NSE under Reg 59A and disclose all ongoing proceedings against the company, promoters, and directors before filing with NCLT.
- Related-party ratification vote. The AGM notice dated September 1, 2026 seeks approval for related-party transactions up to ₹100 crore each for 3 years with four promoter-linked companies.
- Corporate guarantee invocation. BN Agrochem provided credit support as Co-Borrower/Corporate Guarantor for a ₹15 crore facility to B.N. Agritech Limited by SMFG India Credit Company Limited, disclosed August 11, 2026.
Bottom line: This is a record of a company whose shareholder approvals consistently authorise far more related-party exposure than its own revenue could justify, and whose audit opinions have been qualified for four years despite board reports claiming no qualifications. The risk character is one of fund movement between the listed entity and promoter-linked parties, with the amalgamation scheme and the UK subsidiary investment as the two channels to watch. The next annual report will show whether the audit qualification gains a basis and whether the statutory auditor's resignation mid-tenure is followed by a stable replacement.
