Birlasoft’s record carries an unbroken chain of unqualified audit opinions and a clean auditor rotation, but three things demand attention: a material weakness in revenue-recognition controls that was flagged in FY25, receivables and unbilled amounts that are growing faster than flat revenue, and ₹565 crore of goodwill that has never been impaired even as the terminal growth rate was cut.
Key findings
- Revenue quality is under pressure from rising receivables and a material-weakness finding
Major- Consolidated billed receivables rose 14% to ₹900.8 crore while revenue was nearly flat at ₹5,310 crore, pushing billed days sales outstanding from 54 to 62 days. The statutory auditor reported a material weakness in internal financial controls as at 31 March 2025 over timely recording of time on time-and-material contracts, which could cause revenue recognition to depart from accounting policies. One BFSI customer contributed ₹862.68 crore of revenue in FY26, individually exceeding 10% of the group total. - Audit opinions stayed unqualified, but a material weakness was found and the audit trail has been disabled for three years
Major- The auditor issued unqualified opinions on the financial statements every year from FY21 through FY26, yet the FY25 internal financial controls opinion was qualified because of the material weakness in time-and-material revenue controls. The audit trail feature in the SAP Rise accounting software was not enabled at the database level in FY26, FY25, or FY24. The FY26 controls opinion returned to unqualified, with the auditor stating the Company had adequate internal financial controls operating effectively as at 31 March 2026. - Goodwill stands at ₹565 crore with no impairment, despite a terminal-growth-rate cut
Major- Consolidated goodwill rose from 447.6 crore in FY21 to 564.8 crore in FY26, allocated across four cash-generating units. The terminal growth rate used in impairment testing was reduced from 4.0% as of 31 March 2025 to 3.0% as of 31 March 2026, while the discount rate was reduced from 17.5% to 16.8%. No impairment has ever been recorded, and sensitivity analysis in earlier years did not identify any probable scenario where the recoverable amount would fall below the carrying amount. - Labour-code and US-tax provisions drove a one-time exceptional charge and an ETR spike, while Q4 margin got a non-recurring boost
Minor- Birlasoft booked an exceptional item of ₹40.69 crore in FY26 for the impact of new Labour Codes. The effective tax rate rose to 34.4% from 25.8%, driven by a provision for incremental US federal tax that management states was limited to FY26. The CFO disclosed that Q4 FY26 margins included a \~340-basis-point benefit from non-recurring items, forex tailwinds and lower provisions for compensation and leave encashment, which “certainly will not repeat itself in the first quarter and beyond”. - Contingent tax and legal disputes total ₹176.06 crore, with income tax exposure more than doubling year-on-year
Minor- Consolidated contingent liabilities for income tax matters increased from ₹41.07 crore as of 31 March 2025 to ₹105.51 crore as of 31 March 2026. A service tax department appeal before the Supreme Court for ₹46.97 crore covering October 2006 to March 2014 has remained unchanged from FY19 through FY26. Stamp duty orders of ₹2.67 crore for Noida office spaces remain pending before Allahabad High Court, also unchanged from FY19 through FY26. - Five tax and regulatory penalties have been received across three countries since May 2024
Minor- Penalties include USD 25,000 from the US Internal Revenue Service on 26 February 2026 for failure to provide information, €11,797.91 from Belgium’s FEDRIS on 12 January 2026 for failure to enter into an occupational accident insurance contract, and INR 4,094,363 from the Income Tax Department, Pune on 13 March 2025 for under-reporting of income. The FY26 Corporate Governance report states no penalties were imposed by stock exchanges or statutory authorities on capital market matters during the past three years. - A stable 13-entity subsidiary group carries a persistent tail of dormant entities and one unaudited subsidiary
Minor- Eight subsidiaries each reported zero revenue and a loss of 0.01 crore in FY26. In FY25, one subsidiary with total assets of ₹44.78 crore and total revenues of ₹57.07 crore was unaudited and furnished by management; the auditor stated it was “not material to the Group”. The same two entities, Birlasoft Solutions Inc. and Birlasoft Inc., have been the only material subsidiaries every year from FY21 through FY26. - Auditor rotation from B S R & Co. to S R B C & Co was orderly, with no resignations or fee anomalies
Clean- B S R & Co. served until its term expired at the AGM on 27 July 2023, and S R B C & Co was appointed for a five-year term with 99.97% of votes polled. The CARO report for FY25 states there was no resignation of the statutory auditors during the year. Total fees paid to S R B C & Co and its network firms in FY26 were 2.72 crore.
What to watch
- Audit trail enablement. The audit trail feature at the database level has remained disabled for three consecutive years through FY26; watch whether it is enabled in future periods.
- Material weakness remediation. Whether the material weakness in internal controls over time-and-material revenue recognition reported as at 31 March 2025 is fully remediated, per the next annual report.
- Q1 FY27 margin normalisation. The \~340-basis-point benefit from non-recurring items, forex tailwinds and lower provisions for compensation and leave encashment in Q4 FY26 is not expected to repeat in Q1 FY27.
Bottom line: This is a disclosed and audited record with an unbroken chain of clean opinions and a textbook auditor rotation. The risk sits in the gap between that clean opinion and the operational reality: a material weakness in the controls that govern how revenue is booked, receivables and unbilled amounts that are stretching out against flat revenue, and a goodwill balance that has never been tested by an impairment charge even as the terminal growth assumption was trimmed. Watch whether the FY25 control weakness is fully remediated and whether the audit trail is finally switched on.
