Carraro India Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Carraro India's FY2025-26 audit is unmodified, and its operating cash flow has covered reported profit in four of the last five years. The record, however, carries three material disputes: income-tax and customs demands exceeding ₹100 crore are under challenge, the auditor has repeated a data-backup exception for a second straight year, and sales to a promoter-group entity now approach half of revenue.

Key findings

  1. Tax and customs demands exceeding ₹100 crore remain under dispute Major - Carraro India received two income-tax show cause notices citing variations to total income of 1,007 crore and 894 crore, dated 13 February 2025 and 12 February 2026. Three customs notices received in September 2025 demand a combined ₹29.54 crore in IGST, plus interest and penalty. No provision has been made for these demands, which are carried as contingent liabilities.
  2. Auditor repeats data-backup and audit-trail exception for a second year Major - Deloitte Haskins & Sells issued an unmodified opinion for FY2025-26 but again flagged that daily backups were not kept on a server physically located in India for 1 April 2025 to 31 July 2025, and that the audit trail was not preserved per statutory requirements. The FY2024-25 report carried the identical exception, with the company then stating it was "in process of complying". The consolidated report repeats the same qualification for the parent and its subsidiary.
  3. Sales to a promoter-group entity grew 41% and now approach half of revenue Major - FY2025-26 transactions with Carraro Drive Tech Italia S.p.A. (CDTI) totalled ₹801.5 crore, up from ₹568.92 crore, a 40.9% increase. The secretarial auditor's sole adverse observation was that shareholder approval for these material related-party transactions was not obtained for 1 April 2025 to 10 September 2025; approval came only at the AGM held 11 September 2025. The proposed ₹1,030 crore RPT limit for FY2026-27 equals 45.67% of annual consolidated turnover for FY ended 31 March 2026.
  4. Customer concentration rose to 48.93% of revenue, with management citing limited visibility Major - Standalone revenue from major customers rose to ₹1,090.69 crore in FY2026 from ₹767.12 crore, lifting its share from 43.02% to 48.93%. Management stated the company exports to its parent, giving "less visibility in reality what is happening on our turnover". Consolidated revenue from major customers represented 49.36% of total revenue in FY2026 versus 43.52% in FY2025.
  5. Favourable appellate and closure orders reduced contingent liabilities by over ₹50 crore Minor - Carraro India received appellate relief of ₹27.88 crore plus ₹6.48 crore for four assessment years, and a further ₹2.74 crore for AY 2011-12 per a Bombay High Court order. Customs authorities dropped two demands of ₹7.92 crore and ₹6.37 crore in March and May 2026. Ongoing income-tax disputes remain unprovided, as no outflow is expected.
  6. Statutory auditor changes after two five-year terms, with disclosed fees Minor - Deloitte Haskins & Sells served a second five-year term and was paid ₹0.97 crore for FY2025-26. The Board approved M S K C & Associates as its replacement for five years, subject to shareholder approval, with a proposed fee of ₹0.5 crore for FY2026-27. The change follows normal rotation requirements.
  7. Labour code change and a common-control acquisition drove disclosed accounting adjustments Minor - Carraro India booked an exceptional charge of ₹8.87 crore standalone and ₹9.5 crore consolidated for the incremental impact of Labour Codes effective 21 November 2025. The FY25 acquisition of Carraro Technologies India was accounted for using the pooling-of-interest method, with prior-period financials restated. The combination debited capital reserve by ₹22.2 crore.
  8. Promoter-controlled board passed all resolutions with near-unanimity Minor - At the 28th AGM held 11 September 2025, the highest opposition was 4.78% against a remuneration revision for Independent Directors. All other resolutions, including re-appointments of promoter directors, passed with over 99.99% in favour. Executive Directors' approved remuneration for 2025-26 included one-time rewards of ₹0.4 crore, ₹0.22 crore and ₹0.88 crore.
  9. Group structure is a transparent single-entity chain Clean - Carraro India had one subsidiary, Carraro Technologies India Private Limited, with no associates or joint ventures as at 31 March 2026. The subsidiary was acquired from Carraro International S.E. under common control and accounted for via pooling-of-interest. The company has no material subsidiary as per its policy.
  10. Operating cash flow backs profit, capex is internally funded, and dividends are rising Clean - CFO/PAT was 1.03x in FY26, 0.87x in FY25, 1.79x in FY24, 1.66x in FY23 and 4.27x in FY22, with operating cash flow meeting or exceeding profit in four of five years. Capex of ₹41.7 crore in FY26 was funded from internal accruals, with no suspended projects or cost overruns. The proposed FY26 dividend of ₹6.75 per share implies a ₹38.38 crore payout, up from ₹4.55 per share proposed for FY25.

What to watch

Bottom line: This is a cash-generative, internally funded business with a clean audit opinion and a transparent group structure. The risk is concentrated in two places: unresolved regulatory demands exceeding ₹100 crore, and a revenue base increasingly dependent on a promoter-group customer and a handful of major clients. Watch the tax and customs outcomes, and whether the data-backup exception is finally resolved.
