Ceinsys Tech Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Ceinsys Tech's record carries seven consecutive years of clean audit opinions, and the auditors have found no fraud, wilful default, benami property, fund diversion or unpaid statutory dues in that entire stretch. The concerns sit elsewhere: profits have not converted into operating cash, the company's structure and pay have been reshaped repeatedly through related-party deals and subsidiary moves, and reported profits have been shaped by a series of accounting choices.

Key findings

  1. Profit growth has not converted into operating cash flow Major - Cumulative operating cash flow of ₹210 crore against cumulative EBITDA of ₹429 crore over ten years gives a CFO/EBITDA ratio of 0.49x. In FY2025-26, standalone CFO was ₹3.49 crore against PAT of ₹133 crore, a CFO/PAT ratio of 0.03x. Management said ₹238 crore raised for "expansion, new opportunities, acquisition and all" has sat idle for two years, and declined a shareholder's buyback suggestion, saying funds are "for the growth and development of the organization".
  2. Reported profits are shaped by a series of accounting choices Major - Ceinsys Tech claimed ₹36.43 crore as allowable current-tax expenditure for FY2025-26, being the difference between perquisite value and fair value on grant date for ESOPs, based on legal and tax advice. The amalgamation of subsidiary Allygrow Technologies was accounted under the Pooling of Interest Method per Appendix C of Ind AS 103, with financial statements restated from the beginning of the preceding year. Standalone short-term provisions rose from ₹2.39 crore as at March 31, 2024 to ₹3.74 crore as at March 31, 2025, attributed to "high actuarial gain coming majorly due to change in demographic assumptions, experience changes, change in attrition rate".
  3. Related-party dealings are dominated by recurring Grammer AG revenue and promoter guarantees Major - Shareholders approved a material related party transaction with Allygram Systems, Grammer AG and group entities up to ₹50 crore for FY2025-26, following limits of ₹55 crore for FY2023-24, ₹35 crore for FY2022-23 and ₹50 crore for FY2024-25. Promoter-group entities and individuals, Sagar Meghe, Devika Meghe and Raghav Infradevelopers and Builders Private Limited, provided guarantees to banks for company loans in FY2025-26. Inter-corporate deposits to a subsidiary outstanding at year end carried interest rates ranging from 2.55% to 12% per annum.
  4. Bank facilities are secured by promoter assets and pledges, while working-capital statements to banks have repeatedly differed from books Major - Working capital facilities of 28.4 crore as at March 31, 2026 were secured by hypothecation of inventory and book debts plus collateral including a promoter-owned flat, land and building, a Mumbai unit, a ₹12.15 crore fixed deposit, a pledge of promoter-group shares, and personal guarantees of directors and relatives. The CARO report for FY2024-25 stated that quarterly returns filed with banks for working capital limits showed differences with books of account, referred to Note 47. The FY2023-24 CARO report reported the same difference.
  5. Executive pay repeatedly required shareholder approval "due to inadequacy of profits" Major - Mr. Prashant Kamat's remuneration as Whole Time Director, Vice Chairman and CEO was revised upward from ₹4,75,20,000 effective June 1, 2023 to ₹5,22,72,000 effective June 1, 2024, and then to ₹5,74,99,200 effective April 1, 2025, each revision stating remuneration continues even if the company has no profit or inadequate profit under Section 197 and Schedule V. Promoter Mr. Sagar Meghe was re-designated from Non-Executive Chairman to Whole Time Director and Chairman effective December 16, 2025, with revised fixed pay of ₹4,17,15,000 per annum effective April 1, 2026, plus gratuity and PF contribution. Public institutional shareholders voted 62.21% against the revision in Mr. Kamat's remuneration at the 27th AGM on September 29, 2025.
  6. The subsidiary stack has been repeatedly reshaped through acquisitions, mergers and new offshore entities Major - Ceinsys Tech acquired 100% of Allygrow Technologies in two tranches, 82.69% for ₹56.28 crore via share swap in February 2022 and the remaining 17.31% for ₹11.79 crore cash in FY2022-23. Allygrow had net worth of ₹59.25 crore and turnover of ₹7.87 crore as of September 30, 2023, when its amalgamation into Ceinsys Tech was announced. Allygram Systems, the 70:30 joint venture with Grammer AG, remains outside consolidation because "they are a JV," management stated in June 2026.
  7. A ₹15.51 crore Maharashtra sales tax assessment is under restoration appeal Minor - Sales tax assessment orders dated March 19, 2025 for Assessment Years 2014-15, 2015-16 and 2017-18 amounted to ₹15.51 crore including interest. The company filed a restoration application with the Joint Commissioner of State Tax (Appeals), Nagpur Division on April 08, 2025, and restoration was received vide order dated November 12, 2025. The holding company received one income-tax demand notice in the previous year and filed a rectification application under Section 154, with no contingent liability disclosed for the same.
  8. Seven consecutive years of clean audit opinions Clean - Statutory auditors Chaturvedi & Shah LLP issued unqualified opinions on both standalone and consolidated financial statements for every year from FY2019-20 through FY2025-26, with no qualification, reservation, adverse remark or Emphasis of Matter except a COVID-19 uncertainty call-out in FY2020-21 that did not modify the opinion. The only recurring technical exceptions are a database-level audit-trail gap in the SAP accounting software, with no tampering found, and working-capital return differences with banks. CARO reported no fraud, no wilful default, no benami proceedings and no fund diversion in every year from FY2019-20 through FY2025-26.

What to watch

Bottom line: This is an audited record with seven years of unqualified opinions and no fraud findings, but the cash conversion is the story: cumulative CFO at 0.49x EBITDA and FY26 CFO/PAT at 0.03x mean reported profits are not landing in the bank. The risk character is one of accounting choices and related-party structures, promoter-secured borrowings, and recurring shareholder approvals for pay, rather than hidden fraud. Watch the unbilled revenue line and the collection of IoT and JJM receivables, because those are the numbers that will tell you whether the cash ever arrives.
