Centum Electronics’ record is one of deep overseas losses finally surfacing after years of auditor warnings. The FY2026 numbers carry ₹211 crore of impairment on French and Canadian acquisitions that had been loss-making since at least FY2020, plus exceptional charges that reshape the reported loss. Revenue concentration has deepened past 65% with the top five customers, receivables have stretched to 115 days, and cross-border regulatory breaches on import/export timelines have persisted for seven consecutive years.
Key findings
- Overseas acquisitions in France and Canada fully collapse, forcing ₹211 crore of impairment in FY2026
Major- The standalone investment in Centum Electronics UK Limited was fully impaired by ₹153.78 crore after its net worth was eroded by losses. Consolidated goodwill of ₹37.62 crore and intangible assets of ₹17.83 crore from the Centum T&S Group S.A. acquisition were also fully impaired in FY2026. The auditor had flagged these carrying values as a Key Audit Matter, an area needing the most judgement, every year from FY2020 through FY2025, yet no impairment was recognised until now. - RBI import/export timeline breaches recur annually, alongside two minor regulatory infractions resolved with penalties or warnings
Major- From FY2020 through FY2026, the standalone financial statements have repeatedly disclosed trade payables, advances, and receivables outstanding beyond RBI-permissible time, with the company stating it is seeking extensions. As of March 31, 2026, trade payables of ₹28.11 crore, advances of ₹32.13 crore, and receivables of ₹5.27 crore were outstanding beyond those timelines. The company was fined by BSE and NSE for a one-working-day delay in disclosure of the final dividend record date for FY2019-20, and a Designated Person violated the SEBI insider-trading code on October 29, 2020, receiving a strict warning. - A ₹1 crore inter-corporate loan to a subsidiary was repeatedly extended and ultimately extinguished via merger
Minor- Centum Electronics had an outstanding loan of ₹1 crore to Centum T&S Private Limited as at March 31, 2025, which had fallen due during FY2024-25 and was extended. The same loan stood at ₹2 crore as at March 31, 2023, with the auditor confirming no amounts were overdue for more than ninety days. The amalgamation approved by NCLT Bengaluru on October 29, 2025 extinguished the inter-company loan.
What to watch
- Canada subsidiary liquidation. The Board decided to discontinue operations of Centum E&S and Centum T&S on December 19, 2025, and initiated liquidation proceedings.
- QIP proceeds utilisation. ₹60.01 crore of QIP proceeds remained unutilised as of the FY2025-26 CARO report, with the auditor noting delays in utilisation.
- RBI Master Circular compliance. Regulatory approvals for extensions on outstanding import/export payables, receivables, and advances as at March 31, 2026 are being sought.
- Foreign customer-cum-vendor netting. The ₹67.38 crore set-off of receivables and payables executed in FY2025 is pending regulatory approval.
Bottom line: This is a record of overseas acquisition losses that were flagged by auditors for years before finally landing in FY2026, alongside a deepening reliance on a handful of customers and a persistent pattern of cross-border compliance lapses. The audit opinions have stayed clean and CARO responses on fraud and fund diversion are unblemished, but the overseas subsidiary insolvencies are still unfolding. Watch the court outcomes in France and Canada, and whether the RBI compliance gaps finally close.
