Chemcon's audit record is clean on its face: six years of unqualified opinions, unqualified internal-financial-controls opinions, and explicit clean statements on fraud, wilful default, benami property, fund diversion and statutory dues. The record that needs scrutiny sits elsewhere: a ₹36 crore payment to the company's own promoters for a firm with ₹26.46 crore turnover, a pattern of regulator actions, and cash flow that has lagged reported profit across the cycle.
Key findings
- Chemcon paid ₹36 crore to its own promoters for a firm with ₹26.46 crore turnover, no external valuation
Critical- Chemcon acquired the entire business undertaking of Shivam Petrochem Industries, a partnership firm in the promoter group, for ₹36 crore under a Slump Sale Agreement dated October 18, 2025. The firm's FY2024-25 turnover was ₹26.46 crore. The consideration was "derived on basis of mutual negotiations" with "no external valuation report relied upon," and the company "shall have no control or oversight over end-use of consideration by the firm". The ₹36 crore was paid on December 25, 2025, and the FY2025-26 audit report carries an Emphasis of Matter on the acquisition, with goodwill of ₹41.37 crore recognized under Other Equity. - Regulator actions span environment and capital markets, while the company reports no penalties
Major- The Gujarat Pollution Control Board issued a closure notice on September 9, 2021 for Chemcon's Manjusar plant; operations were closed from September 11 to October 22, 2021, and the company paid ₹50 lakh interim compensation. NSE and BSE levied fines for board-composition delays under SEBI LODR for the quarters ended September 30 and December 31, 2023, which were paid. Promoters settled a separate SEBI matter for ₹78.08 lakh on February 24, 2021, with the company not a party. Yet Corporate Governance reports for FY2020-21 through FY2025-26 each state no instances of non-compliance or penalties on capital market matters in the last three years. - Operating cash flow has lagged profits, while delayed and shelved projects await returns
Major- Cumulative operating cash flow of ₹281 crore equals 0.55x cumulative EBITDA of ₹507 crore over the reported history. CFO/PAT fell to 0.23x in FY23 and 0.62x in FY24 before recovering to 1.57x in FY25 and 1.76x in FY26, while ROCE stayed at 5.73-6.97% across FY24-FY26. Management confirmed commercial production of 4 CBC and 2,5 DHT was "shelved" and the Guanine launch was delayed for Pollution Control Board approval. The P-10 facility was delayed due to product changes, with management expecting top-line of "3.5x to 4x" on ₹22 crore capex. - Promoter families dominate board and pay, with remuneration approved under "abundant caution" and public shareholders dissenting at 64-66%
Major- Promoter shareholding stood at 74.47% with zero pledge. The Chairman & MD's remuneration was approved at ₹6 lakhs per month plus variable pay up to 4% of net profits, with the company stating it "may exceed" statutory limits and seeking approval "as a matter of abundant caution". At the 35th AGM on September 26, 2024, public non-institutional shareholders voted against five remuneration resolutions at 64.98-66.56%, while promoters voted 100% in favour. On December 5, 2025, promoter Navdeep Naresh Goyal transferred 62,33,500 shares by off-market inter-se gift at nil value, reducing his holding from 23.50% to 6.48%. - Receivables concentration is shifting even as revenue declines
Minor- Revenue fell 22% to ₹207.4 crore in FY2024-25 from ₹267.1 crore in FY2023-24. As at March 31, 2026, 4 customers accounted for 40.97% of trade receivables, against 7 customers and 64.59% a year earlier. Management admitted in Q3 FY2023 that HMDS margins "should start reducing to some extent" and that the cost-plus model "keeps on changing. It is not in fixed model". - Six years of clean audit opinions and CARO cleans on fraud, wilful default and fund diversion
Clean- Statutory auditors issued unqualified opinions for every year from FY2020-21 through FY2025-26, with no Key Audit Matters in any year. CARO reported no fraud, no wilful default, no benami proceedings, no undisputed statutory dues in arrears for more than six months, and no cash losses in the year under audit and the immediately preceding year in each of FY2020-21 through FY2025-26. The only blemish: working-capital statements filed with banks in FY2023-24 were not in agreement with books, because the company excluded stores, spares and fuel inventory. - Statutory auditor rotated on schedule with no resignations and no material fee change
Clean- K C Mehta & Co LLP completed its five-year tenure at the 35th AGM, and Shah Mehta & Bakshi was appointed for five years with proposed remuneration of ₹4.7 lakhs per year, "no material change" from the prior auditor. The resolution passed with 99.83% votes in favour, though public non-institutions voted 64.82% against. The FY2025-26 audit report was signed May 21, 2026 by Shah Mehta & Bakshi.
What to watch
- Shivam Petrochem integration. Completion of the slump-sale integration and any post-acquisition performance disclosures in the FY2026-27 annual report.
- Regulatory review of the ₹36 crore acquisition. Any review given the absence of external valuation and the counterparty's FY2024-25 turnover of ₹26.46 crore.
- 37th AGM, 17 September 2026. Shareholders will ratify the Cost Auditor's remuneration and consider re-appointment of Mr. Rajesh Chimanlal Gandhi as Whole-time Director.
- CRISIL rating action. Next action on the ₹53 crore bank loan facilities, following the reaffirmation at BBB+/Stable on 7 July 2026.
- HMDS margin commentary. Management's pricing commentary in upcoming earnings calls, given the Q3 FY2023 admission that margins "should start reducing to some extent".
Bottom line: This is an audited record with six years of clean opinions and explicit clean statements on fraud, default and fund diversion. The risk is concentrated in related-party dealings and capital allocation: a ₹36 crore payment to promoters for a smaller firm with no valuation, cash flow that has run at 0.55x EBITDA across the cycle, and capital parked in delayed or shelved projects. Watch the Shivam Petrochem integration, the AGM on 17 September 2026, and the next CRISIL rating action.
