Chamanlal Setia Exports' record carries a clean balance sheet on the surface, promoter pledge is nil and the statutory auditor rotated on schedule, but the audit trail underneath is contradictory. The auditor has qualified the accounts for four straight years on the same unreconciled items, while the company's own governance reports deny any modified opinion. Reported profit has also not converted into operating cash over nine years, even as the company kept paying dividends and ran a ₹60 crore buyback.
Key findings
- Auditor has qualified accounts four years running, while governance reports deny it
Major- Rajesh Kapoor & Co. qualified the FY2025-26 opinion over disputed doubtful receivables of 1.81 crore, payables of ₹16.34 lakh, and MSME interest of ₹8.14 lakh. The same three items drove the FY2024-25 qualification, at 2.52 crore, ₹16.53 lakh and ₹6.27 lakh. The FY2025-26 Corporate Governance report nonetheless states the financials "do not contain any modified opinion". - Nine years of profit with almost no operating cash, yet dividends and a buyback continue
Major- Cumulative CFO was ₹52 crore against cumulative PAT of ₹726 crore over nine years, a 0.08x conversion ratio. FY2023-24 CFO was negative ₹38.21 crore against PAT of ₹116 crore. The board approved a ₹60.24 crore buyback on 06.08.2024 and recommended a ₹3.00 per share final dividend for FY2025-26 on 26.05.2026. - Depreciation switch and land revaluation flattered profit and reserves
Major- A change from WDV to SLM depreciation in FY2024-25 cut depreciation expense by 3.46 crore, boosting profit by the same amount. A FY2022-23 land revaluation added 79.81 crore to reserves without touching the P&L. - Rising interest on director loans, with auditor unable to verify arm's-length pricing
Major- Interest on unsecured director loans at 9% p.a. rose from ₹3.88 crore in FY2020 to ₹6.13 crore in FY2026. The auditor's CARO report for FY2026 says related-party transactions comply with Sections 177 and 188 except that "Arm' length price is technical issue for us and is not determinable". - One family runs the board, and public institutions voted against its appointments up to 78%
Major- Four promoter-directors from the Setia family hold the Chairman, MD, Joint MD and both Whole-time Director posts. In a postal ballot on 18.04.2024, public institutional shareholders voted 78.01% against the appointment of an Independent Director. Promoter-director salaries were raised repeatedly, with Mr. Vijay Kumar Setia's basic pay going from ₹8,00,000 to ₹15,00,000 per month by 28.08.2025. - Reported debt is ₹8.86 crore, but ₹350 crore of bank limits sit behind it
Major- Bank borrowings fell from ₹61.11 crore in FY2024-25 to ₹8.86 crore in FY2025-26. Working capital limits of ₹350 crore were renewed in FY2025-26 against current assets and ₹17.45 crore of pledged fixed deposits. A prior ₹100 crore PNB enhancement was rendered "non existent" after HDFC Bank refused a pari passu charge. - Export-driven revenue, but receivables carry recurring disputes with no provision
Minor- Exports made up 88% of revenue in FY26. Doubtful trade debts of 4.47 crore, undisputed but beyond one year, carried no provision as of FY24. Receivable days rose from 53.75 in FY24 to 59.21 in FY26. - Contingent liabilities are small but some have lingered unresolved for years
Minor- A ₹17,50,000 customs penalty appeal has been disclosed continuously since FY2019-20, now before the Gujarat Haryana High Court. Brand-name suits by M/s PK Overseas and M/s KRBL Limited remain pending with no provision. - Statutory auditor rotated on schedule, with no adverse findings
Clean- M/s R Chopra & Associates completed its five-year term at the 28th AGM in 2022, declining a second term. M/s Rajesh Kapoor & Co. was appointed for five years from 30.09.2022. CARO reports state no statutory auditor resignation in any year from FY2021-22 through FY2025-26.
What to watch
- FY2026-27 audit opinion. Whether the same receivables, payables and MSME interest qualifications recur for a fifth consecutive year, in the annual report due after 31.03.2027.
- Final dividend payment. ₹3.00 per share payable from 28.09.2026, subject to shareholder approval at the 32nd AGM.
- Working capital drawdown. Whether the ₹350 crore limits sanctioned in FY2025-26 are drawn in FY2026-27, against reported borrowings of ₹8.86 crore as on 31.03.2026.
- Brand-name suits. Outcome of the M/s PK Overseas and M/s KRBL Limited infringement suits, both pending as at 31.03.2026.
- Customs penalty appeal. Gujarat Haryana High Court decision on the ₹17,50,000 penalty, pending as at 31.03.2026.
Bottom line: This is a promoter-controlled exporter with a clean pledge position and an orderly auditor rotation, but the financial record carries a persistent contradiction: four straight qualified opinions denied by the company's own governance reports, and nine years of profit that barely produced operating cash. The risk is concentrated in how the company accounts for receivables, related parties and asset values. Watch the FY2026-27 audit opinion and whether the sanctioned bank limits actually get drawn.
