Container Corporation Of India Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Container Corporation of India has received clean audit opinions every year for six years, and its statutory auditor changed once in that period under a routine C&AG appointment. But the clean opinions sit alongside a long list of unresolved items the auditor itself keeps flagging: contingent liabilities have more than doubled to ₹2,374.50 crore, the board has been non-compliant on independent director composition in each of the four years from FY2022-23 through FY2025-26, and the company has twice lifted profit by extending asset useful lives.

Key findings

  1. Contingent liabilities have more than doubled in three years to ₹2,374.50 crore Major - Consolidated contingent liabilities rose from ₹1,058.22 crore in FY2022-23 to ₹2,374.50 crore in FY2025-26, with provision recognised at ₹Nil in each of the last three years. The largest driver is an unresolved Land Licence Fee demand from Indian Railways, booked at ₹398.77 crore in FY2025-26 with no Right of Use Asset or Lease Liability recognised because future exposure is unascertainable. A 2013 arbitration award of ₹89.95 crore plus 18% interest against the company remains under challenge in Delhi High Court, with the next hearing on 21.08.2026.
  2. Clean opinions every year, but the auditor's own Emphasis of Matter paragraphs and CARO exceptions show persistent unresolved items Major - The standalone audit opinion was unqualified for every year from FY2020-21 through FY2025-26, with no Key Audit Matters communicated in any year. But the auditor's Emphasis of Matter on the Land Licence Fee not being final, and on sundry debtors and advances subject to confirmation with balances outstanding more than 3 years, appeared in every one of those six years. Trade receivables outstanding more than 3 years were ₹29.34 crore as at 31 March 2026, with no provision for ₹24.52 crore of that amount.
  3. CONCOR has repeatedly lifted reported profit through useful-life extensions on wagons and LNG trucks Major - CONCOR increased the useful life of company-owned wagons from 15 years to 30 years during FY2024-25, reducing depreciation by ₹92.11 crore and increasing profit before tax by the same amount. It did the same for LNG Trucks & Trailers from 8 years to 15 years during FY2025-26, reducing depreciation by ₹8.07 crore. The company states the effect of the wagon extension on future periods is impracticable to disclose.
  4. CONCOR has accumulated ₹1.84 crores in unpaid stock-exchange fines for board-composition non-compliance Major - Total fines imposed by BSE and NSE during various quarters of 2022-23, 2023-24, 2024-25 and 2025-26 for not having the requisite number of Independent Directors were ₹1.62 crores, and total fines outstanding as at 31.03.2026 were ₹1.84 crores. The Board decided the fines were not payable by CONCOR because appointment of Independent Directors is done by the Government, and the fines were not paid.
  5. CONCOR has repeatedly avoided impairing its Cochin terminal JV investment despite accumulated losses approaching or exceeding the full investment value Major - India Gateway Terminal Pvt. Ltd. had accumulated losses of ₹54.55 crore against an investment of ₹54.60 crore as at 31.03.2023, and losses exceeded the investment in FY2021-22 and FY2020-21, with no provision for diminution made in any year. As at 31.03.2026, accumulated losses were ₹36.36 crore against the same ₹54.60 crore investment, with management stating turnaround is established. Separately, the CAG supplementary audit for FY2022-23 asserted impairment of ₹13.51 crore should have been provided on CONCOR Air Limited instead of ₹1.25 crore, overstating profit before tax by ₹12.26 crore.
  6. CONCOR's consolidated group carries lease liabilities of ₹837 crore Major - The consolidated financial statements show lease liabilities carrying amount of ₹837.21 crore as at 31 March 2025. The un-discounted contractual maturity analysis of lease liabilities as at 31 March 2025 shows amounts due in 1st year of ₹173.90 crore, 2nd year ₹128.34 crore, 3rd year ₹74.62 crore, 4th to 5th year ₹60.10 crore, and after 5th year ₹1,270.90 crore. CONCOR has not recognised any Right of Use Asset or Lease Liability for lands licensed by Indian Railways, with future exposure stated as not ascertainable.
  7. Statutory auditor rotated from S. N. Nanda & Co. to Hem Sandeep & Co. in FY2023-24 under C&AG appointment Clean - M/s. S. N. Nanda & Co. served as statutory auditor from FY2019-20 through FY2022-23, appointed each year by C&AG of India. M/s. Hem Sandeep & Co. replaced them from FY2023-24, appointed by C&AG vide order dated 12.09.2023, and continued through FY2025-26. CARO reported no resignation of statutory auditors during the year in each of FY2021-22 through FY2025-26.

What to watch

Bottom line: This is a government-owned company with an unbroken string of clean audit opinions and an orderly auditor rotation. The risk is not in the opinion, it is in what the auditor keeps flagging around it: a growing pile of contingent liabilities, a board that has accumulated unpaid stock-exchange fines for non-compliance in four of the last five fiscal years, and accounting choices that have twice boosted profit. Watch the court dates and the waiver requests in What to watch, and read the contingent liability note before the profit line.
