Consolidated Finvest & Holdings' record shows a clean audit trail on the surface, unqualified opinions every year from FY2020 through FY2026, but the cash story underneath is the opposite of the profit story. Cumulative operating cash flow was ₹-151 crore against cumulative reported profit of ₹419 crore over nine years, and the gap is explained by fair-value gains on investments the company itself says it cannot value reliably. The group structure, the auditor's own contradictions, and a regulator's warning letter all point to the same question: where the reported profit actually comes from.
Key findings
- Reported profits rest on self-assessed fair-value gains, not cash
Critical- Cumulative operating cash flow was ₹-151 crore against cumulative profit of ₹419 crore over nine years, a CFO/(PAT−other income) ratio of -1.24x. Other income of ₹210 crore was 46% of profit before tax in the latest year. The company's unquoted shares are "measured at fair value considering cost due to insufficient information to measure fair value", stated consistently from FY2018-19 through FY2025-26. The effective tax rate was 2.4% versus 25.2% statutory over three years. - Clean opinions with a title-deed exception and a disputed-dues table
Major- Kanodia Sanyal & Associates issued an unqualified opinion for FY2025-26 with no Key Audit Matters and no Emphasis of Matter. FY2019-20 had a clean opinion with a Key Audit Matter on transition to Ind AS, while FY2020-21 through FY2025-26 had no Key Audit Matters. CARO clause 3(i)(c) in FY2025-26 states title deeds of immovable properties are NOT held in the company's name, an exception reported in every prior year too. The FY2023-24 audit disclosed a table of disputed statutory dues; the FY2024-25 and FY2025-26 audits said no such dues were pending. - Annual report's RBI no-penalties statement conflicts with audit findings
Major- The FY2025-26 secretarial audit recorded that the company failed to file with the stock exchange an intimation regarding the RBI Dissatisfaction cum Warning letter dated 14 January 2026. The same audit recorded three RBI lapses: a DNBS01 return filed one day late, no Risk Management Committee constituted during the year, and no proof of a directors' change statement filed with RBI. The annual report nonetheless states "There are no penalties or stricture imposed on the Company by the Reserve Bank or any other statutory authority". Earlier annual reports from FY2018-19 through FY2024-25 contain a narrower capital-markets-specific statement that no penalties were imposed by stock exchanges or SEBI. - One investment gained ₹191.86 crore in two years; another was impaired at just ₹1.00 lakh despite "complete erosion of net worth"
Major- The company booked a ₹92.1 crore fair-value gain on Jindal India Power Limited in FY2025-26, against a prior-year gain of ₹99.76 crore, on an investment with a ₹23.2 crore cost. In FY2022-23, it booked a ₹14.82 crore gain on the same investee after cumulative losses of ₹23.2 crore up to 31.03.2022. In FY2025-26, the company impaired another investment by ₹1.00 lakh due to "complete erosion of net worth" of the investee. - Zero bank borrowings, but preference shares carry extended redemptions and conversion options that act like deferred equity
Major- The company reports "No borrowings from banks or financial institutions" in FY2025-26 while carrying multiple preference-share series with redemption dates extending to 16.08.2027 and FY2028-29. The 0% NCRPS redemption was extended by four years to 16.08.2027 at 7% premium; certain RPS were extended by five years to 27.03.2029 at 10% premium. Investments of ₹48,897 crore are excluded from maturity analysis as having no set maturity. - Seven straight years of "no material related-party transactions" certifications, while the related-party universe was reshaped by an amalgamation
Major- For FY2018-19 through FY2025-26, the Board's Report in each year states no material related-party transactions, no Section 188 contracts, and Form AOC-2 not applicable. The related-party list changed from a controlling company, one subsidiary and five associates in FY2018-19 to a holding company with no subsidiaries and no associates in FY2025-26. The FY2024-25 auditor confirmed no loans or guarantees were provided to any entity during the year. - Statutory auditor tenure is stable; secretarial auditor rotation and a clerical filing error are disclosed, not hidden
Minor- Kanodia Sanyal & Associates was appointed at the AGM held 29.09.2022 for five years until 2027, succeeding P.L. Gupta & Co.. The secretarial auditor changed from Ashu Gupta & Co. to GAA Partners & LLP effective 31 July 2025. On 4 August 2025, the company clarified that its 30 June 2025 intimation regarding a director's resignation inadvertently omitted the resignation letter, calling the omission "purely a clerical" error. - Contingent liabilities are immaterial and stable, with no IBC proceedings
Clean- The standalone contingent liability was ₹1.01 lakh for assessment year 2013-14 in FY2020-21 and FY2021-22, and for assessment year 2018-19 in FY2022-23, and nil as of 31.03.2026. No application was made or proceeding pending under the Insolvency and Bankruptcy Code during FY2021-22, FY2022-23 and FY2024-25. A ₹5.08 crore loan write-off in FY2022-23 was based on a tribunal order and considered in the tax provision.
What to watch
- RBI warning letter fallout. The Dissatisfaction cum Warning letter dated 14 January 2026 was not intimated to the stock exchange; any further regulatory action will follow from that failure.
- Preference share redemptions. The 0% NCRPS are due within 16.08.2027 at 7% premium; RPS are due within FY2028-29 at 10% premium.
- Jindal India Power valuation. The fair value will be determined per an IBBI Registered Valuer report as at 31 March 2027, with any gain or loss booked in FY2026-27 results.
- Title-deed and disputed-dues disclosures. The FY2026-27 audit will show whether the CARO title-deed exception continues and whether disputed statutory dues reappear.
- Auditor appointment. The 41st AGM in 2027 will determine the next statutory auditor as Kanodia Sanyal & Associates' five-year term concludes.
Bottom line: This is a record with a clean audit opinion every year, a stable statutory auditor, and immaterial contingent liabilities. The risk is not in what the auditor flagged, it is in what the auditor did not flag. Reported profit is repeatedly driven by fair-value gains on investments the company itself says it cannot value, operating cash flow is deeply negative, and the group structure routes 88% of profit through entities the company says are not subsidiaries. Read the profit line as a valuation estimate, not a cash result, and watch the items above for whether the pattern continues.
