DCX Systems Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

DCX Systems' record carries a clean audit opinion for FY2025-26, but the surrounding disclosures describe a company whose reported profits have not converted into operating cash, whose largest proposed related-party transaction involves a counterparty with no business yet, and whose "Nil Debt" position sits behind ₹1,000 crore of bank facilities. The most serious item is a shareholder-approved ₹2,000 crore related-party cap with a promoter-linked entity that has no revenue, while the promoter abstained from voting. Cash generation, revenue quality, and the subsidiary structure each carry separate flags.

Key findings

  1. ₹2,000 crore related-party cap approved with a promoter-linked entity that has no revenue Critical - DCX sought shareholder approval on 9 April 2026 for material related-party transactions with ELTX Systems Private Limited, an associate, capped at ₹2,000 crore for FY2026-27, about 184.56% of FY2024-25 consolidated turnover of ₹1,083.67 crore. ELTX had not commenced operations as of FY2025-26, with turnover, profit, and net worth all reported as NA, and transactions with it were Nil in FY2025-26. The resolution passed on 12 May 2026 with 99.35% of votes polled in favour, while the promoter group's 58,104,342 shares did not vote.
  2. Negative cumulative operating cash flow against reported profits, with QIP proceeds unutilised Major - Cumulative operating cash flow was ₹-108 crore against cumulative PAT of ₹274 crore and cumulative other income of ₹268 crore over six years. DCX raised ₹400 crore via IPO in 2022 and ₹500 crore via QIP in January 2024, yet ₹361.78 crore of QIP proceeds remained unutilised as of FY2024-25 year-end. ROCE fell to 0.84% in FY26 from 5.17% in FY25.
  3. "Nil Debt" masks ₹1,000 crore of bank facilities and ₹131 crore of subsidiary guarantees Major - DCX's working capital facilities are secured by bank guarantees at cash margins of 30%-100% and corporate guarantees from promoter group companies, though no working capital borrowings were outstanding as at 31 March 2026. DCX provided corporate guarantees of ₹100 crore and ₹31 crore to Kotak Mahindra Bank for subsidiary Raneal Advanced Systems, totalling ₹131 crore. On 8 May 2026, Crisil downgraded DCX's long-term rating on ₹1,000 crore bank facilities from 'Crisil A-/Stable' to 'Crisil BBB+/Stable'.
  4. No expected credit loss provision for four years while receivables age and revenue timing slips Major - DCX made no expected credit loss provision on trade receivables in FY2022-23, FY2023-24, FY2024-25, or FY2025-26, each based on management estimates. Receivable days rose from 55.64 in FY25 to 65.99 in FY26, while revenue fell from ₹1,084 crore to ₹743 crore. The FY2025-26 audit report carries an Emphasis of Matter on reduced export sales from lower volumes from the overseas customer.
  5. Subsidiary structure expanded to a cross-border group with an unconsolidated Israeli JV Major - DCX had one dormant Indian subsidiary as of March 2023, but by March 2025 had two material subsidiaries including Niart Systems Limited, incorporated in Israel on 15 October 2023. Niart's financials were not consolidated in FY2023-24 because capital contribution was pending and operations had not commenced. A second Israeli-linked JV, ELTX Systems Ltd, was incorporated in India on 10 October 2025, with DCX holding 37%.
  6. Promoter stake cut from 27.46% to 20.12% in under a year, with remuneration locked regardless of profit Major - NCBG Holdings Inc sold shares on 22 August 2024, 13 June 2025, 23 June 2025, and 26 June 2025, reducing its stake from 27.46% to 20.12%. The CMD's reappointment from 28 June 2026 to 28 June 2031 is payable as minimum remuneration irrespective of profits. A new Whole-Time Director appointed 1 September 2025 receives a 10% commission on profit before tax for purchase orders he procures exceeding ₹10 crore, also as minimum remuneration irrespective of profits.
  7. Promoter-level NCLT amalgamation changed the controlling shareholder; depreciation doubled; gratuity disclosures conflict Major - The NCLT Ahmedabad Bench approved the amalgamation of VNG Technology Private Limited with Raneal Technologies Private Limited on 11 December 2024, effective 30 December 2024, dissolving VNG without winding up. 8. Corporate guarantee exposure to subsidiary Raneal grew to ₹131 crore; disputed statutory dues are immaterial Major - DCX's corporate guarantee to Raneal Advanced Systems stood at ₹131 crore as of 4 March 2025, up from 45 crore in FY2022-23. Standalone disputed statutory dues totalled just 0.11 crore as of 31 March 2025. In the Q2 FY25 earnings call, management declined to quantify the bill of materials guarantee claim amount.

What to watch

Bottom line: This is a disclosed and audited record whose central tension is cash: reported profits of ₹274 crore over six years produced negative operating cash flow of ₹108 crore, and the equity raised has largely stayed in deposits. The related-party cap with ELTX, a company with no business yet, is the single largest item to understand, alongside the off-balance-sheet bank facilities and the subsidiary guarantees. Watch whether the ELTX transactions begin, whether QIP proceeds reach operations, and how Crisil's next review treats the ₹1,000 crore facility.
