Dev Accelerator Ltd’s record carries real cash generation and a recently completed IPO, but the surrounding structure is unusually complex. Promoter equity is heavily encumbered, reported debt excludes large lease liabilities, the subsidiary map is shifting quickly, and the company cycled through three auditors in four months during 2024.
Key findings
- Promoter-linked financing runs in both directions
Major- Directors had extended unsecured loans of ₹3.99 crore outstanding as of the September 17, 2025 DRHP, while the Board approved preferential warrants to the same promoters on March 24, 2026. The company also extended a ₹490 Lacs corporate guarantee on behalf of subsidiary Neddle and Thread LLP during FY2025-26. The Scaleax stake sale went to a corporate promoter and a related individual for ₹3,80,000. - Revenue quality is weakening as credit-loss provisions more than double
Major- Consolidated allowance for credit loss rose to ₹1.95 crore as at March 31, 2026 from ₹82.62 lakhs a year earlier, a 2.35x increase. Of ₹53.8 crore consolidated revenue, ₹42 crore is managed office space and the rest is one-time Needle & Thread revenue. - Accounting choices flatter reported profit: IPO costs bypass the P&L, and other income dominates pre-tax profit
Major- The company paid ₹7.5 Lacs to auditors for IPO services and adjusted this from securities premium rather than expensing it in FY2025-26. Other income of ₹11 crore represented 69.7% of profit before tax of ₹16 crore. The company also recognised net exceptional income of ₹18.09 Lacs in both standalone and consolidated P&L for FY2025-26. - Operating cash flow far exceeds profit, but capital sits in interest-free deposits and fit-outs while interest coverage is 1.4x
Major- CFO was ₹89.85 crore against PAT of ₹8.84 crore in FY26, a 10.16x ratio, following 52.97x in FY25 and 17.18x in FY24. Management disclosed roughly ₹118 crore spent on fit-outs for the 0.11 crore sq ft portfolio, plus deposits for 0.23 crore sq ft signed for future take-up. Interest coverage stood at just 1.4x, and the company sought shareholder approval to use warrant proceeds for a ₹35.10 crore interest-free refundable security deposit for the Winston building lease.
What to watch
- NCD bullet redemption. The ₹100 crore NCD is due for single bullet repayment on August 4, 2029.
- Warrant conversion. Conversion of the 33,33,330 preferential warrants awaits stock exchange in-principle approvals as of the FY2025-26 financial statement approval date.
- Winston building deposit. The ₹35.10 crore interest-free refundable security deposit must be fully deployed within 12 months of receipt per the postal ballot notice dated March 24, 2026.
- Ahmedabad fit-out spend. Progress on the approximately ₹100 crore fit-out investment for the 8.6 lakh sq ft development management project, as disclosed in the Q1 FY27 transcript dated June 2026.
- GST appeals. Adjudication pending for demands aggregating ₹141.87 Lacs (standalone) / ₹1.42 crore (consolidated) as of the FY2025-26 Annual Report.
Bottom line: This is a cash-generative business with a completed IPO and operating cash flow that has covered profit many times over. The risk is structural: reported leverage understates true debt, promoter equity is both pledged and being diluted, and the subsidiary map is shifting while most profit sits below the standalone line. Watch the NCD covenants, the warrant conversion, and whether the security deposit and fit-out commitments strain the 1.4x interest coverage.
