Dhunseri Investments Ltd Growth Catalysts - SOIC x StockScans Report

as of Jul 2026

  1. DVL stake consolidation - purchase from NDGL - DIL completed the purchase of an 8.79% stake in Dhunseri Ventures Ltd from Naga Dhunseri Group Ltd by 10 March 2025, lifting its holding to 65.23% and securing controlling interest. A larger share of DVL’s earnings now flows directly to DIL’s consolidated results, strengthening the main earnings driver at a time when the flexible-packaging segment alone contributed over ₹366 crore in FY25 revenue.
  2. DTIL stake exit - sale to NDGL - DIL sold its entire 45.77% stake in Dhunseri Tea and Industries Ltd to NDGL during FY25, exiting a segment where tea manufacturing PBIT margin had swung to -66%. Removing a loss-making associate simplifies the portfolio and stops the drag on consolidated return ratios, which stood at ROCE 3.63% and ROE 1.70% in the latest annual period.
  3. Hatibari Tea Factory sale - Possession of the Hatibari Tea Factory was handed to the buyer on 31 July 2025, and a profit on settlement of ₹22.55 lakhs was booked in FY26 standalone results. The sale completes the exit from legacy tea manufacturing assets, freeing management attention and capital for the core investment and packaging businesses.
  4. Dividend growth - The board recommended a dividend of ₹3.00 per share for FY25, up from ₹2.50 in FY24, and has already recommended ₹3.00 for FY26, subject to shareholder approval. A rising dividend on a ₹535-crore market-cap base signals confidence in the investment portfolio’s cash generation, even as consolidated operating profit turned negative in the latest year.
  5. NBFC lending growth - DIL’s Capital Adequacy Ratio stood at 95.71% as of 31 March 2025, against a regulatory minimum of 15%, while the Indian NBFC sector recorded 20% credit growth in FY25. The surplus capital provides ample headroom to scale the lending book without dilution, at a time when industry balance sheets expanded 20% to ₹28.2 lakh crore.
