D-Link India Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

D-Link India’s record carries seven years of unqualified audit opinions, a debt-free balance sheet, and only two minor regulatory fines. Three things deserve attention: revenue recognition has been a standing Key Audit Matter for six years while customer concentration deepens and cash conversion collapsed to 0.14x in FY26; dividends of ₹97.6 crore in FY26 far exceeded the year’s ₹14.89 crore of operating cash flow; and the same two IT control exceptions have appeared in the audit report for three consecutive years without remediation.

Key findings

  1. Revenue recognition is a standing KAM as cash conversion collapses Major - The auditor has flagged revenue recognition as a Key Audit Matter, an area needing the most judgement, in every annual report from FY2020 through FY2025. Revenue from the top two standalone customers rose to ₹854.52 crore in FY26, 54.6% of total standalone revenue, while receivable days stretched to 103. Operating cash flow fell to 0.14x of profit in FY26, with ₹14.89 crore of CFO on ₹104 crore of PAT.
  2. Dividends have escalated sharply while operating cash flow remains structurally weak Major - Cumulative CFO of ₹386 crore covered only 0.54x of cumulative EBITDA of ₹721 crore over the six years to FY26. The Board recommended a total dividend of ₹27.50 per share for FY26, aggregating to approximately ₹97.6 crore, against operating cash flow of just ₹14.89 crore. Dividend per share rose from ₹1.50 in FY20 to ₹27.50 in FY26.
  3. Audit opinions are unqualified, but two IT control exceptions have recurred for three years Minor - The auditor issued unqualified opinions on all standalone and consolidated financial statements from FY2020 through FY2026. However, the audit trail was not enabled at the database level and not enabled for most books of account in FY2024, FY2025, and FY2026. The electronic back-up of books was not kept on servers physically located in India, a finding repeated in every annual report from FY2023 through FY2026.

What to watch

Bottom line: This is a debt-free, consistently audited record with a clean regulatory history. The risk sits in the widening gap between reported profit and cash generation, compounded by customer concentration that now exceeds half of standalone revenue. Read the receivables line and the CFO/PAT ratio with that in mind, and watch whether the IT control exceptions are finally remediated.
