Doms Industries’ record is clean on its face: three consecutive unqualified audit opinions and no fraud reported by auditors. Three things deserve attention: promoter FILA has slipped below the 20% threshold that anchors its veto rights, goodwill of ₹73.96 crore sits untested across three acquisitions, and free cash flow has been negative for two straight years while IPO capex funds were utilised far below plan.

- Associate loan of 10 crore. No stipulated principal repayment schedule as of the FY2024-25 CARO report.
Bottom line: This is a disclosed and audited record with real cash conversion but a persistent audit-trail exception on fraud. The risk sits in three places: the promoter shareholding structure, which has crossed a contractual threshold with consequences not yet resolved; the goodwill balance, which depends on assumptions the company itself flagged as sensitive; and the capital allocation pattern, where IPO funds meant for capex went to working capital while free cash flow turned negative. Watch the FILA stake, the goodwill impairment sensitivity, and the borrowing expansion vote.
