Diensten Tech Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Diensten Tech’s record shows a company transformed by its IPO: revenue more than doubled, but almost all of it comes from a single staffing line whose unbilled receivables have tripled, while goodwill from promoter-linked acquisitions sits untested by impairment despite consolidated losses. Operating cash flow is absent, and the business has relied on IPO proceeds to fund working capital. Related-party loans that once dominated the balance sheet have been fully repaid, and a legacy tax demand was closed.

Key findings

  1. Revenue doubled but is almost entirely from one volatile staffing line, with unbilled receivables tripling Major - Revenue from operations rose 114.9% to ₹139.36 crore in FY2025-26, and IT staffing made up approximately 98% of that total. Unbilled revenue included in trade receivables not due climbed to ₹18.33 crore as at March 31, 2026, from ₹6.68 crore a year earlier. Three customers contributed more than 10% of revenue in FY2024-25, and the company itself notes that staffing businesses face receivables risk because wage costs are incurred before client payments arrive.
  2. Goodwill from related-party acquisitions has grown, with no impairment despite consolidated losses Major - Goodwill stood at ₹7.96 crore as at March 31, 2026, unchanged from the prior year, and no impairment was recorded even though consolidated PAT was a loss of ₹0.52 crore. The balance includes goodwill of ₹28,668.00 thousand from Klaus IT Solutions and ₹11,154.00 thousand from Skandha IT Services, recognised under business transfer agreements dated in 2024. The auditor identified recognition of intangibles under these agreements as a Key Audit Matter, citing materiality and significant management judgement.
  3. Operating cash generation is absent, and the company relied on IPO proceeds to fund working capital Major - The company incurred cash losses of ₹65.27 lakh in FY2024-25 and ₹3.11 crore in FY2023-24. Net proceeds from the IPO completed during FY2024-25 were ₹21.78 crore, of which ₹3.59 crore was used for working capital. Borrowing costs of ₹30.89 lakh were capitalised into intangible assets under development during FY2023-24, compared to nil in the prior year.
  4. Large related-party loans from promoter-linked entities were fully repaid Minor - In FY2024, the company borrowed ₹10.00 crore from Genext Estates, a KMP-influenced entity, and repaid it in full by 31 March 2025. Earlier loans of ₹10.00 crore each from JK Technosoft and Translink Consulting were fully repaid by 31 March 2024. Trade receivables from related parties fell from ₹1.39 crore as at 1 April 2023 to nil by 31 March 2025, while trade payables to related parties stood at ₹3.39 lakh as at 31 March 2026.
  5. Two subsidiaries were added in FY2025-26, one loss-making and the other unaudited Minor - Ushta Te Consultancy Services LLP, acquired on 12 May 2025, reported a loss after tax of ₹3.19 crore on total income of ₹23.42 crore for the period to March 2026. Diensten Tech Inc., acquired on 10 November 2025, reported a profit of ₹151 on total income of ₹500 and was not audited by the group auditor, its statements instead certified by management. The parent’s investment in Ushta Te is ₹19.00 crore and in Diensten Tech Inc. is ₹0.89 lakh as at March 2026.
  6. Promoter shareholding fell 24.65 percentage points to 70.85% Minor - Promoter holding decreased from 95.50% to 70.85% in the latest year. An ESOP plan approved on 27 December 2024 set an exercise price of ₹90 per option against a grant-date share price of ₹138, and 266,400 options were granted on 20 March 2025. No managerial remuneration was paid to any director during FY2025-26, FY2024-25, or FY2023-24.
  7. The Ind AS transition involved one-time exemptions, and deferred tax assets grew to ₹2.85 crore Minor - The company adopted Ind AS in FY2024-25 and elected to use previous GAAP carrying values as deemed cost for property, plant and equipment and intangible assets. Transition adjustments transferred ₹11.92 lakh of interest and ₹6.60 lakh of professional services costs previously capitalised under Indian GAAP to the profit and loss account. Net deferred tax assets rose to ₹2.85 crore as at March 2025, including carried forward losses and unabsorbed depreciation of ₹2.52 crore.
  8. A legacy trade tax demand was closed, and three small income tax appeals remain pending Clean - The UP Trade Tax Department demand for FY2013-14, originally ₹7.09 lakh, was closed by an order dated 23 June 2025. Fixed deposits pledged against that litigation fell to nil as at March 2026. Three Income Tax disputes, each for ₹1,000 thousand, remain pending before the CIT (Appeals) for AY 2022-23, AY 2023-24, and AY 2024-25 as of March 2025.

What to watch

Bottom line: This is a disclosed record with a clean audit opinion and related-party loans that have been fully repaid. The character of the risk is concentration: revenue depends on a single staffing line and a handful of customers, while the goodwill built from promoter-linked acquisitions has yet to be tested by sustained consolidated profits. Watch the Klaus IT Solutions deal closing and the next impairment test for evidence on whether those intangible assets hold their value.
