Eppeltone Engineers' statutory record is clean: unmodified audit opinions for FY2025-26, no Key Audit Matters, and no material inventory discrepancies. But the cash story is the opposite of the profit story, six years of cumulative profit of ₹35 crore produced negative ₹19 crore of operating cash, and the promoters cut their stake by over 21 percentage points in one year through an off-market sale. The board has also approved ₹100 crore of debenture issuance while reported borrowings are far smaller, and bank guarantees have grown 32% in a year.
Key findings
- Reported debt understates the real obligations
Major- Bank guarantees stood at ₹28.86 crore as of FY2025-26, up from ₹21.88 crore, with no provision made. The board on 03.12.2025 and the EGM on 29.12.2025 approved NCD issuance of up to ₹100 crore. Quarterly working-capital filings to banks disagreed with the books across FY2024 and FY2025, inventory differed by 7.91 crore for Dec 2024, debtors by 1.65 crore for Jun 2024, creditors by 8.84 crore for Sep 2024. - Profits do not convert to cash, and costs are capitalised
Major- Cumulative CFO over FY2021-FY2026 was negative ₹19 crore against cumulative PAT of ₹35 crore; FY26 CFO was negative ₹17.84 crore and FY25 negative ₹8.02 crore. The CFO attributed ₹1.4-1.5 crore of the ₹1.92 crore capitalised under "intangibles under development" to employee costs. He also confirmed working capital was repaid from IPO proceeds, and declined to answer a question on negative operating cash flow in H1 FY25. - Sales are converting into receivables, not cash
Major- Receivables reached 99.22% of sales as of 30 September 2025, versus about 69% a year earlier. Receivable days were 79.63 in FY25 and 127 in FY24. Management said the credit cycle is "somewhere between 60 days to 120 days" and that the full-year trend will be "on the contrary" to the September ratio. - Promoter stake cut by 21.91 points; four senior managers left in four months
Major- Promoters transferred 8,21,000 shares (6.33%) and 23,16,000 shares (17.87%) off-market to Waaree Smart Meters Private Limited on 7 Aug 2026, cutting promoter holding from 61.36% to 37.15%. Four Senior Management Personnel resigned in the four months before the Q2 FY26 transcript, described as "voluntary exits". A preferential warrant issue approved on 03.12.2025 and by the EGM on 29.12.2025 was withdrawn on 31.01.2026 for restructuring. - Audit opinions are clean; one secretarial filing lapse disclosed
Minor- The auditor gave unmodified opinions on the FY2025-26 standalone financials and on internal financial controls, with no Key Audit Matters. The Secretarial Audit disclosed that Form MGT-14 for the internal auditor appointment was not filed on time, but compliance was subsequently completed.
What to watch
- Restructured preferential issue. The board withdrew the warrant issue on 31.01.2026; the outcome of the restructured issue is pending.
- Director re-appointment. Mr. Deven Chowdhary seeks re-appointment as Whole Time Director at the FY2025-26 AGM.
- Receivables trend. Management claims the full-year FY26 receivables-to-sales ratio will run contrary to the 99.22% figure at 30 September 2025.
Bottom line: This is a company with a clean audit trail but a cash-flow problem that the profit line does not explain. The record shows negative cumulative operating cash against positive cumulative profit, receivables approaching a full year of sales, and a promoter stake cut of more than a fifth in one year. The ₹100 crore NCD approval and the growing bank guarantees mean the true debt picture is larger than the balance sheet shows, watch the restructured issue and the receivables trend for how this resolves.
