Emkay Global Financial Services Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Emkay Global's record carries seven years of unqualified audit opinions and a zero-pledge promoter holding, but the numbers tell a different story: trade receivables nearly doubled in FY26 while operating cash flow turned deeply negative, and cumulative cash from operations covers only 9% of a decade's EBITDA.

Key findings

  1. Operating cash flow is persistently disconnected from profit, with dividends paid from reserves Major - Over the ten years through FY26, cumulative CFO of ₹25 crore covers just 0.09x of cumulative EBITDA of ₹284 crore. Standalone CFO was negative in four of those years: ₹(71.73) crore in FY26, ₹(2.09) crore in FY25, ₹(63.42) crore in FY23, and ₹(44.27) crore in FY21. Despite this, the Board recommended dividends in each of those years, including ₹1.50 per share for FY26 against negative CFO of ₹71.73 crore.
  2. A stream of exchange fines and a material SEBI cancellation of a subsidiary's registration, now under settlement Major - SEBI cancelled the Certificate of Registration of subsidiary Emkay Commotrade Limited on 09 June 2023 on fit-and-proper grounds related to the NSEL default. The company applied under the NSEL Settlement Scheme, 2025, paying the prescribed amount on a "neither admitting nor denying" basis, with the final Settlement Order awaited as of the FY2025-26 annual report. The FY2025-26 Corporate Governance Report also discloses multiple exchange penalties from BSE, NSE, and MCX for operational lapses including delayed contract notes and incorrect segregation reporting.
  3. Audit opinions are unqualified, but a recurring audit-trail exception and an inability to comment on MTF loan repayments persist Minor - The statutory auditor has issued unqualified opinions on standalone and consolidated statements for all seven years through FY26. However, in FY2024-25 and FY2025-26 the auditor reported an exception that the audit trail feature could not be confirmed for direct changes to data in two accounting software. Since FY2023-24, the auditor has also stated that no repayment schedule was stipulated for Margin Trading Facility loans, leaving the auditor unable to comment on the regularity of repayments.
  4. Contingent liabilities are dominated by a growing bank guarantee book and unresolved multi-year tax disputes Minor - Bank guarantees for exchange margin requirements rose from ₹16,200.00 Lacs in FY2020 to ₹42,522.50 Lacs as at 31 March 2026. A service tax demand of ₹847.81 Lacs for the period 1 July 2012 to 30 September 2014 is under appeal before CESTAT. A Show Cause Notice dated 1 August 2023 was issued to a subsidiary for ineligible Input Tax Credit claimed in FY2019-2020.
  5. Impairment provision on Emkay Wealth Advisory fell, while a new provision arose on Emkayglobal IFSC Minor - In FY2026 the company made an impairment provision of ₹33.30 lakh on Emkay Wealth Advisory Limited, down from ₹36.00 lakh in FY2025, and ₹72.00 lakh on Emkayglobal Financial Services IFSC Private Limited. In FY2022 the company wrote back an impairment provision of ₹2.52 crore made in earlier years on Emkay Commotrade Limited.

What to watch

Bottom line: This is a disclosed and audited record with a stable promoter holding and no pledge. The risk sits in the widening gap between reported profit and cash: receivables are swelling, operating cash flow is persistently negative, and the auditor has been unable to comment on the regularity of MTF loan repayments since FY2023-24. Watch the SEBI settlement order and the service tax appeal, and read the cash flow statement before the dividend announcement.
