eMudhra’s record carries a clean audit trail and a decade of scheduled auditor rotation, but two live disputes sit on the balance sheet: a ₹128+ crore criminal conspiracy allegation that strikes at the company’s title to its own shares, and a goodwill-heavy acquisition spree whose largest deal ties a contingent payout to a 10x EBITDA multiple with a put/call on the remaining stake.

What to watch
- 3i Infotech allegations. Outcome of the criminal conspiracy claim, including any police complaint, SEBI inquiry, or response to eMudhra’s 23 April 2026 legal notice, as of the FY2025-26 annual report date.
- Cryptas put/call option. Exercise of the put/call on the remaining 49% stake, exercisable from 2028 to 2030, with payout determined at 10x EBITDA subject to a minimum of 1x revenue.
- Unbilled and related-party receivables. Collection of the 47.47 crore standalone unbilled revenue and 14.3 crore related-party trade receivables outstanding as at 31 March 2026.
- Goodwill impairment. Annual goodwill impairment testing for all CGUs, with results to be reported in the FY2026-27 Annual Report.
- Promoter loans. Repayment or conversion of promoter loans that funded the ₹21.89 crore financing inflow in FY2025-26.
Bottom line: This is a disclosed and audited record with a clean auditor rotation history and operating cash flow that now covers reported profit. The risk sits in two places: the unresolved 3i Infotech allegation, which challenges the company’s title to its own shares, and the goodwill built from four acquisitions in two years, where the largest deal includes a contingent payout and a put/call option tied to a 10x EBITDA multiple on enterprise value. Watch the legal notice outcome and the first goodwill impairment test after the acquisition wave.
