Entero Healthcare Solutions Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Entero Healthcare Solutions has built a ₹6,591 crore distribution network through rapid acquisition, but the cash register tells a different story from the profit-and-loss account: cumulative operating cash flow is negative ₹203 crore over seven years against cumulative reported profit of ₹238 crore. The audit opinions are unqualified, the auditor was re-appointed with near-unanimous support, and contingent liabilities are minor. The two things that matter are the cash gap and the ₹1,207 crore of unimpaired investments and loans sitting in the holding company against subsidiaries whose cash generation is still unproven.

Key findings

  1. Seven years of reported profit have not converted to cash Major - Cumulative operating cash flow from FY21 through FY26 is negative ₹203 crore, while cumulative reported profit stands at ₹238 crore and cumulative other income at ₹90 crore. Cash flow from operations was negative for five straight years before turning positive to ₹96.20 crore in FY26, and free cash flow was negative in FY24 and FY25. The standalone company earned only ₹26.88 crore of the ₹146 crore consolidated profit in FY26, meaning 82% of profit resides in subsidiaries.
  2. ₹1,207 crore of subsidiary investments and loans carry negligible impairment Major - Standalone investments stood at ₹251.62 crore and loans including interest at ₹955.15 crore as of FY25, with the auditor designating impairment of these balances a Key Audit Matter, an area needing the most judgement. The group acquired 19 businesses for over ₹900 crore across FY25 and FY26, yet impairment was limited to a ₹36.47 crore loan impairment and ₹9.58 crore interest receivable impairment on Curever Pharma, a ₹1 crore impairment on investment in CPD Pharma, and ₹0.03 crore across three non-operating subsidiaries. Management states that each subsidiary is a separate cash-generating unit, recoverable amounts use five-year DCF projections, and significant headroom exists in all tests.
  3. Audit-trail exceptions have widened across the group Minor - The standalone and consolidated audit opinions remain unqualified, but the standalone proper-books opinion has been qualified every year by the audit-trail exception under Rule 11(g). In FY26 standalone, one accounting software lacked audit trail at the database level and the auditor was unable to verify the database-level trail of another. At the consolidated level, five softwares lacked the facility entirely, two had it only at the application level, and one had unverifiable database-level logs.
  4. Revenue recognition is a recurring audit focus, and acquired receivables carry embedded losses Minor - The auditor identified revenue recognition cut-off as a Key Audit Matter in FY24 standalone, FY24 consolidated, and FY25 standalone reports, citing the risk of revenue booked in the wrong period near year-end. For seven FY25 acquisitions, the group disclosed it considers portions of acquired receivables unlikely to be collected, with amounts ranging from ₹0.38 crore to ₹3.18 crore per entity. Receivable days rose from 57 in FY24 to 67 in FY26.
  5. Promoters hold 52.40% with zero pledge, but the board embeds investor-nominee control Minor - The Articles of Association were altered in August 2024 to grant any investor (unique identity) holding 10% or more of the share capital on a fully diluted basis the right to nominate one director, and any investor holding 20% or more the right to nominate two. Orbimed Asia III Mauritius Limited holds two nominee board seats and Prasid Uno Family Trust (10.46%) holds one as on date. The FY26 AGM notice seeks approval for executive remuneration with minimum-pay guarantees in case of loss or inadequate profits.
  6. Regulator actions are minor and routine Minor - RBI imposed a compounding order dated 4 January 2024 for delayed downstream-investment reporting across 17 subsidiaries; the company paid ₹0.47 crore. BSE and NSE each fined ₹10,000 for late related-party transaction filings for the half-year ended 31 March 2024. A packaging-rules compounding of ₹25,000 each on the company and its nominated director was paid following an appeal order dated 12 September 2025. A subsidiary's drug licence was suspended for three days from 30 January to 1 February 2026 with no material impact.
  7. The statutory auditor was re-appointed with near-unanimous approval Clean - M S K A & Associates was re-appointed for a second five-year term at the 28 August 2024 AGM, receiving 99.9997% of votes cast. No auditor resignation occurred across FY24, FY25, or FY26.
  8. Contingent liabilities are limited to minor GST disputes and corporate guarantees Clean - The standalone auditor reported no disputed statutory dues other than GST as of 31 March 2026. A GST demand order of 1.73 crore received on 21 February 2025 is under appeal and assessed as having no material impact. No petition has been admitted against the company under the IBC by the NCLT as of the FY26 reporting date.

What to watch

Bottom line: This is a disclosed and audited record with a clean auditor re-appointment and minor contingent liabilities. The risk sits in two places: the seven-year gap between reported profit and cash generation, and the ₹1,207 crore of unimpaired holding-company investments and loans to subsidiaries whose cash flows are still unproven. Watch whether FY27 delivers the promised cash conversion and whether the goodwill and loan carrying values survive another impairment test.
