EPack Prefab Technologies Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

EPack Prefab's audit record is clean across all years, with unqualified opinions and no fraud reported. The cash-flow record is the weaker spot: cumulative operating cash flow covers only 69% of operating profit over nine years, and a ₹75 crore data-center commitment was made without a concrete utilization or funding plan. Related-party commerce with promoter-linked entities was substantial through FY2024 but has since gone quiet in disclosures, while promoter personal guarantees of 138.58 crore back group borrowings.

Key findings

  1. Operating cash flow lags profit, and a ₹75 crore data-center bet lacks a plan Major - Cumulative operating cash flow of ₹360 crore covered only 69% of cumulative operating profit of ₹521 crore over nine years, and FY2023 cash conversion was near zero at ₹1.52 crore against ₹23.97 crore profit. Free cash flow was negative in both FY2024 and FY2025. Management says the ₹75 crore investment in EPACK Data Center Solutions is an "equity plan" but admits "we do not have a concrete point utilization plan or like funding plan for this".
  2. Promoter-linked sales were substantial through FY2024, then absent from RPT disclosures Major - Sales to Ennov Techno Tools were 77.52 crore (11.80% of revenue) in FY2023, and sales to East India Technologies and Decent Softech together added 44.16 crore in FY2024. The FY2025-26 Board's Report states no material related party transactions were entered into and Form AOC-2 is not applicable. Promoters provided personal guarantees of 138.58 crore for group borrowings with no consideration paid.
  3. A loss-making subsidiary persists on parent support; the only associate was cut to 9.09% Major - EPack Prefab Solutions, the group's only wholly-owned subsidiary, had negative net worth of ₹63.61 lakhs as of March 31, 2026, creating uncertainty about its ability to continue as a going concern. The negative net worth has persisted since FY2022, with parent support committed. The only associate, Epack Petrochem Solutions, was divested from 40% to 9.09% effective September 30, 2024, and the retained stake was reclassified as a financial asset.
  4. Debt is understated through supplier-finance payables and a fully-charged asset base Major - Supplier finance arrangements through the M1xchange platform carry payment terms generally up to 120 days and sit within trade payables. All current assets, including inventories, are charged against working capital facilities as at 31 March 2026. ICRA's October 14, 2025 rating noted that a Total Debt/OPBDITA ratio exceeding 1.8 times on a sustained basis may lead to a ratings downgrade.
  5. Revenue relies on management estimates; receivables concentrate in few customers Minor - Revenue from Pre-engineered and Prefabricated Building Contracts is recognised over time using the input method, with estimation of total contract costs involving significant management judgement. Receivable days rose from 51.04 in FY24 to 66.10 in FY25 to 73.88 in FY26. No single customer exceeds 10% of revenue, and management considers receivables fully recoverable.
  6. Contingent liabilities are dominated by guarantees; a settled promoter FIR awaits quashing Minor - Contingent liabilities as of September 30, 2024 totalled 342.38 crore, including a 125 crore corporate guarantee and bank guarantees of 214.77 crore. An FIR against promoters under Sections 406, 420 and 120-B IPC was settled via a settlement deed dated November 12, 2024, with the matter pending quashing. The company faces 17 tax proceedings aggregating 2.21 crore.
  7. Promoter control is entrenched; ESOP ratification passed with negligible public participation Minor - Promoter and promoter group shareholding stood at 64.95%, with zero pledge. The ESOP ratification resolution passed with 99.9975% votes in favour, with promoters voting 100% in favour and public non-institutions polling only 1.18% of their holding. Interlocking relationships are disclosed: Mr. Sanjay Singhania is the brother of Mr. Ajay DD Singhania, and Mr. Nikhil Bothra is the son of promoter Mr. Laxmi Pat Bothra.
  8. Clean audit opinions throughout, with one going-concern caveat on the subsidiary Minor - Talati & Talati LLP issued unqualified opinions on both standalone and consolidated FY2025-26 financial statements, with no qualifications or adverse remarks. The reports did include Key Audit Matters, identifying the assessment of ongoing income tax and indirect tax litigations as significant for both standalone and consolidated statements. The only recurring caveat is the subsidiary's fully eroded net worth, which did not modify the group opinion. The secretarial audit noted one exception: committee composition was non-compliant from 1 October 2025 to 31 March 2026, later corrected.

What to watch

Bottom line: This is an audited record with clean opinions, no fraud findings, and IPO proceeds utilisation is disclosed in the source documents. The risk character is cash-flow discipline and related-party opacity: operating cash flow has lagged profit for nine years, promoter-linked commerce has moved out of RPT disclosures, and a ₹75 crore data-center commitment was made without a concrete plan. Watch whether the data-center investment gets a funding plan, whether the Ghiloth Plant starts on schedule, and whether the subsidiary's going-concern status improves.
