Ester Industries Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Ester Industries' record is clean on its face: seven years of unmodified audit opinions and no repayment defaults, but the same audit-trail exception has repeated every year since FY2023-24, and a ₹65 lakh payment fraud was disclosed in FY2022-23.

Key findings

  1. Ester repeatedly breached financial covenants on secured borrowings Major - Ester disclosed breaches of financial covenants on secured borrowings in its FY2023-24, FY2024-25, and FY2025-26 annual reports, noting that such defaults do not lead to loan calls by banks. As at 31 March 2026, working capital loans and term loans were secured by charges on company assets and guarantees from its holding company and Mr. Arvind Singhania. A Bajaj Finance term loan of ₹3,407.55 lacs, taken in FY2025-26, is repayable in 42 equal monthly instalments from March 2026.
  2. Ester's standalone investment in loss-making subsidiary Ester Filmtech has grown to ₹435 crore Major - Ester's standalone investment in subsidiary Ester Filmtech stood at ₹43,500 lacs as at 31 March 2025, up from ₹37,300 lacs a year earlier, with no impairment provision recorded. The statutory auditor flagged impairment assessment of this investment as a Key Audit Matter in FY2023-24 due to materiality and significant management judgement. Ester Filmtech's new Telangana plant, which commenced operations on 20 January 2023, carried PPE of ₹60,671.67 lacs. Consolidated PAT was ₹-2 crore versus standalone PAT of ₹9 crore in the latest year, indicating subsidiary losses of approximately ₹11 crore.
  3. Ester repeatedly sought shareholder approval for material related-party transactions with promoter-linked entities Major - Shareholders approved material related-party transactions for FY2026-27 with Ester Loop Infinite Technologies up to ₹1,463 crores, and with Wilemina Finance Corporation and Mr. Arvind Singhania up to ₹380 crores each, all without any fee. Wilemina, the promoter holding company, had nil turnover and a net loss of ₹162.62 crores for FY2024-25. These proposed transactions represent 30.04% of Ester's consolidated turnover of ₹1,265 crores in FY2024-25.

  5. Seven years of clean audit opinions, but the same audit-trail exception repeats every year since FY2023-24 Major - Walker Chandiok & Co LLP issued unmodified opinions for every year from FY2019-20 through FY2025-26, but the Section 143(3)(b) audit-trail exception, the feature not enabled at database level in SAP S/4 HANA, was reported in each of FY2023-24, FY2024-25 and FY2025-26. In FY2022-23, one fraud of ₹65.00 lacs was reported, involving WhatsApp messages from a phone not belonging to the CEO instructing payments, with an FIR filed on 25 August 2022. No fraud was reported in any other year, and no Form ADT-4 was filed.
  6. Ester carries a large, multi-year corporate guarantee to lenders of its subsidiary Ester Filmtech Minor - Ester had given corporate guarantees of ₹49,052.92 lacs to lenders of Ester Filmtech as at 31 March 2025, down from ₹51,149.60 lacs a year earlier. Mr. Arvind Singhania received total remuneration of ₹1,518.4 lacs in FY2021-22, including ₹1,200 lacs in commission, and his son Mr. Ayush Vardhan Singhania was appointed Whole-time Director from 1 June 2021. Independent director turnover has been continuous since 2019, with Mr. Alok Dhir resigning on 26 August 2025, less than 19 months into his five-year term.
  8. Revenue recognition is a recurring audit focus, with customer concentration deepening in both segments Minor - Revenue recognition was identified as a Key Audit Matter in FY2022 and FY2024, with auditors testing control transfer timing. In the speciality polymer segment, revenue from a single customer fell from 41.30% in FY2022 to 27.74% in FY2026, with intermediate values of 24.55% in FY2024 and 22.79% in FY2025. 9. Accounting-policy changes and estimate reversals have repeatedly added profit, but the amounts are small Clean - Ester recognised a one-time increase in employee benefit provisions of ₹253.53 lacs in FY2025-26 following the New Labour Codes, and reversed inventory provisions of ₹85.33 lacs in FY2023 after a change in ageing buckets. The company reinstated ₹86.60 lacs of MAT credit during the year ended 31 March 2021 and recorded a deferred tax credit of ₹1,038.55 lacs in FY2019-20 upon adopting Section 115BAA. Ester has not entered into any scheme of arrangement or revalued its property, plant and equipment in the current or previous year.

What to watch

Bottom line: This is a disclosed and audited record with real cash conversion. The risk sits in the promoter channel: related-party transactions with entities showing nil turnover, a subsidiary with negative net worth and parent guarantees, and a JV that has only generated losses. Watch whether the ₹49,052.92 lacs of subsidiary guarantees translate into consolidated losses, and whether the audit-trail exception ever gets resolved.
