Excelsoft Technologies Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Excelsoft's FY2025-26 record carries clean audit opinions and a stated net cash position, but the year behind those headlines is busier than the balance sheet suggests. Promoter-family pay was raised two to four times over despite 73% opposition from public institutions, the "net cash" figure masks fresh borrowing and a related-party pledge of ₹165 crore whose lien was released in December 2025, and revenue quality carries the sole audit focus while revenue is concentrated in a few clients and one geography.

Key findings

  1. Promoter pay doubled and quadrupled despite 73% public-institutional opposition Major - Mr. Dhananjaya Sudhanva (CMD) drew ₹2.40 crore in FY2025-26, and his fixed salary cap was doubled to ₹4.80 crore per annum effective 01 April 2026. Mrs. Shruthi Sudhanva (WTD) drew ₹36 lakh, and her cap was raised over four times to ₹1.50 crore per annum. Both resolutions passed with 97.0968% in favour overall, but Public-Institutions voted 73.1560% against (2,083,060 of 2,847,681 shares), while the promoter group's 68,000,637 shares voted 100% in favour. A third resolution covering the CMD's son-in-law passed with only 57.0340% in favour, after promoter votes were invalidated as related-party votes.
  2. The reported "net cash" position masks a year of new borrowing and a related-party pledge Major - Excelsoft reported cash and bank balances including fixed deposits of ₹146.1 crore, current borrowings of ₹Nil, and no long-term debt as at 31 March 2026. Yet the company took a term loan during FY2025-26, and its working capital limits were secured by fixed deposits. On 19 December 2025, lenders released the lien on a ₹165 crore fixed deposit that had been pledged for NCDs issued by promoter company Pedanta Technologies, following full repayment. Management declined to explain the debt or the decline in interest expense from ₹7.8 crore to ₹1.51 crore in Q1 FY27.
  3. Revenue is concentrated in a few clients and one geography, with the sole audit focus on revenue recognition Major - Top 5 clients contributed approximately 67.61% of FY26 revenues and top 20 clients approximately 87.55%. North America contributed approximately 64.86% of revenues, with approximately 94% from international markets. Revenue recognition was the sole Key Audit Matter in both standalone and consolidated reports, covering performance obligations, principal-vs-agent, and fixed-price maintenance revenue.
  4. Recurring costs are labelled "one-time" while policy changes reshape reported profit Major - FY26 EBITDA margin compressed 424 bps to 26.83%, attributed to one-off legal/professional expenses and labour-related costs from new labour code implementation. Management revised FY27 EBITDA margin guidance from "30%, 31%" to "24%, 25%," attributing the change to investments "we hadn't taken account for". A ₹4.74 crore past service cost from gratuity and employee-benefit plan amendments was booked as an "Exceptional item" following the Labour Codes effective 21 November 2025.
  5. The ₹300 crore corporate guarantee to the promoter's NCD vehicle was withdrawn in December 2025 Minor - On 19 December 2025, Excelsoft withdrew its unconditional and irrevocable corporate guarantee provided on 06 May 2024 in favour of Vistra ITCL (India) Limited on behalf of promoter company Pedanta Technologies, securing NCDs of ₹300 crore. The guarantee was annulled effective 19 December 2025, and the company's contingent liability reduced to ₹3.43 crore. Remaining disclosed contingencies include a bank guarantee of ₹0.41 crore, income tax of ₹30.29 crore, and GST of ₹3.66 crore, of which ₹0.02 crore was deposited under protest, plus a GST demand of ₹35,00,348 with interest of ₹1,59,420 before the Appellate Authority.
  6. The group structure is a thin, shifting shell of small subsidiaries Minor - As on 31 March 2026, Excelsoft had no holding company, no associate, and no joint venture, holding 4 wholly owned subsidiaries. Pedanta Technologies ceased to be the holding company upon dilution through an offer for sale under the IPO, effective November 2025. Freedom to Learn Limited was struck off from the UK Register of Companies effective 6 May 2025. On 27 August 2026, Excelsoft incorporated a new Canadian subsidiary with nil charter capital. The 3 foreign subsidiaries together reported total assets of ₹14.95 crore, revenue of ₹29.65 crore, and net profit after tax of ₹0.1 crore for FY2025-26.
  7. A subsidiary's statutory auditor resigned after also serving as the Company's internal auditor Minor - The statutory auditor of subsidiary Enhanzed Education Private Limited was also the Internal Auditor of Excelsoft up to 30 September 2025, and resigned with immediate effect vide letter dated 01 October 2025. The Secretarial Audit Report recorded this overlap as an observation. No fraud was reported under Section 143(12), and CARO clause xviii states no resignation of statutory auditors occurred during the year.
  8. No regulator penalties, but an Audit Committee meeting-gap and three pending MCA applications Minor - Excelsoft disclosed that no penalties or strictures were imposed by stock exchanges, SEBI, or any statutory authority in the last three years. The company disclosed a non-compliance where the gap between Audit Committee meetings held 5 February 2025 and 11 June 2025 exceeded the maximum permissible 120 days under SEBI (LODR) Regulations. Outcomes are awaited on three applications filed with MCA: e-Form GNL-1 SRN N28829778 (adjudication), SRN N28836476 (adjudication), and SRN N28830347 (compounding).

What to watch

Bottom line: This is an audited record with clean opinions, no fraud findings, and no regulator penalties, the statutory checks came back clear. The risk sits in governance and revenue quality: promoter pay was raised against overwhelming institutional opposition, the "net cash" headline hides a year of borrowing and a released related-party pledge, and the sole audit focus is revenue recognition. Watch the CFO transition, the AQA deployment, and whether the subsidiary revenue discrepancy gets explained in the next filing.
