Federal Bank’s record is clean on its face: eight years of unqualified audit opinions, no promoter, and orderly RBI-compliant auditor rotations. Three things deserve attention: ₹143 crore of equity-sale gains bypassed the profit-and-loss account in FY26, a ₹456.6 crore interest-on-tax-refund and a separate ₹455.96 crore floating provision were both built explicitly for the coming expected-credit-loss transition, and regulatory penalties span multiple years, including a ₹5.72 crore RBI fine.
Key findings
- Equity-sale gains and a tax buffer both bypass reported profit
Major- The Bank transferred ₹143.09 crore of equity-sale gains net of taxes from the AFS Reserve to Capital Reserve in FY26, bypassing the profit-and-loss account. It also accounted for interest on income-tax refunds of ₹456.6 crore and separately made a floating provision of ₹455.96 crore, which management stated is “primarily as a transition into ECL” and a “conservative” buffer. Separately, ESOP accounting under the intrinsic-value method understates profit by ₹17.14 crore in FY26, a gap that has persisted for five years. - Regulatory penalties span RBI, FEMA, and GST orders across several years
Major- RBI imposed a penalty of ₹5,72,00,000 on July 7, 2022, for non-adherence to directions on financial services. A further ₹30,00,000 RBI penalty followed on October 30, 2023, for KYC non-compliance on 90 demand drafts. The Enforcement Directorate levied ₹8,17,000 under FEMA on February 13, 2023. Multiple GST penalty orders arrived between March 2024 and February 2025, with individual impacts up to ₹29,82,737. - Goodwill on an associate rose sharply in FY26 with no impairment
Major- Consolidated goodwill on an associate rose from ₹146,709 Thousands in FY2021 to ₹150,181 Thousands in FY2022, remained at that level through FY2024, then dropped to nil in FY2025 before rising to ₹512,969 Thousands in FY2026. No impairment has been recognised across any period. - Audit opinions are clean, but a subsidiary audit-trail gap and fraud incidents are noted
Minor- The standalone audit opinion was unqualified every year from FY2018-19 through FY2025-26. The FY26 consolidated report records that the component auditor of subsidiary Fedbank Financial Services reported the audit-trail feature had not been enabled in certain software applications in the previous year. The Board’s Report notes “some incidents of fraud requiring reporting by the Auditors under Section 143(12)”. - Contingent liabilities include a rising DEA Fund obligation and unresolved tax disputes
Minor- The amount transferred to the DEA Fund Cell and outstanding rose from ₹2,796,757 Thousands in FY2022-23 to ₹3,980,334 Thousands in FY2025-26. A CGST penalty of ₹23,36,830 was levied on December 27, 2025, and the Bank filed a writ petition before the Delhi High Court on March 19, 2026. Allotments of shares from three rights issues remain pending due to court orders. - Pledged securities, lien-marked deposits, and inter-bank risk participations have grown steadily
Minor- Securities pledged for fund transfer, clearing, and margin facilities rose from ₹70,234 crore in FY2019 to ₹1,02,179 crore in FY2026. Lien-marked deposits increased from ₹24,638 crore to ₹27,488 crore over the past year. Inter-bank participation with risk sharing purchased stood at ₹5,278 crore as of March 31, 2026, up from ₹1,935 crore a year earlier. - Operating cash flow has swung from deep negative to positive, while dividend stayed flat
Minor- FY22 CFO was -₹7,774 crore against PAT of ₹1,996 crore, while FY25 CFO reached ₹8,801 crore against PAT of ₹4,234 crore. The Board recommended a final dividend of ₹1.20 per share for FY2024, FY2025, and FY2026. - No promoter, and governance follows RBI-mandated processes with visible shareholder dissent
Clean- Promoter shareholding has been 0.00% across all periods. The special resolution to extend ESOS 2023 and ESIS 2023 to subsidiary employees was not passed at the 92nd AGM on August 18, 2023, with 46.83% votes against. ESIS 2025 passed with 16.61% votes against.
What to watch
- Warrant payment. Balance 75% payment from Asia II Topco XIII Pte. Ltd. due within 18 months of the FY2026 allotment.
- Fraud incidents. The FY26 Board’s Report notes “some incidents of fraud requiring reporting by the Auditors under Section 143(12)” but provides no count, amount, or nature; the next annual report may disclose further details.
- CGST penalty. Resolution of the writ petition filed before the Delhi High Court on March 19, 2026 against the CGST penalty of ₹23,36,830.
- Auditor appointment. Shareholder vote at the 95th AGM on the appointment of Price Waterhouse LLP and K. S. Aiyar & Co. as joint statutory auditors for FY2026-27 to FY2028-29.
Bottom line: This is a disclosed and audited record with no promoter, clean audit opinions, and orderly governance. The risk sits in two places: the routing of material gains and a large tax buffer around reported profit, and a pattern of regulatory penalties that spans RBI, FEMA, and GST orders. Read the profit-and-loss account with those reserves in mind, and watch whether the warrant payment arrives and the fraud-incident details surface.
