Garware Technical Fibres' record is substantially clean: seven years of unqualified audit opinions, no wilful-defaulter or bank-default flags, and a promoter stake that is stable and unpledged. The one item that deserves real attention is the July 2025 Norwegian acquisition, which created a ₹65.16 crore goodwill asset against only ₹2.64 crore of post-acquisition profit, with no impairment recorded in FY2026. Around that sit a cluster of minor but persistent frictions: weak cash conversion relative to reported profit, a complex offshore subsidiary chain, and a run of exchange actions in FY2025-FY2026.
Key findings

What to watch
- Goodwill impairment. Impairment testing of the ₹65.16 crore goodwill arising from the OTS and AMS acquisitions in the FY2026-27 consolidated financial statements.
- Norwegian integration. Completion of the OTS and AMS acquisition integration and first full-year consolidated results for the Norwegian step-down subsidiaries in the FY2026-27 Annual Report.
- Tax appeals. Outcome of income tax appeals for AY 2013-14 to AY 2020-21 pending before the first appellate authority, as disclosed in the FY2025-26 Annual Report.
- CMD re-appointment. Re-appointment of Mr. Vayu Ramesh Garware as Chairman & Managing Director for five years from 1 December 2026 to 30 November 2031, subject to member approval at the ensuing AGM.
- Buyback completion. Completion of the FY2026 buyback of up to 16,17,500 equity shares at ₹680 per share approved on 8 May 2026, with record date 20 May 2026.
Bottom line: This is a disclosed and audited record with seven clean years behind it and no evidence of concealment or diversion. The risk is concentrated in the Norwegian acquisition: a large goodwill asset, a thin profit base, and a subsidiary chain that is still being integrated. Watch the FY2026-27 impairment test and the first full-year Norwegian results, and read the tax appeals and CMD re-appointment as the governance items they are.
