Gretex Corporate Services Ltd Growth Catalysts - SOIC x StockScans Report

as of Aug 2026

  1. Mainboard IPO expansion - GCSL migrated to the BSE/NSE Main Board on 4 September 2025 and now targets transactions in the ₹200-400 crore range, with 6 mainboard mandates under execution as of Q3 FY26. Mainboard fees on ₹600-700 crore of expected FY26 fundraising are multiples of SME issue economics, and the first DRHP for Sky Alloys was filed on 3 October 2025.
  2. GSBL listing - Gretex Share Broking, the market-making and broking subsidiary valued at ₹161.68 crore in standalone OCI, is preparing for a Main Board IPO with funds earmarked for market-making investment. A listing would crystallise the value of the group's largest asset and raise capital to expand its 63-company market-making book.
  3. SME IPO franchise scale - FY2026 delivered a record 11 IPOs and ₹495 crore mobilised, surpassing the cumulative total of the prior five years combined, with average issue size up 8.5x since FY17. The 14-mandate forward pipeline plus 4 deferred in-principle approvals under SEBI's extended validity underpin FY27 volumes even as the company shifts toward mainboard work.
  4. Category-II AIF - Bahutex Ventures LLP received CAT-II AIF registration in Q1 FY27, with a target corpus of up to ₹100 crore and a 2.5% Gretex capital commitment. The fund extends the group into pre-IPO investing, creating a buy-side revenue stream that does not consume the balance sheet.
  5. Preferential warrant capital - The May 2026 preferential issue of 19.51 lakh warrants at ₹358 each raises ₹69.85 crore, with NSE in-principle approval received on 7 August 2026. The funds - 56% for working capital and 21% for Gretex Industries warrants - strengthen the balance sheet for mainboard expansion without debt.
  6. Private Equity sell-side advisory - GCSL formally enters PE sell-side advisory in FY2027 targeting consumer and industrial sectors, part of a three-year goal to facilitate \~₹20,000 crore of fundraising. Advisory fees on PE transactions carry higher margins than IPO underwriting and build a recurring revenue stream independent of listing windows.
  7. Retail broking acquisitions - Management plans tuck-in acquisitions or partnerships in retail broking to acquire customer base, tech stack and distribution. Adding a retail broking book would cross-sell ECM and wealth products into a captive client base, lifting revenue per client without proportional cost growth.
  8. PMS launch - Portfolio Management Services are planned for introduction next year to broaden the group's wealth offerings. PMS fees are recurring and asset-linked, diversifying income away from transaction-dependent IPO and broking revenue.
