Gujarat Industries Power Co Ltd's audited record is clean on its face: seven consecutive years of unqualified opinions, clean CARO responses, and operating cash flow that has exceeded reported profit in every year of the window. Three things deserve attention: revenue is almost entirely dependent on three promoter-related parties, FY2025-26 profit was boosted by a ₹191.87 crore one-time deferred-tax income, and the company has reported no subsidiaries for six consecutive years.
Key findings
- Revenue engine is almost entirely dependent on three promoter-related parties
Major- The proposed related-party transaction with GUVNL for FY2026-27 is estimated at ₹2,400 crore, representing 190.97% of the company's FY2024-25 annual consolidated turnover of ₹1,256.26 crore. No valuation or external party report was placed before the Audit Committee for any of the three RPTs with GUVNL, GACL and GSFC for FY2026-27. At the 38th AGM held 16/09/2023, related parties voted on the material RPT resolution and their votes were not considered; SEBI issued a warning letter dated 04/11/2024 advising due caution for non-recurrence. - FY2025-26 profit was boosted by ₹191.87 crore one-time deferred-tax income
Major- GIPCL reported Net Profit of ₹402.41 crore for FY2025-26 after Deferred Tax income of ₹191.87 crore, attributed to one-time non-recurring tax credits from re-measurement of deferred tax liabilities and recognition of MAT credit entitlement pursuant to transition to the new concessional corporate tax regime effective 01 April 2026. This follows a pattern of repeated accounting-policy changes: the decommissioning-cost policy change effective 01.04.2021 reduced Mine Development Assets by 139.24 crore as at 31.03.2022, and the gratuity policy was amended twice, disclosing ₹9.5 crore and ₹7.64 crore as past service costs. - Repeated SEBI and exchange penalties for governance lapses have all been waived or condoned
Major- SEBI issued an administrative warning letter dated 04/11/2024 for failure to obtain prior shareholder approval before entering into material related party transactions with GUVNL in H1 FY2023-24, and failure to ensure no related party voted on the approval resolution at the 38th AGM held 16/09/2023. SEBI levied a fine of ₹23,600 for Risk Management Committee having only two members, which was waived entirely on 21/02/2025, leaving residual penalty of ₹0. A fine of ₹11,800 for late filing of the Annual Report for Mar-24 was also waived on 17/12/2024, citing heavy rainfall and flood. - Revenue concentration in a single state PSU customer has intensified
Minor- Revenue from a single state Public Sector Undertaking customer exceeded 10% of total revenues at ₹1,376.59 crore in FY2025-26, up from ₹1,170.95 crore in the prior year. As at 31 March 2024, two customers accounted for 96.99% of total trade receivables. The company's operations fall under a single operating segment 'Power Generation'. - Government-nominee directors dominate a board in constant turnover
Minor- Public non-institution shareholders voted against the appointment of Shri Jenu Devan, IAS with 6.5849% against and against Smt. Shalini Agarwal, IAS with 7.3558% against in the postal ballot concluded 12th Jun 2026, while promoter/promoter group voted 100% in favour of both. During FY2025-26, six directors ceased and five were appointed. Shri Jenu Devan, IAS and Smt. Shalini Agarwal, IAS, proposed as directors in the postal ballot notice dated 11th May 2026, had each attended NONE of the Company's Board meetings at the time of their proposed appointment. - Cash generation has consistently exceeded reported profit, but cash balances have halved
Minor- Cash and cash equivalents fell from 469.02 crore in FY2025 to 261.13 crore in FY2026, while long-term borrowings rose from 1,804.9 crore to 3,373.46 crore. Gross Block increased by ₹3,472.66 crore during FY2025-26, mainly due to capitalization of the 600MW Solar Power Plant at Khavda and 75MW Solar Power Plant at Vastan. Operating cash flow exceeded PAT in every year of the window, with CFO/PAT ratios ranging from 1.23x (FY16) to 2.71x (FY15). - Company has consistently reported no subsidiaries for six consecutive years
Clean- GIPCL has reported "no subsidiary" as at year-end in each of FY2021 through FY2026. Its only wholly owned subsidiary, GIPCO, was placed under voluntary liquidation with a Liquidator appointed on 03/01/2019; NCLT Ahmedabad ordered dissolution on 6 January 2020. The FY2019-20 standalone cash flow statement reports "Profit on Liquidation of Subsidiary" of ₹12.50 lakhs for the year ended 31 March 2019.
What to watch
- Peak debt funding. Peak debt of INR6,000-6,500 crores is projected upon commissioning of the 750 MW thermal expansion, with funding source undecided as of June 2026.
- SEBI enforcement. SEBI's warning letter dated 04/11/2024 stated that failure to avoid recurrence of related party voting non-compliance "may attract appropriate enforcement action".
- RPT actuals. Material RPT approvals for FY2026-27 (₹2,470 crores) were passed via postal ballot on 26/03/2026; actual transaction values will be disclosed in the FY2026-27 annual report.
- 500 MW commissioning. Capitalization of the 500 MW project (CWIP ₹2,065 crores as of Q1 FY27) and its impact on debt and cash flows.
Bottom line: This is a disclosed, audited record with real cash generation and a transparent expansion plan. The risk sits in the company's dependence on promoter-related parties for nearly all its revenue, and in the scale of the debt build-out now underway. Read the related-party approvals and the debt trajectory with that in mind, and watch whether the deferred-tax income normalises in coming quarters.
