Global Education Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Global Education’s record is clean on its face: six years of unqualified audit opinions, zero promoter pledges, and no material regulatory orders. Two things deserve attention: revenue has swung sharply toward a lower-margin segment, and the long-standing auditor was replaced barely ten months into a fresh five-year term.

Key findings

  1. The long-standing auditor was replaced ten months into a five-year reappointment Major - Patel Shah & Joshi had served continuously since at least FY2019-20 and was reappointed at the 14th AGM on 25 July 2025 for a second five-year term through FY2029-30. On 28 May 2026, the company appointed C. R. Sagdeo & Co. for a single year, cutting short the reappointment without a disclosed cause. The board had recommended Patel Shah & Joshi’s reappointment in the FY2024-25 Board’s Report, subject to member approval.
  2. Operating cash flow consistently trails profit, and dividends absorb nearly half of free cash flow Minor - Cumulative CFO of ₹108 crore covered only 0.55x of cumulative EBITDA of ₹197 crore over the eight years to FY26. In FY26, CFO of ₹17.63 crore represented 0.67x of PAT of ₹26.50 crore, continuing a pattern where the ratio was 0.85x in FY25 and 0.66x in FY24. The company declared dividends totalling ₹5.10 crore for FY26, consuming 47% of free cash flow of ₹10.79 crore.
  3. The group has built a layered structure of four subsidiaries and two associates since FY2023 Minor - All six entities were incorporated or acquired from FY2023 onward; the group had no subsidiaries, associates, or joint ventures in FY2021-22. Two subsidiaries were renamed and repurposed in FY2026, Yoco to healthcare skill development on 9 March 2026, and Global Sports and Music to include music and cultural training on 11 March 2026. OwnPrep, a 51%-owned subsidiary, reported losses in FY2024, FY2025, and FY2026, while associate Rishiraj Infravision was acquired on 29 November 2024 from entities linked to a common-promoter firm.
  4. Promoter holding is stable and unencumbered, but director turnover and a CFO exit create governance noise Minor - Promoter shareholding stood at 72.73% with zero pledge. Independent directors Ms. Shunali Kunal Nagarkatti and Ms. Surekha Mulraj Thacker resigned effective 16 April 2025 and 25 June 2024 respectively, and CFO Mr. Hemant Daga resigned effective 4 November 2025, with CA Anshul Lalit Jain appointed the next day. Nine promoter-group entities holding nil shares as of 30 June 2025 have sought reclassification to public shareholders under SEBI Regulation 31A.
  5. Regulator actions are limited to small procedural fines from NSE, with no material orders Minor - NSE fined the company ₹10,800 in FY2025-26 for non-filing of voting results in the prescribed format, and ₹2,000 in FY2022-23 for a delay in furnishing the annual report. A Secretarial Audit Report in FY2019-20 flagged that the Chairman also chaired the Nomination & Remuneration Committee; the Chairman subsequently stepped down. No significant or material orders impacting going concern were reported in any year from FY2019-20 through FY2025-26.
  6. Every audit opinion across six years is unqualified, and every CARO report is clean on fraud, default, and fund diversion Clean - The statutory auditor issued unqualified opinions on standalone and consolidated financial statements for every year from FY2020-21 through FY2025-26. Internal financial controls were assessed as adequate and operating effectively each year. The CARO reports confirm no fraud, no wilful defaulter declaration, no whistle-blower complaints, and an intact audit trail with no tampering across all years.

What to watch

Bottom line: This is a disclosed and audited record with a clean audit trail and no promoter pledges. The risk sits in two places: the 164-day receivable days that stretch cash conversion, and the abrupt auditor change that leaves the rationale unstated. Watch the first audit under the new auditor and the receivables line together, they will show whether the 164-day collection cycle is a timing gap or something harder to collect.
