HG Infra Engineering's record shows seven years of unqualified audit opinions, but the FY26 report carries an Emphasis of Matter on a CBI investigation and states that the backup server for electronic books sits outside India. Five things demand attention: consolidated debt has surged to ₹5,029 crore with multiple covenant breaches, operating cash flow has lagged profits for a decade while capitalised interest masks the cost of a renewable-energy pivot, a single customer now provides 62% of revenue and orders were removed from the book, a CBI anti-corruption investigation involving the CMD remains open, and the group has expanded from a handful of SPVs to over 100 entities in six years.
Key findings
- Consolidated debt hit ₹5,029 crore and financial covenants were breached
Major- Consolidated borrowings rose from ₹1,183 crore in FY22 to ₹5,029 crore in FY26, pushing net debt to equity to 1.66x. The company breached financial covenants on its working capital facilities and on the ₹400 crore unsecured NCDs issued on August 29, 2025, triggering reclassification of the NCDs to current borrowings. The Board is seeking shareholder approval to raise the borrowing limit from ₹6,500 crore to ₹8,000 crore. - Operating cash flow has lagged profits for a decade while capitalised interest rises
Major- Cumulative cash from operations over the ten years to FY26 is ₹-1,171 crore against a cumulative profit after tax of ₹2,915 crore, and free cash flow was negative in every one of those ten years. Interest capitalised on term loans rose to ₹34.66 crore for Plant and Machinery and ₹24.79 crore for CWIP in FY26, up from ₹12.2 crore and ₹0.62 crore respectively in FY25. CWIP stood at ₹740 crore, 34% of gross PP&E, and all CWIP projects had exceeded their originally planned costs as of March 31, 2026. - Revenue recognition relies on management estimates, and one customer is now 62% of sales
Major- The auditor has flagged estimation of contract cost and revenue recognition as a Key Audit Matter, an area needing the most judgement, in every annual report from FY2020 through FY2026. Consolidated revenue from the largest customer rose from 48% in FY2025 to 62% in FY2026. The order book disclosed as at March 31, 2026 excludes ₹4,142.09 crore in orders removed due to execution uncertainty. - A CBI anti-corruption investigation involving the CMD is ongoing
Major- On January 21, 2026, the CBI Anti-Corruption Bureau took four employees into custody under the Prevention of Corruption Act, searched company offices and the CMD's residence, and confiscated ₹0.08 crore from an employee and ₹0.09 crore from the CMD's residence. As of the FY26 reporting date, no charge sheet had been filed and all four employees had been granted bail. - Loans to subsidiaries rose to ₹12.01 crore, and related-party receivables carry rising credit-loss provisions
Major- Outstanding loans to subsidiaries rose from ₹4.67 crore in March 2025 to ₹12.01 crore in March 2026, and the auditor reported that no schedule of repayment of principal was stipulated. Allowance for expected credit loss on receivables from related parties rose from ₹13.11 crore in March 2025 to ₹24.68 crore in March 2026 on a standalone basis. Promoters Harendra Singh and Vijendra Singh each provided personal guarantees of ₹2,706.8 crore on behalf of the Holding Company, HAM SPVs and Solar SPVs as of March 2025. - Audit opinions are unqualified, but the FY26 report carries an Emphasis of Matter on the CBI search
Minor- The statutory auditors issued an unqualified opinion on the standalone and consolidated financial statements for every year from FY20 through FY26. The FY26 standalone and consolidated audit reports each carry an Emphasis of Matter, a special call-out in the audit report, drawing attention to uncertainty related to the CBI search proceedings initiated in January 2026. The FY26 standalone audit report also states that the backup of electronic books has not been kept on servers physically located in India on a daily basis.

Bottom line: This is a disclosed and audited record with seven years of unqualified opinions, but the FY26 report carries an Emphasis of Matter on the CBI search, and the balance sheet has changed shape: debt has multiplied, cash conversion has been absent for a decade, and the group structure has grown complex faster than the disclosures have kept pace. The risk sits at the intersection of liquidity and concentration, a single customer, a covenant breach, and an order book from which ₹4,142.09 crore in orders was removed due to execution uncertainty. Watch the CBI investigation and the shareholder vote on promoter reappointment.
