Hindustan Composites Ltd's record shows seven straight years of unqualified audit opinions and no fraud findings, but the underlying numbers carry real stress. A joint-venture investment has sat at zero for five years while its losses grew, cash flow has persistently lagged reported profit, and a promoter-group entity has become the single largest recipient of the company's loans.
Key findings
- A ₹9.8 crore joint-venture investment has been fully marked down to zero since FY2021, yet never written off
Major- The company's 49% stake in Compo Advics India Private Limited has been carried at ₹9.8 crore, unchanged from FY2020 through FY2026. Its share of accumulated losses in the JV grew every year, from ₹8.67 crore in FY2019 to ₹15.48 crore in FY2026. The full value was marked down to zero in FY2021 with no write-off because the investment was considered "long term and strategic," a position repeated in every year since. - Inter-corporate deposits to promoter-group entity Pallawi Resources surged to 47.83% of total loans in FY2026, from nil in FY2024
Major- Pallawi Resources Pvt. Ltd. received 47.83% of all loans and advances in nature of loans during FY2025-26, at interest rates of 9% to 13%, up from 21.82% in FY2024-25 and nil in FY2023-24. The company had earlier renewed a 17.5 crore loan repayment period for Pallawi in FY2021-22, representing 78.65% of total loans that year. Shareholders approved raising the Section 186 monetary limit for loans from ₹600 crore to ₹1,500 crore via special resolution on 29 March 2024. - Customer concentration in composite products intensified sharply, with three customers contributing ₹197.77 crore in FY2026 while receivables days climbed to 61

The number of such customers fell from 12 in FY2023-24 and 12 in FY2024-25 to just 3 in FY2025-26. Receivables days climbed from 45.35 in FY2023-24 to 57.25 in FY2024-25 and 61.47 in FY2025-26. - Operating cash flow consistently lags reported profit, with cumulative CFO at only 0.56x EBITDA and FY2026 free cash flow negative
Major- Cumulative CFO of ₹195 crore was only 0.56x cumulative EBITDA of ₹348 crore over the ten years through FY2026. FY2026 CFO of ₹21.13 crore covered only 0.68x PAT of ₹31.11 crore, following FY2025 CFO of ₹29.86 crore covering 0.85x PAT of ₹35.00 crore. FY2026 free cash flow was negative at ₹-1.11 crore, against FY2025 FCF of ₹24.15 crore. ROCE declined from 4.33% in FY2024 to 4.16% in FY2025 to 3.60% in FY2026. - A private equity/debt fund commitment has more than quadrupled to ₹119 crore in five years, alongside an unquantified ex-workmen labour dispute
Minor- The company's further commitment to invest in private equity/debt funds rose from ₹28.68 crore as at 31 March 2021 to ₹119.03 crore as at 31 March 2026. A contingent liability for a "disputed labour matter related to ex-workmen" with unascertainable amount was disclosed in every year from FY2020-21 through FY2023-24. A fire at the Bhandara Plant in January 2024 led to an insurance claim of ₹6.4 crore, under process and to be accounted for when received or settled. - Promoter-controlled board sought shareholder waiver for excess promoter remuneration and maintained near-total promoter voting dominance
Minor- Mr. Raghu Mody, promoter and Executive Chairman, was paid excess managerial remuneration of ₹44.76 lakh in FY2019-20, for which shareholder waiver was sought and obtained at the 56th AGM on 30 September 2020. Minor- The standalone audit opinion was unqualified for each year from FY2020 through FY2026. The FY2026 auditor reported that the accounting software's audit trail feature operated throughout the year except that "audit trail not enabled at database level for one software for direct data changes". The FY2020 auditor's report stated remuneration to directors was in accordance with Section 197 "EXCEPT excess managerial remuneration paid to Executive Chairman, for which shareholders' approval is being taken". The FY2026 CARO report stated no fraud was noticed or reported, no Form ADT-4 was filed, and no whistle-blower complaints were received.
What to watch

- Pallawi Resources deposits. FY2026-27 Annual Report disclosures on whether Pallawi Resources Pvt. Ltd. continues to receive inter-corporate deposits and at what percentage of total loans. (D1 FY2025-26 Annual Report)
- Compo Advics investment. FY2026-27 Annual Report disclosures on whether the investment remains at ₹9.8 crore with further accumulated losses and no write-off. (D1 FY2025-26 Annual Report)
- Customer concentration and receivables. FY2026-27 Annual Report: whether the 3-customer concentration in composite products persists or reverts to the broader 12-customer base, and whether receivables days continue rising above 61.47.
- BSE/NSE fine resolution. Payment status and any further action on the ₹1,91,160 fine for the Vinay Sarin appointment and June 2019 results filing, and whether the threatened promoter demat account freeze was executed.
Bottom line: This is an audited record with clean opinions and no fraud findings, but the cash conversion is weak and getting weaker. The risk sits in three places: a JV investment carried at zero with growing losses, a promoter-group entity taking nearly half of all loans, and a customer base that has narrowed to three names while receivables stretch. Watch the divestiture vote, the dividend record date, and the FY2026-27 disclosures on Pallawi, Compo Advics, and customer concentration.
