H T Media Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

H T Media's record carries a clean audit opinion for six straight years, but the clean opinion sits on top of a structure that has needed repeated repair: a qualified FY2020 audit and adverse internal-controls opinion after a whistleblower exposed radio-business revenue manipulation, a multi-year cascade of impairments across radio and digital assets, and a group where the parent and Digicontent carry the debt while all surplus cash sits in a subsidiary.

Key findings

  1. Consolidated net cash of ₹922 crore masks a two-tier structure Major - Management called the consolidated net cash of INR 922 crore "very healthy" but clarified all cash sits in HMVL, while HT Media Limited and Digicontent Limited are "indebted companies" running net debt positions. The CFO said there is no free cash in either parent or Digicontent, and money in HMVL can only be distributed per HMVL Board direction. Approximately 87% of Group borrowings matured in less than one year at March 31, 2024.
  2. A multi-year cascade of impairments across radio, digital and subsidiary investments Major - The entire goodwill of ₹17,628 lacs on Next Mediaworks and Next Radio was impaired in FY2019-20, and a ₹212 crore loan to Next Radio was converted into equity in FY2024-25 with ₹99.98 crore of accumulated impairment reclassified. In FY2025-26, Mosaic Media's goodwill of ₹5.41 crore and brand of ₹91 lakhs were written down to nil, with recoverable amount of ₹Nil because Mosaic is trading at a loss with negative net worth.
  3. Related-party loans to loss-making subsidiaries have repeatedly been converted or impaired Major - A loan of INR 212 crore to Next Radio Limited was converted into equity effective February 7, 2025, with accumulated impairment of INR 99.98 crore reclassified against the investment. An expected credit loss of INR 5.82 crore was recognised on the inter-corporate deposit to Mosaic Media in FY2025-26, with recoverable value of ₹Nil. Loans net of impairment stood at ₹99.98 crore as at March 31, 2024, versus ₹50.98 crore a year earlier.
  4. Audit opinions have been clean since FY2021, but the control environment has needed repeated repair Major - For FY2019-20, B S R and Associates issued a qualified opinion because the company adjusted ₹1,115 lacs of radio-business revenue deficiencies against opening retained earnings instead of restating comparatives. The same auditor issued an adverse opinion on internal financial controls, citing material weaknesses including override of controls by senior management and overstatement of revenue. Audit-trail exceptions under Rule 11(g) have been reported every year from FY2023-24 through FY2025-26.
  5. Revenue recognition has been a recurring audit focus since the whistleblower episode Major - The whistleblower investigation found pre-billing, debtor-ageing manipulation via credit notes, improper balance confirmations, and forced credit approvals in the radio business across FY2017-18 to FY2020-21. Revenue recognition was a Key Audit Matter in every annual report from FY2019-20 through FY2024-25. Bad debts to accounts receivable nearly doubled to 3.1% in FY2025-26 from 1.6% the prior year.
  6. The subsidiary structure has been in continuous consolidation and cleanup for seven years Major - HT Overseas Pte Ltd has undergone repeated capital reductions and buybacks, including a 20% buyback in FY2025-26 and an 89.56% capital reduction in FY2023-24 to write off accumulated losses. HTNL, HTME and NWML standalone financial statements are prepared on a non-going-concern basis since they have no business operations or definitive business plans. Six entities merged into HT Mobile Solutions Ltd consequent upon filing of the NCLT order with the Registrar of Companies on June 7, 2021. The authorised share capital was increased from ₹72.5 crore to ₹625.9 crore pursuant to the HT Mobile Solutions Ltd merger into HT Media Limited.
  7. The only disclosed regulatory penalty was a stock-exchange fine for delayed Q2 FY21 results Major - H T Media disclosed no penalty or stricture for capital-market non-compliance during the three years ended FY2025-26. The only penalty in the preceding three years was a fine by NSE and BSE for delay in submitting Q2 FY21 results, caused by an investigation into a whistleblower complaint received in August 2020. The investigation found revenue-recognition deficiencies spanning FY2017-18 to FY2020-21, and the FY2019-20 financial statements were revised.
  8. Reported profit has been repeatedly shaped by management estimates and scheme restatements Major - Standalone exceptional impairments of investments in Next Radio, Next Mediaworks and Mosaic Media totalled ₹83.41 crore in FY2025-26, with recoverable amounts of ₹16.97 crore, ₹Nil and ₹Nil respectively. The Composite Scheme of Amalgamation of HT Mobile Solutions with HT Media was sanctioned on 3 December 2024, effective from Appointed Date 1 April 2020, but given effect from 1 April 2023 with FY2023-24 comparatives restated. Management has estimated useful lives of certain plant and machinery at 16 to 21 years, higher than Schedule II prescribed lives, in every year from FY2019-20 through FY2025-26.

What to watch

Bottom line: This is a disclosed and audited record with a clean opinion for six years, but the substance beneath it is a group that has been restructuring itself for seven years, impairments, loan conversions, capital reductions, and a subsidiary structure where cash sits in one entity while debt sits in others. The risk is structural rather than hidden: watch whether the preferential issue actually retires the parent-level debt, and whether the radio licence surrender marks the end of the impairment cascade.
