ICRA’s record shows a company that has rebuilt its audit standing after a difficult FY2020, with a clean auditor rotation from BSR to Deloitte in FY2024-25 and no resignations recorded. Three things cut through: a six-year-old SEBI penalty that has grown to ₹1 crore and still sits before the tribunal, two acquisitions that have put ₹164.68 crore of goodwill on the balance sheet with one still on provisional accounting, and a material subsidiary whose service-fee arrangement with promoter-group entities was scaled to USD 50 million annually while a loan to a step-down triggered a compounding application.
Key findings
- A six-year-old SEBI penalty has escalated to ₹1 crore and remains unresolved
Major- SEBI imposed a ₹25 lakh penalty on ICRA on December 26, 2019, for credit ratings assigned to one customer and its subsidiaries, then enhanced it to ₹1 crore on September 22, 2020. ICRA deposited the full ₹1 crore under protest and filed appeals before the Securities Appellate Tribunal; the appeals remain under review as of the FY2025-26 annual report. A 2023 SEBI inspection resulted in an administrative warning on December 21, 2023, for process deficiencies including failure to recognise default and non-disclosure of applicable criteria. - Two acquisitions added ₹164.68 crore of goodwill, with the larger deal still on provisional accounting
Major- The Fintellix India Private Limited acquisition (98.75% stake, FY2025-26) recorded provisional goodwill of ₹135.72 crore against total identifiable net assets of ₹113.35 crore, with the purchase-price allocation still provisional at year-end. The D2K Technologies acquisition (60% stake, November 10, 2023) added goodwill of ₹28.96 crore, and its impairment testing is a Key Audit Matter in FY2025-26. As of March 31, 2025, the D2K goodwill carrying amount was ₹18.37 crore with no impairment taken, and management stated any reasonably possible change in key assumptions would not cause the carrying amount to exceed the recoverable amount. - Consolidated revenue depends on a single customer group contributing over ₹150 crore annually
Minor- Revenue from one customer group was ₹154.55 crore in FY26 and ₹150.49 crore in FY25, each exceeding 10% of consolidated revenue. Revenue recognition has been identified as a Key Audit Matter in every annual report from FY2020 through FY2026, citing risk that revenue is recognised before transfer of control. In the standalone financial statements, no single customer contributed 10% or more of revenue in FY26. - The group carries a deferred acquisition obligation that grew to ₹38.79 crore, while the standalone entity calls itself debt-free
Minor- The consolidated group recognised a deferred consideration liability for the buy-out of the remaining 40% of D2K Technologies of ₹33.28 crore as at March 31, 2024, rising to ₹38.79 crore as at March 31, 2026. Subsidiary D2K Technologies carried a term loan from Bank of Baroda of ₹62.58 lakhs as at March 31, 2026, secured by hypothecation of stocks and book debts. ICRA’s standalone entity states it has no liabilities from financing activities except lease liabilities, and its MD&A has described the company as debt-free since incorporation. - ICRA rotated its statutory auditor from BSR to Deloitte in FY2024-25 with no resignations recorded
Clean- BSR & Co. LLP served as statutory auditor from at least FY2019-20 through FY2023-24, and Deloitte Haskins & Sells LLP was appointed for five years from the 33rd AGM held in July 2024, with the shareholder resolution passing with 99.9893% votes in favour. No resignation of statutory auditors occurred during FY2022-23, FY2024-25, or FY2025-26. Total fees paid to Deloitte on a consolidated basis for FY2025-26 were ₹1.13 crore.
What to watch
- SEBI penalty appeals. The SAT appeals against the adjudication order of December 26, 2019, and the enhancement order of September 22, 2020, remain under review as of the FY2025-26 reporting period.
- Subsidiary income tax demand. Resolution of ICRA Analytics Limited’s appeal against the ₹19.17 crore income tax demand for FY2024-25, disclosed on May 19, 2026.
- Audit-trail qualification. Whether the auditor reports any instance of the audit trail feature being tampered with in the FY2027 audit report, after Deloitte confirmed the feature operated throughout FY2025-26 without tampering.
- Fintellix purchase-price allocation. Finalisation of the provisional allocation, including fair value of identified intangibles, with no scheduled date disclosed in the FY2025-26 Annual Report.
- Goodwill impairment tests. The next annual test for the D2K Technologies CGU (carrying amount ₹18.37 crore) and the Fintellix CGU (provisional goodwill ₹135.72 crore), expected at the FY2026-27 year-end.
Bottom line: This is a disclosed and audited record with a six-year-old regulatory overhang that has grown tenfold in size and remains unresolved. The risk sits in three places: a regulatory overhang that has already lasted six years and grown tenfold in size, acquisition goodwill of ₹164.68 crore that is yet to be tested through a full cycle, and a material subsidiary whose related-party scale and governance slip sit awkwardly alongside the parent’s otherwise clean compliance record. Watch the SAT appeals, the purchase-price allocation, and the compounding application.
