Imagicaaworld Entertainment Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Imagicaaworld Entertainment's record shows a company that has moved from a near-collapse with adverse audit opinions to a clean audit and reported profits, but that recovery is built on a dense web of promoter-linked transactions. The headline numbers are large: a ₹629.38 crore park acquisition from a related party, and a promoter group that controls 74% of the equity. The clean audit opinions of recent years sit alongside recurring audit-trail gaps and a business model where the promoter family is on both sides of most major deals.

Key findings

  1. A ₹629.38 crore related-party park acquisition created goodwill tested only under management assumptions, while the parks segment margin collapsed from 20.13% to 2.02% in one year Major - On 28 June 2024, the Company completed the slump-sale acquisition of the Park Business Undertaking (Lonavala Water Park, Lonavala Amusement Park, Shirdi Theme Park, Shirdi Water Park) from Giriraj Enterprises, a related party, for aggregate consideration of ₹629.38 crore, accounted under Ind AS 103 based on external legal opinion. Goodwill recognized on the acquisition reflects synergy of operations, brand loyalty and increased scale. The impairment test performed in March 2026 used five-year projections, and sensitivity analysis concluded no reasonably possible changes to key assumptions would cause carrying amount to exceed recoverable amount. Parks Division PBIT margin declined from 20.13% in FY25 to 2.02% in FY26. In FY2022-23, the Company reversed ₹141.59 crore of the impairment loss recognized in 2019-20, citing better-than-expected economic performance of the park CGU.
  2. Malpani promoter group routed acquisitions and loans through related-party entities Major - The Company acquired the Park Business Undertaking from Giriraj Enterprises, a partnership firm where Directors Rajesh Malpani and Manish Malpani and their relatives are partners, for ₹629.38 crore under a Business Transfer Agreement dated March 29, 2024. As at March 31, 2026, ₹529.38 crore of the consideration had been paid, with the balance ₹100 crore payable by October 2026. BRSR disclosure shows loans and advances given to related parties constituted 99.95% of total loans and advances in FY2024-25 (FY2023-24: 100.00%). On September 29, 2025, shareholders approved acquisition of Malpani Parks Ahmedabad Private Limited from Malpani Parks Private Limited for cash consideration not exceeding ₹50 crore, plus fund infusion not exceeding ₹30 crore. India Ratings noted on May 14, 2026 that the company's cash outgo for acquisitions and capex over the next 12-18 months would be around ₹600 crore, with part funding expected through unpaid portion of share warrants (₹130 crore) and internal accruals.
  3. Audit opinions swung from adverse (FY2020-22) to clean (FY2023-26), but recurring audit-trail gaps and a ₹7.16 crore overdue-loan balance persist through the latest report Major - V. Sankar Aiyar & Co. issued an adverse opinion on the standalone FY2020-21 financial statements, citing net loss of ₹266.64 crore, fully eroded net worth, debts recalled by lenders, and no impairment testing of PPE carrying ₹811.47 crore. The internal-financial-controls opinion was adverse for FY2020-21 and FY2021-22, then unqualified from FY2022-23 through FY2025-26. Suresh Surana & Associates LLP issued an unqualified opinion on the standalone FY2025-26 financial statements, reporting three Key Audit Matters: Recognition of Deferred Tax Asset, Revenue Recognition, and Impairment Assessment of Goodwill related to a CGU. The FY2025-26 standalone audit-trail exception under Rule 11(g) states a frontend software recording Parks Business revenue did not have audit trail enabled throughout the year, and no audit trail was enabled at the database level for two accounting software to log direct data changes. CARO clause iii(d) reports total overdue loans (principal and interest) of ₹7.16 crore and advances in the nature of loans overdue of ₹420.35 lakh as at March 31, 2026. CARO clause iii(d) reported the same ₹7.16 crore overdue loans and ₹4.2 crore overdue advances as at March 31, 2025. CARO clause ix(e) for FY2024-25 states the Company took funds from entities/persons to meet obligations of its subsidiary Malpani Parks Indore Pvt Ltd.
  4. The group's subsidiary structure is a vehicle for promoter-linked asset transfers: a land-holding subsidiary was sold at a ₹76 crore fair-value loss, and new subsidiaries are acquired from or co-invested with the promoter group Major - Walkwater Properties Private Limited, a wholly owned subsidiary engaged in real estate development, was sold to JBCG Advisory Services Private Limited and ceased to be a subsidiary w.e.f. March 1, 2023. The Walkwater Properties sale was for ₹106 crore consideration, of which only ₹24 crore was received in cash and the balance ₹82 crore was received as 82,00,000 0.01% 20-year non-participating, non-cumulative, non-convertible redeemable preference shares, resulting in a loss of ₹76.02 crore on fair valuation of the RPS recognized in P&L. Malpani Parks Indore Private Limited (MPIPL) was acquired as a wholly owned subsidiary w.e.f. February 25, 2025, purchased from Malpani Parks Private Limited (the holding company) and MPIPL itself for ₹55,00,00,000 under a Share Purchase Agreement dated February 18, 2025. MPIPL's prior-period financials showed total assets of ₹95.97 crore as at March 31, 2024, total revenue of Nil, and net cash outflows of ₹61.74 lakh for the year ended that date. Management confirmed in the Q1 FY27 transcript that the Shanku's Water Park acquisition was completed "as of last week", a 50% stake in Mehsana Next Parks Private Limited for INR50 crores, making it a subsidiary. Blue Haven Entertainment Private Limited, a wholly owned subsidiary, has had no business operations since at least FY2019-20 through FY2025-26.
  5. Promoter family controls the board and 74% of equity while drawing no director remuneration, with promoter-aligned preferential allotments and warrant conversions repeatedly enlarging their stake and public institutional dissent concentrated on those resolutions Minor - Malpani Parks Private Limited became promoter on June 22, 2022 by subscribing to 27,14,19,228 equity shares at ₹15.29 per share (₹415 crore), taking a 66.25% controlling stake under the RBI Resolution Plan. Promoter holding reached 74.02% of voting capital as of April 1, 2025 after Malpani Parks Private Limited acquired 2,34,82,500 equity shares and 1,70,06,800 convertible warrants via preferential allotment on March 27, 2025. On March 27, 2025, the Board allotted 2,34,82,500 equity shares at ₹73.50 per share (₹172,59,63,750) and 2,34,82,500 warrants at ₹73.50 each (₹172,59,63,750) to promoter and non-promoter categories, with only 25% of warrant consideration (₹43,14,90,937.50) received upfront and the balance due within 18 months. Public Institutions voted 40.35% against Resolution 1 (preferential equity issuance) and 40.35% against Resolution 2 (warrant issuance) at the EGM on March 13, 2025, while the promoter group voted 100% in favour of both. On April 11, 2024, 2,22,33,000 OCRPS were converted into 6,03,99,348 equity shares at ₹36.81 per share to Malpani Parks Private Limited, increasing promoter holding to 40,18,18,576 equity shares (74.10%).
  6. Auditor rotation proceeded on schedule with no resignations or adverse actions against auditors across FY2020-FY2026; the only notable pattern is a steady rise in audit fees and a planned five-year lock-in of the successor firm Clean - M/s. V. Sankar Aiyar & Co. (FRN 109208W) was re-appointed as Statutory Auditors at the Eleventh AGM held November 10, 2020, for four years until the conclusion of the Fifteenth AGM, at remuneration of ₹14,00,000 per annum plus out-of-pocket expenses. M/s. V. Sankar Aiyar & Co. completed two consecutive terms and ceased as Statutory Auditors on conclusion of the Fifteenth AGM held September 27, 2024. M/s. Suresh Surana & Associates LLP (FRN 121750W/W-100010) was appointed as Statutory Auditors at the Fifteenth AGM held September 27, 2024, for five consecutive years from the conclusion of the Fifteenth AGM until the conclusion of the Twentieth AGM, replacing M/s. V. Sankar Aiyar & Co.. Audit fees (including limited review) paid to the statutory auditor rose from ₹20.00 lakh in FY2024 to ₹24.50 lakh in FY2025, excluding applicable taxes. No resignation of the statutory auditor occurred during FY2021-22, FY2022-23, FY2023-24, or FY2024-25, as stated in CARO Clause 3(xviii) in each year's auditor's report.

What to watch

Bottom line: This is a promoter-driven turnaround story where the recovery in reported profits and clean audit opinions is real but heavily engineered through related-party transactions. The core risk is structural: the promoter family sits on both sides of the acquisitions, the loans, and the asset sales, and the company's cash is being directed into a \~₹600 crore pipeline that largely flows to those same parties. The clean audit opinions since FY2023 should be read alongside the recurring audit-trail gaps and the unchanged ₹7.16 crore overdue-loan balance. Watch the October 2026 payment to Giriraj Enterprises, the September 2026 warrant conversion, and whether the parks segment margin recovers from its 2.02% level.
