Indiamart Intermesh Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

IndiaMART Intermesh runs a disclosed and audited record: seven years of unqualified opinions, a prepaid revenue model that converts steadily into cash, and no customer concentration. Three things deserve attention. A growing web of loss-making investees consumed ₹54.77 crore in unaudited associate losses in FY26 alone while the parent kept injecting fresh capital. The Busy Infotech goodwill of ₹412 crore sits on a CGU whose segment margin is negative and whose growth assumptions are being cut each year. And ₹522 crore of contingent tax demands, led by a ₹243 crore securities-premium dispute, remain unresolved with no provision.

Key findings

  1. Loss-making associates and subsidiaries consume capital with eight unaudited Major - The Group’s share of net loss from eight unaudited associates was ₹54.77 crore in FY26. Subsidiaries Livekeeping, IIL Digital, and Tradezeal together lost ₹29.77 crore on combined income of ₹7.86 crore. During the year the Company invested INR 90 million in Livekeeping OCDs, INR 60 million in Tradezeal CCDs, and INR 85 million in IIL Digital CCDs and OCDs.
  2. Goodwill-heavy acquisitions rely on declining growth assumptions to avoid impairment Major - The Busy Infotech CGU carries goodwill of ₹412.23 crore and used a 25.60% revenue growth rate in FY26, down from 37.03% in FY23. The Accounting Software segment that houses it reported a PBIT margin of -2.22% in FY26. Impairment and fair-value writedowns recurred: ₹160 million (₹16 crore) on IB Monotaro and ₹46.5 million (₹4.65 crore) on Zimyo in FY26, ₹1.823 crore on Agillos in FY24, and ₹52.61 million (₹5.261 crore) on Livekeeping in FY23.
  3. Contingent tax demands total ₹522 crore, led by a ₹243 crore securities-premium dispute Minor - Busy Infotech faces an income-tax demand of ₹242.99 crore for AY 2017-18 on securities premium receipts, contested with no provision. A CGST TRAN-1 demand of ₹20.38 crore was dismissed on appeal on 02 April 2026; the Company is filing a further appeal with no provision made. A land-lease cancellation forced full impairment of the related right-of-use asset in March 2024.
  4. Audit opinions are clean, but audit trail gaps and unaudited associates persist Minor - Standalone and consolidated audit opinions from FY20 through FY26 are unqualified. The holding company’s database-level audit trail was not enabled for the whole of FY24 and from 01 April 2024 to 19 August 2024 in FY25. Eight associates remained unaudited in FY26, with cumulative share of losses exceeding ₹178 crore over four years.
  5. Promoter family holds board control through inter-se agreement, with recurring institutional dissent Minor - Promoters Dinesh Chandra Agarwal and Brijesh Kumar Agrawal, cousin brothers, held 49.12% of shares. The Articles codify a Promoters Inter-se Agreement granting each group permanent nomination rights. Public institutions voted 41.07% against the re-appointment of an Independent Director whose firm provides tax audit services, and 27.80% against the appointment of the Company Secretary as Whole-time Director.
  6. Accounting changes are routine and disclosed, with no aggressive profit shaping Clean - The effective tax rate moved to 26.74% in FY26 from 21.98% in FY25 on CSR expenditure and business losses. A fair valuation gain of 82.35 crore was recognised on Baldor Technologies in FY26 following CCD conversion. Management describes the ₹34 crore mark-to-market treasury loss in Q4 FY26 as notional and expected to reverse.

What to watch

Bottom line: This is a disclosed and audited record with a prepaid revenue stream that converts reliably into cash. The risk sits in two places: the goodwill-heavy acquisition book, where Busy Infotech’s assumptions are being cut each year against a negative segment margin, and the unaudited associate portfolio that keeps consuming capital. Watch the annual impairment test and the TRAN-1 appeal outcome.
