Indian Bank’s record carries an unqualified audit opinion across seven straight years, rising dividends, and a swing to strong positive operating cash flow. Three structural features deserve attention: nearly half the deposit base sits in branches the statutory auditor never visits, a ₹10,512 crore disputed tax demand carries zero provision while a court-ordered ₹96.52 crore payment is under-provided by roughly ₹90 crore, and the composition of the statutory audit joint-firm team changes every year.
Key findings
- Nearly half of deposits sit in branches the statutory auditor never examines
Major- In FY2026, 4,444 Indian branches covering 48.01% of deposits and 21.69% of advances were not audited. The unaudited share of deposits has risen from 26.52% in FY2020 to 48.01% in FY2026, while the number of unaudited branches grew from 1,537 to 4,444 over the same period. - A ₹10,512 crore tax demand carries zero provision, and a court-ordered payment is under-provided
Major- Disputed income-tax demands stood at ₹10,512.11 crore as at 31.03.2026 with no provision made, the bank citing favourable judicial decisions. The Bombay High Court directed Indian Bank on 08.05.2025 to pay ₹96.52 crore plus interest and costs to BCCI in the Nimbus Communications guarantee case, against which the bank held a total provision of ₹21.88 crore, of which ₹5.94 crore was earmarked for the BCCI claim. - Statutory audit joint-firm composition changes every year, with five firms rotating through and fees rising from ₹2.64 crore to ₹6.46 crore
Minor- The five statutory central auditor firms changed composition in each year from FY2021 through FY2025, with firms such as PKF Sridhar & Santhanam LLP, G. Natesan & Co, and SARC & Associates appearing in multiple years but never in the same combination. Total audit fees rose from ₹2.64 crore in FY2020 to ₹6.46 crore in FY2024-25. - Operating cash flow swung from deeply negative to strongly positive, while dividends rose every year and the bank raised ₹5,650 crore of equity
Clean- Consolidated operating cash flow was -₹27,894 crore in FY23 and -₹8,617 crore in FY24, then turned positive to ₹17,396 crore in FY25 and ₹18,815 crore in FY26 [SQL]. Dividend per share rose each year from ₹6.50 in FY22 to ₹18.25 in FY26. The bank raised ₹1,650 crore via QIP in June 2021 and ₹4,000 crore in December 2023. - The group structure is stable and routine, with one RRB merger generating a large one-off gain and a new services subsidiary still sub-scale
Clean- The merger of Saptagiri Grameena Bank into Andhra Pradesh Grameena Bank generated an exceptional gain of ₹766.59 crore, recognised in consolidated results for FY2025-26. Indbank Global Support Services Limited, incorporated on 9 February 2024 with paid-up capital of ₹10 crore, reported a net profit of ₹28 lakh in FY2025-26. The group held two listed subsidiaries, one unlisted subsidiary, and two joint ventures as of 31 March 2026, none classified as material.
What to watch
- Disputed tax contingent liability. Resolution of the ₹10,512.11 crore disputed income-tax demand for which no provision is made, as disclosed in the FY2025-26 Annual Report.
- Nimbus Communications/BCCI decree. Outcome of the Bombay High Court order dated 08.05.2025 directing payment of ₹96.52 crore plus interest and costs, with a provision of only ₹5.94 crore held as at 31.03.2026.
- ECL transition. Final guidelines implementation and quantification of the remaining ₹2,000-2,500 crore transition impact during FY2026-27.
- Unaudited branch tail. The FY2026-27 audit report will disclose whether the 4,444 unaudited branches covering 48.01% of deposits are reduced or persist (D1 FY2025-26 Annual Report).
Bottom line: This is a disclosed and audited record with improving cash generation and shareholder returns. The risk sits in three structural features: an audit scope that excludes nearly half the deposit base, a contested tax liability of over ₹10,000 crore carried without provision alongside an under-provided court decree, and recurring RBI penalties that signal compliance systems have not yet hardened. Watch the unaudited branch count, the tax and BCCI outcomes, and whether the board vacancies are finally filled.
