Ind-Swift Laboratories' audit record is clean on its face, seven straight unqualified opinions, but the auditor's own annexures and the company's disclosures repeatedly surface the same unresolved items: a related-party loan takeover that converted promoter-entity debt into a receivable, a zero-coupon obligation held off-balance-sheet, and operating cash flow that has persistently failed to back reported profit.
Key findings
- Related-party loan takeover and off-balance-sheet obligation
Critical- On 30.03.2024, the Board approved a loan facility of ₹352.51 crore to Ind Swift Limited, a promoter-group entity, by takeover of the company's debt, with a right to recover an additional ₹463.17 crore zero-coupon debt only on default. The ₹463.17 crore is recognised as a contingent asset under Ind AS 37, not a liability. The auditor's report cites the acquired loan as ₹352.60 crore, a figure that differs from the announcement's ₹352.51 crore. The 70.26% figure represents the value of the proposed transaction (not exceeding ₹900 crore) as a percentage of annual consolidated turnover, not the loan amount specifically. - Seven clean opinions, but the auditor's annexures flag the same unresolved items
Major- The standalone audit opinion was unqualified from FY2019-20 through FY2025-26, with no Key Audit Matters in the last three years. Yet CARO reported a ₹62.89 crore loan to Swift Fundamental Research & Education Society overdue for more than 90 days in FY2024-25, and title deeds not held in the company's name in every year of that period. - Accounting-policy and estimate changes have repeatedly reshaped reported profit
Major- A merger capital reserve of ₹465.88 crore was recognised under the pooling of interest method, and the FY24 slump sale to Synthimed Labs produced a ₹386.59 crore exceptional gain. Consolidated FY2024-25 exceptional items totalled ₹266.73 crore from year-end reconciliation of old balances. - Operating cash flow has persistently failed to back reported profit
Major- Cumulative CFO of ₹355 crore was only 0.27x cumulative EBITDA of ₹1,292 crore over ten years. CFO was negative ₹69.88 crore in FY26 against PAT of ₹41.32 crore, and negative in FY25 and FY24 against large profits. Management says the FY24 API business sale left "cash on books of approx plus ₹500 crores," to be "gradually deployed in the business over a period of 2.5 years' time". - A wilful-defaulter declaration stays judicially stayed, with fresh regulatory friction
Major- Central Bank of India declared the company and its promoters wilful defaulters in FY2017-18; the loan was fully repaid and a NOC issued, but the declaration remains stayed, not withdrawn, with CWP No. 1602/2022 pending. ROC issued a final Show Cause Notice dated 27.03.2026, with a compounding application filed 29.07.2026. BSE and NSE imposed fines totalling ₹8,43,700 for delayed FY25 results. - Revenue recognition carries a standing Key Audit Matter, and CDMO expectations were revised within Q1 FY27
Major- The auditor flagged revenue recognition as a Key Audit Matter in FY2019-20, citing the risk of premature recognition. Revenue fell from ₹1,281 crore in FY2024 to ₹562 crore in FY2025 and ₹641 crore in FY2026, with latest reported revenue at ₹665 crore. Management revised Q1 FY27 CDMO expectations to "₹100-130 odd crores" in year one for two Viatris products, versus ₹200-220 crore earlier cited, and also guided to export sales of around ₹750 crores with 45% from CDMO, implying \~₹337 crore. - Promoter-directors sought approval for remuneration above statutory limits, and the board cycled through an independent director
Major- All four resolutions in the 30th March 2026 postal ballot were Special Resolutions because remuneration may exceed limits under Section 197 and Schedule V of the Companies Act. Sh. Prabhat Khurana resigned as Independent Director on 22nd June 2026, less than a year after his appointment. The promoter group consolidated control through warrant conversions and a merger, with 80,00,000 shares allotted to Essix Biosciences upon warrant conversion. - The fixed-deposit saga has wound down, leaving two live contingent exposures
Minor- Fixed deposits outstanding fell to ₹3.72 crore unclaimed as at 31 March 2026, with ₹1.54 crore repaid during FY2025-26. The ₹66.34 crore Chandigarh VAT demand for FY2011-12 remains sub judice before the VAT Tribunal, with 25.10% deposited. The wilful-defaulter declaration remains stayed but not withdrawn.
What to watch
- VAT Tribunal appeal. The ₹66.34 crore sales tax demand for FY2011-12 is sub judice, as disclosed in the FY2025-26 Annual Report.
- Wilful-defaulter petition. CWP No. 1602/2022 seeking withdrawal of the Central Bank of India declaration remains pending with a stay granted 12.12.2022.
- ROC compounding application. Filed 29.07.2026 with the Regional Director regarding the Show Cause Notice dated 27.03.2026.
- Warrant conversion. 70,00,000 Fully Convertible Warrants are convertible within 18 months from the 5th August 2026 EGM approval.
- SFRES loan recovery. The ₹62.89 crore overdue loan from Swift Fundamental Research & Education Society was reported in FY2024-25 CARO.
Bottom line: This is a record with a clean audit opinion but a recurring set of unresolved items that the auditor's own annexures keep surfacing. The central risk is the related-party loan structure and the off-balance-sheet obligation, alongside operating cash flow that has not backed reported profit. Watch the VAT appeal, the wilful-defaulter petition, and the warrant conversion.
