Ircon International's record carries seven straight unqualified audit opinions, but the numbers underneath tell a harder story. Cumulative operating cash flow has been negative for nine years against rising reported profits, the "debt-free" standalone label masks ₹2,856.93 crore of subsidiary loans, and the board has been non-compliant with listing rules because the Ministry of Railways controls appointments.
Key findings
- Reported profits are not backed by operating cash flow
Major- Over nine years, cumulative operating cash flow was negative ₹4,123 crore against cumulative profit after tax of ₹5,342 crore. Other income made up 67.9% of profit before tax in the latest period, and the company kept paying dividends while capitalising borrowing costs into a solar project whose value fell from ₹942.20 crore to ₹579.74 crore in a year. Return on capital employed fell from 16.70% in FY24 to 9.08% in FY26. - The "debt-free" claim masks ₹2,856.93 crore of subsidiary loans
Major- IRCON's standalone balance sheet carries no borrowings, but its subsidiaries hold term loans of ₹2,856.93 crore as of 31 March 2026, backed by ₹3,841.63 crore of corporate guarantees. Management frames consolidated debt of approximately ₹5,700 crore as project-finance debt that "does not appear on the standalone balance sheet". The standalone MD&A still calls the company "debt-free" while disclosing bill discounting of ₹470.65 crore. - A web of interest-free loans and sponsor support to its own SPVs
Major- IRCON waived interest on a loan to subsidiary Ircon PB Tollway Limited for 4.5 years, from 1 October 2019 to 31 March 2024, per board approval dated 12 August 2021. Interest-free loans to SPVs and JVs are repayable only on winding up or end of concession period, whichever is later. As of 31 March 2026, such loans stood at least ₹1,188.36 crore across at least ten subsidiaries and JVs, including ₹193.36 crore to Chhattisgarh East-West Railway Limited. - Seven years of unqualified opinions, with the same internal-control weakness repeated
Major- The auditor's opinion was unqualified every year from FY2020 to FY2026, but each year it stated the ERP was "not used at full potential" and project invoicing needed manual support. In FY2026, the principal auditor did not visit four foreign branches with assets of ₹861.95 crore, and 11 subsidiaries with assets of ₹8,861.21 crore were audited by other firms. - Board non-compliant with SEBI LODR composition and quorum rules
Major- The board had zero independent directors from 28 December 2024 to 15 May 2025, and only one as of 31 March 2026 against the six required. All six Audit Committee meetings in FY2025-26 lacked quorum, and the board meeting of 29 April 2025 also lacked quorum. The company says it has no role in appointments, which are made by the Ministry of Railways. - Repeated fines from NSE and BSE for composition failures
Major- NSE and BSE levied fines during FY2025-26 for non-compliance with Listing Regulations 17(1), 17(2A), 18(1), 19(1)/19(2), 20(2)/2A and 21(2). Fines were also levied in FY2021-22, and the company was non-compliant in FY2020-21 and FY2019-20. The Comptroller and Auditor General's observations caused the FY2023-24 audit report to be revised on 1 July 2024. - Revenue rests on one customer and contract assets keep building
Major- A single domestic customer contributed 47.31% of operating revenue in FY2025-26, down from 69.46% in FY2022-23. Contract assets grew by ₹524.77 crore in FY2025-26 alone, mainly because revenue recognised under the input method exceeded bills certified. Related-party trade receivables more than doubled to ₹1,163.74 crore as of 31 March 2025 from ₹585.09 crore a year earlier.
What to watch
- Final dividend. ₹0.70 per share for FY2025-26, subject to shareholder approval at the 50th AGM per notice dated 1 September 2026.
- Director votes at the 50th AGM. Scheduled for September 2026, with votes on four director appointments including Smt. Ragini Advani and Shri Saleem Ahmad.
- Statutory auditors for FY2026-27. Appointment yet to be received from C&AG as of the 50th AGM notice dated 1 September 2026.
- IRSDC liquidation. Interim distribution of ₹52.00 crore received in July 2026, with liquidation commenced 5 May 2026.
- CERL equity tie-up. SECL board approval pending, with Phase-I expected completion March 2027 and Phase-II June 2027.
Bottom line: This is an audited, dividend-paying public-sector company whose reported profits have not been converted into operating cash for nine years. The risk sits in the gap between the standalone picture and the group: subsidiary debt, interest-free loans, and unprovided claims all sit off the standalone balance sheet. Watch the AGM votes and the auditor appointment, and read the contract-asset line as the measure of how much revenue is still awaiting certification.
