Jain Resource Recycling's record is not clean: the IPO's general-purpose funds were partly diverted to repay a promoter loan, reported profit has run far ahead of operating cash flow for five years, and a settled tax search left ₹13.86 crore of income outside the books. The audit opinions are unqualified, but they sit alongside a recurring audit-trail exception and unaudited loss-making subsidiaries.
Key findings
- IPO funds earmarked for general purposes repaid a promoter loan
Major- The Company used ₹54 crore of IPO proceeds earmarked under General Corporate Purpose to repay an unsecured promoter loan, which the Secretarial Auditor said breached the prospectus and Regulation 32 of SEBI LODR. The prospectus had said no net proceeds would be paid to promoters, directors or senior management. Shareholders ratified the use after the fact on April 28, 2026, with promoter and promoter group shares not voting. - Reported profit is not backed by operating cash flow
Major- Cumulative CFO over FY22-FY26 was ₹-485 crore against cumulative PAT of ₹916 crore, a CFO/PAT ratio of -0.53x. FY26 CFO was ₹-591 crore against PAT of ₹352 crore, while FY25 CFO was only ₹3.82 crore against PAT of ₹222 crore. Free cash flow was ₹-693 crore in FY26, and no dividend was recommended for FY2025-26. - A settled tax search left ₹13.86 crore of income outside the books
Major- The Income-tax Settlement Commission's final order on May 30, 2025 quantified further additional income of ₹13.86 crore for the Company, settling the matter conclusively. The Company surrendered this income in assessments for AY 2015-16 and AY 2020-21, but it has not been accounted in the books of account during the year. The total liability has been paid. - The group is layering new subsidiaries and minority stakes
Major- Jain CY Circular Solutions Private Limited, incorporated December 8, 2025 as a JV, reported revenue of ₹23.93 crore and a loss before tax of ₹42.59 crore for FY2025-26. Two unaudited subsidiaries had total assets of ₹30.65 crore, revenues of ₹0.09 crore and a net loss of ₹10.53 crore for the year ended March 31, 2026. The merger of Jain Recycling Private Limited, approved by NCLT on January 21, 2025, issued 2,12,14,393 equity shares and approved repayment of ₹75 crore OCRPS and ₹60.09 crore CCPS. - Promoter remuneration and family appointments needed ratification
Major- Mr. Kamlesh Jain's FY2026-27 remuneration was approved by postal ballot on April 28, 2026 at ₹30 lakhs per month, subject to a ceiling of ₹5 crore per annum. His son Mr. Sanchit Jain, aged 29, was appointed Executive Director effective October 21, 2025 at ₹6,00,000 per annum. Promoter and promoter group shareholding declined by 14.43 percentage points over one year to 73.59%. - The Chairman & MD faces a personal SEBI insider-trading penalty
Minor- SEBI imposed a penalty of ₹25,00,000 on Mr Kamlesh Jain and Jain Family Trust by adjudication order dated December 12, 2025, for alleged insider trading in Refex Industries Limited. SAT admitted his appeal on January 30, 2026 and stayed recovery subject to deposit of 50% of the penalty within four weeks. - Unqualified opinions sit beside audit-trail and unaudited-subsidiary exceptions
Minor- The statutory auditor issued unqualified opinions on both standalone and consolidated financial statements for FY2025-26. The standalone report identified Revenue Recognition from Sale of Metals and Metal Products as a Key Audit Matter. The auditor could not comment on daily server backups in India for March 01-31, 2026, and one accounting software has no database-level audit trail. Two unaudited subsidiaries had total assets of ₹30.65 crore and a net loss of ₹10.53 crore for the year. - New capital commitment and a JV guarantee create contingent exposures
Minor- Capital commitments stood at ₹27.5 crore as at March 31, 2026, against nil a year earlier. On 13th July 2026, the Company issued a corporate guarantee to ICICI Bank for Jain CY Circular Solutions Private Limited's working capital facilities, to be treated as a contingent liability.
What to watch
- CRISIL Watch Developing. Status on bank facilities follows the July 14, 2026 furnace explosion at Unit II, Gummidipoondi.
- Corporate guarantee. Any invocation of the ICICI Bank guarantee for the JV, issued 13th July 2026.
- Tax settlement income. Whether the ₹13.86 crore surrendered for AY 2015-16 and AY 2020-21 is recorded in subsequent books.
- SOC 2 reports. Availability for the accounting software from March 01, 2026 onwards, to resolve the server-backup and audit-trail exceptions.
Bottom line: This is a disclosed record with unqualified audit opinions, but the cash conversion is the central weakness: five years of reported profit have produced deeply negative operating cash flow. The governance strain is visible in the IPO fund diversion, the promoter remuneration ratifications, and the layering of loss-making or unaudited entities. Watch whether FY27 operating cash flow improves from ₹-591 crore, and whether the tax-settlement income and SOC 2 exceptions get resolved.
