Jash Engineering Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Jash Engineering's audited record carries no fraud allegation, but the same compliance weaknesses recur year after year: bank-filed statements that do not match the books, statutory dues paid late, and a subsidiary loan extended at maturity with interest overdue for six years. The bigger question is cash quality, reported profits have consistently outrun operating cash generation for a decade, even as the company commits to a large debt-funded U.S. expansion and pays out most earnings as dividends.

Key findings

  1. A subsidiary loan fell due and was extended, with interest overdue six years Major - Interest on a 2.32 crore loan to Jash USA was due annually and delayed from 2017 to 2023, leaving 1.85 crore overdue. A 4.11 crore loan to the same subsidiary fell due 31 March 2023 and was extended via an amended agreement dated 1 April 2023. The auditor has also repeatedly flagged bank-filed working-capital statements that disagree with the books and delays in Income Tax, ESI and Professional Tax remittances.
  2. Reported profits consistently outrun operating cash generation Major - Cumulative operating cash flow of ₹281 crore covered only half of cumulative EBITDA of ₹560 crore over ten years. In FY26, CFO of ₹56.08 crore covered 0.74x of PAT of ₹75.52 crore. The company plans a ₹115 crore Houston plant and a ₹15 crore Orange expansion, funded by deposits, internal accruals and bank debt, with management saying of the funding: "we are just looking at how to structure it".
  3. Foreign receivables overdue beyond 15 months; revenue timing managed Major - Trade receivables from overseas parties outstanding for more than fifteen months fell to ₹6.86 crore as at 31 March 2026 from ₹24.46 crore a year earlier, with a post-year-end RBI extension application filed through an authorised dealer bank. Management disclosed a ₹27-28 crore revenue-recognition reversal in Q1 FY27 and a ₹36 crore addition from the prior March quarter, a net positive of roughly ₹10 crore that is a timing artifact. A Singapore shipment was withheld despite a letter of credit because an earlier consignment's balance payment was not received.
  4. A ₹30 crore-plus goodwill stack has never been impaired Major - Goodwill on the Mahr Maschinenbau acquisition stood at ₹15.98 crore in FY20 and ₹17.36 crore in FY23, with no impairment recognised in any year. The board approved Mahr's voluntary liquidation on 14 February 2020, yet the goodwill survived by being allocated to the larger 'Manufacturing of industrial components' CGU. A further ₹8.83 crore goodwill was recognised on the Waterfront acquisition and ₹5.41 crore on Jash Process Equipment.
  5. The subsidiary layer holds loss-making, dormant and structurally odd entities Major - Rodney Hunt Inc. carries ₹78.23 crore of "additional paid in capital" with no equity shares issued against it. The Hong Kong subsidiary reported income of HKD 11,764, has no employees, and is being scaled down. Mahr Austria's manufacturing is "majorly closed down". Jash Invent India remains non-functional due to the German partner's stance. Shivpad Engineers was amalgamated into Jash effective 23 February 2026.
  6. Promoter family dominates board and pay decisions Major - Mr. Suresh Patel, the 83-year-old promoter uncle, was re-appointed Executive Director at up to ₹7,00,000 per month, approved by postal ballot on 11 May 2026 with 99.9441% in favour. Mr. Pratik Patel's MD pay was raised to ₹25,00,000 per month, approved by the Board on 11 August 2026. Promoter shareholding fell from 49.44% as at 31 March 2024 to 43.24% in the latest filing. Employee-wise ESOP grant details are marked "intentionally left blank," while the fair-value method and assumptions are fully disclosed.
  7. Borrowing is heavily collateralised, with encumbered deposits and terminable facilities off the debt line Major - Fixed deposits under lien against banking facilities stood at ₹18.09 crore as at 31 March 2026. All term loans carry personal guarantees from Mr. Pratik Patel and Patamin Investments, and mortgages over properties including those in Patamin's name. Undrawn cash credit facilities may be terminated by the bank without notice. Shareholders approved raising the borrowing cap to ₹300 crore on 17 September 2025.

What to watch

Bottom line: This is a disclosed record with real assets and an audited profit stream, but the cash conversion is weak and the compliance gaps are chronic rather than one-off. The risk character is one of managed timing, revenue recognition, loan extensions, and RBI filings all show the same pattern of stretching. Watch the shareholder votes and the RBI decision, and read the receivables line against the cash flow statement, not the profit line.
