JSW Dulux’s record carries seven years of unqualified audit opinions and an orderly auditor transition, but FY26 is a year of structural break: the company paid its highest-ever dividend while operating cash flow collapsed to 5% of profit, funded by other income of ₹1,944 crore that drove 82.2% of profit before tax.
Key findings
- Three material related-party transactions totalling ₹3,295 crore were executed with the erstwhile promoter group
Major- The company sold its Powder Coatings business for ₹2,073 crore and its International Research Centre for ₹70 crore to an indirect Akzo Nobel subsidiary, and acquired decorative paints intellectual property rights, including the “Dulux” brand, for ₹1,152 crore from Akzo Nobel Coatings International B.V. All three were classified as material related-party transactions because each exceeded 10% of net worth (₹132.9 crore) and 10% of annual consolidated turnover (₹393.7 crore) as of 31 March 2024. The purchaser entity for the two business sales was yet to be incorporated at the time of the postal ballot notice dated 3 March 2025 and had nil annual consolidated turnover. - Revenue recognition is a recurring Key Audit Matter due to voluminous variable-consideration arrangements
Minor- Revenue recognition including variable consideration, rebates and discounts, has been a Key Audit Matter, an area needing the most judgement, in every annual report from FY21 through FY25. Customer incentives netted against revenue were 733.5 crore in FY22, 580.7 crore in FY21, and 605.8 crore in FY20. Refund liabilities for volume discounts and other incentives payable rose from 121.2 crore at 31 March 2022 to 159 crore at 31 March 2025. - Contingent liabilities are dominated by a multi-year wave of GST show-cause notices from at least 12 states
Minor- Between October 2023 and September 2025, the company disclosed receiving GST show-cause notices or demand orders from Maharashtra (₹12.27 crore plus interest and penalty), Karnataka (₹56.64 crore plus interest and penalty), Punjab (₹13.22 crore), Telangana (₹2.60 crore), Uttar Pradesh (₹1.92 crore), and seven other states. Standalone disputed statutory dues as at 31 March 2025 included income tax demands of 112 crore pending before the Income Tax Appellate Tribunal, Delhi. The auditor has consistently identified assessment of ongoing income tax and indirect tax litigations as a Key Audit Matter from FY21 through FY25. - Price Waterhouse served as statutory auditor from FY20 through FY26 without reported resignation, regulatory action, or qualification
Clean- Price Waterhouse Chartered Accountants LLP was the statutory auditor continuously from FY20 through FY26, with no auditor resignation reported in any year. Shareholders re-appointed the firm for a second five-year term at the AGM on 14 August 2021 with 99.9905% votes in favour. No action against the firm by NFRA, ICAI, SEBI, or any court is disclosed in any filing across the seven years. - The group structure is simple, a single, recently converted subsidiary, but the change of control and prior business carve-out have reshaped the perimeter
Clean- The company has only one subsidiary, ICI India Research and Technology Centre Private Limited, as of 31 March 2026, with no associates or joint ventures. The subsidiary was converted from a Section 8 company to a private company limited by shares on 22 August 2024, and the company became a 99.99% shareholder via a rights issue. On 10 December 2025, JSW Paints Limited acquired 60.76% of the equity from the erstwhile promoter entities, becoming the new promoter with 61.2% shareholding.
What to watch
- ESOP grants. Stock options under the newly approved JSW Dulux Limited - Employee Stock Option Scheme, 2026, covering up to 3,75,124 options, were yet to be granted as at 31 March 2026.
- GST and income-tax outcomes. Resolution of GST show-cause notices from at least 12 states and income tax demands of 112 crore pending before the ITAT, Delhi, remains outstanding; no scheduled hearing dates were provided in the FY26 Annual Report.
Bottom line: This is a disclosed and audited record undergoing a complete change of identity, new promoter, new board, and a balance sheet reshaped by a large related-party slump sale. The FY26 profit is substantially non-cash, and the dividend that shareholders received was funded by asset disposals, not by the paint business. Watch whether the new promoter’s operating strategy closes the gap between volume growth and revenue growth, and whether the multi-state GST litigation and the Mysore leasehold title, pending since March 2016, move toward resolution.
